BETWEEN
EAGLE COUNTY AND
MATRIX SYSTEMS, INC.
THIS FIRST AMENDMENT ( "Amendment ") is made and entered into this 1 day
of ■ , 2012, between Eagle County, (hereinafter referred to as "County ") and Matrix
Systems, Inc., a Ohio corporation with its principal place of business at 1041 Byers Road,
Miamisburg, OH 45342 (hereinafter referred to as "Contractor ").
WHEREAS, County and Contractor entered into an Agreement dated May 15, 2012,
with Eagle County Contract number 12 -175 ( "Original Agreement "); and
WHEREAS, County and Contractor wish to further modify the scope of work to the
Original Agreement to include installation of necessary hardware to control door #73 to Health
and Human Services to allow the use of the Matrix card reader system. This door replaces door
#07 that was a component of the original scope of work for the project.
NOW, THEREFORE, County and Contractor agree that the Original Agreement is
modified as provided herein:
1. Article I — Work shall be amended by the addition of the following language.
Additionally, Contractor shall procure the materials and equipment and provide all services labor
and personnel and materials to perform and complete the services set forth in the second
"whereas" clause hereof, and as more fully set forth in Contractor's Purchase Agreement
• Amendment, attached hereto and incorporated herein by this reference as Exhibit A 1. The
additional work set forth in Exhibit Al shall be incorporated into the definition of Work
throughout the Agreement.
2. Article 4 — Compensation, Paragraph 4.1 shall be amended by deletion of the last
sentence and the addition of the following language:
For the Services to be provided under Exhibit Al, Contractor shall pay Contractor one thousand
nine hundred twelve and 50/100 dollars ($1,912.50) as provided in Exhibit Al. The total
amount for the contract, including this Amendment shall not exceed forty thousand three
hundred seventy one and 50/100 dollars ($41,371.50) without a signed amendment to the
Agreement.
3. All terms and provisions of the Original Agreement shall remain in full force and
effect during the modified term.
4. This Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
