						     	AGREEMENT BETWEEN EAGLE COUNTY AND
						  	THE CONSORTIUM FOR OLDER ADULT WELLNESS
			     	This Agreement ( "Agreement ") dated as of this)T of August, 2012, is between the
		    	County of Eagle, State of Colorado, a body corporate and politic, by and through its Board of
		    	County Commissioners or County Manager with a mailing address of 500 Broadway, Post Office
		    	Box 660, Eagle CO 81631 ( "County "), and The Consortium for Older Adult Wellness, 2575 S.
		    	Wadsworth Blvd, Lakewood, Colorado, 80227 ( "COAW ").
									    	RECITALS
			     	WHEREAS, the County, through its Department of Health and Human Services ( "HHS "),
		    	works to promote the health, safety and welfare of County residents of all ages;
			     	WHEREAS, COAW received a grant from The Northwest Colorado Council of
		    	Governments, Alpine Area Agency on Aging ( "AAAA ") which commits to utilizing evidence and
		    	population -based strategies for fall prevention.  COAW wishes to distribute a portion of that
		    	grant award to HHS for the conduct of evidence based falls prevention programming in Eagle
		    	County.  Fall prevention classes in Eagle County are a project of the AAA's Health Promotion
		    	strategy to reduce the amount of falls and healthcare costs associated with falls;
			     	WHEREAS, in January and May of 2012, three residents of Eagle County received
		    	scholarships from COAW to be used for training and certification as "Falls Prevention
		    	Specialists ".  One of the three completed specialist training in falls prevention, while the other
		    	two completed certificate training in falls prevention (each an "Instructor "; collectively referred
		    	to as "Instructors ");
			     	WHEREAS, HHS intends to use the grant funds from AAA /COAW to pay the Instructors
		    	for teaching falls prevention classes or for purchasing falls prevention related equipment, and
		    	to reimburse Instructors for travel related expenses.
			     	WHEREAS, County and COAW intend by this Agreement to set forth the terms and
		    	conditions for the use of the AAA /COAW grant funds by HHS.
									   	AGREEMENT
					NOW THEREFORE, based upon the representations set forth in the foregoing recitals,
		    	and for good and valuable consideration, including the promises set forth herein, the parties
		    	agree to the following:
										   	1

			     	1.		Scope of Agreement:
						A.  Use of Grant Funds:  The grant funds may be used to pay Instructors for
		    	teaching falls prevention classes in Eagle County.  The amount to be paid to each Instructor for
		    	each class session is up to the discretion of Eagle County, but said amount can be no less than
		    	$100 per session.  Notwithstanding the foregoing, if an Instructor declines payment for teaching
		    	a falls prevention class session, the amount which would have been paid to that Instructor may
		    	instead be used by HHS for the purchase of fall prevention related items and equipment.  The
		    	grant funds may also be used to reimburse Instructors for travel related expenses when
		    	traveling to and from classes they teach. Travel reimbursement is paid at .55 per mile and can
		    	be roundtrip to and from each class.
						B.  Classes:  Each falls prevention class session will be six weeks long, with 1 or 2
		    	classes taught per week.
						C.  Other Funding.  In the event Eagle County receives other funding during the
		    	period of this Agreement or additional funding to support the teaching of falls prevention
		    	classes, HHS may continue to use the grant funds as set forth in Paragraph 1.A. above, with the
		    	understanding that the additional funding will be used to pay for the conduct of falls prevention
		    	classes following the expiration of this Agreement. A separate memorandum of understanding
		    	from both HHS and COAW will need to be drawn to outline deliverables, if this should occur.
			     	2.		Term of Agreement.
						A.  The term of this Agreement shall commence upon execution of the
		    	Agreement by both parties and shall end on June 30, 2013, unless earlier terminated pursuant
		    	to the terms of this Agreement.
					 	B.  This Agreement may be terminated by either party for any reason, with or
		    	without cause, and without penalty upon fifteen (15) days written notice.
						C.  In the event of any termination of this Agreement, COAW agrees to pay all
		    	Instructors for classes taught plus travel expenses incurred through the date of termination.
			     	3.		Grant Funds.  COAW awards the sum of $3,000 to HHS as grant funds for the
		    	uses set forth in Paragraph 1.A. above.
			     	4.		Process for Payment of Grant Funds.
						A.  Payment for Classes:  Each Instructor will be required to fill out a class
		    	attendance form for each class taught.The attendance form will be designed by the AAA and
		    	distributed through COAW to HHS.  All class instructors must commit to using this attendance

		    	form.  First and last names must be written on attendance sheets. At the conclusion of each six -
		    	week class session, HHS will submit to COAW the completed attendance form together with an
		    	invoice setting forth the sums due to each Instructor for that class session.  Once COAW
		    	receives the form and the Instructor invoice, COAW will issue a check for payment of the
		    	invoice to HHS c/o Karen Koenemann.  A check will then be issued by HHS to the Instructor for
		    	whom the invoice was submitted.
						B.  Reimbursement for Equipment: In the event an Instructor declines payment
		    	for teaching a falls prevention class, HHS may use the grant funds which would have been paid
		    	to that Instructor to purchase falls prevention related items and equipment.  Following
		    	purchase of such items or equipment, HHS will submit an invoice to COAW requesting
		    	reimbursement for the cost of the items or equipment.
						C.  Travel Expenses:  HHS may use a portion of the grant funds to reimburse an
		    	Instructor for travel expenses incurred in traveling to and from each fall prevention class taught
		    	by that Instructor.  Travel reimbursement is paid at .55 per mile and can be roundtrip to and
		    	from each class.  Only Instructors may be reimbursed.  At the conclusion of each six -week class
		    	session, HHS will submit an invoice to COAW setting forth the mileage and the travel expenses
		    	to be reimbursed to each Instructor for that class session.
					 	D.  Invoices:  All invoices shall be sent to COAW, c/o Brandy Haskins at 2575 S.
		    	Wadsworth Blvd, Lakewood, Colorado, 80227.
					 	E. A list of falls prevention classes scheduled in Eagle  County (as they are
		    	scheduled) are to be submitted to COAW, c/o Paula Harkness at 2575 S. Wadsworth Blvd,
		    	Lakewood, Colorado, 80227.
						F.  Occasional fidelity checks will be provided to HHS by COAW at scheduled falls
		    	prevention classes at no charge to this agreement.  Performance results will be sent to HHS c/o
		    	Karen Koeneman,
			     	5.		Miscellaneous:
					 	A.  This Agreement constitutes the entire Agreement between the parties
		    	related to its subject matter.  It supersedes all prior proposals, agreements and understandings,
		    	either verbal or written.
					 	B.  This Agreement does not and shall not be deemed to confer upon or grant to
		    	any third party any right enforceable at law or equity arising out of any term, covenant, or
		    	condition herein or the breach hereof.

						C.  Invalidity or unenforceability of any provision of this Agreement shall not
		    	affect the other provisions hereof, and this Agreement shall be construed as if such invalid or
		    	unenforceable provision was omitted.
			     	IN WITNESS WHEREOF, the parties hereto have executed this Agreement the day and
		    	year first above written.
