HomeMy WebLinkAboutC12-277 Eagle Care Medical Clinic Agreement MOU — Eagle County and Eagle Care Medical Clinic 1 MEMORANDUM of UNDERSTANDING BETWEEN THE COUNTY OF EAGLE, STATE OF COLORADO AND EAGLE CARE MEDICAL CLINIC THIS AGREEMENT made this ) d ay o . 1 2012 by and between the County of Eagle, State of Colorado, a body corporate and politic, ( "County ") and Eagle Care Medical Clinic, (hereinafter, "Community Based Organization "(CBO). 1. TERM of AGREEMENT: This Agreement shall commence on June 1, 2012, and continue until May 31, 2013. 2. SCOPE The purpose of this agreement is to define the working relationship and responsibilities of the parties in the establishment of computer kiosks at CBO locations as enrollment stations for Medicaid and other Public Assistance programs through the use of the Program Eligibility and Application Kit (PEAK) on -line enrollment program. The collaboration between Eagle County and CBO will increase access to adequate health coverage through Medicaid and CHP+ by increasing opportunities for community members to apply for Medicaid, CHP+ and other Public Assistance Programs. The collaborative efforts of Eagle County and CBO will provide access to services for the Medicaid and CHP+ eligible but uninsured population served in common. 3. TERMINATION: The County may terminate this Agreement upon ten (10) days written notice to CBO if it is deemed by the County in its sole discretion that the CBO is not fulfilling the terms of the agreement as specified in this Agreement, or for any other reason. Upon such termination any equipment and furniture provided by County such as computer kiosks and computers shall be returned to the County within 10 days of termination. Upon such termination any equipment and furniture provided by County such as computer kiosks and computers shall be returned to the County within 10 days of termination. 4. CBO'S RESPONSIBILITIES: The CBO shall comply with the following requirements: 1) The CBO agrees to provide space including electricity, internet service and IT support for the installation of the enrollment station and any ongoing maintenance and supplies. CBO will cooperate with the County Project Lead to assess enrollment station placement. Gat -2��- MOU — Eagle County and Eagle Care Medical Clinic 2 Desktop computers and KIOSKS will be used for the sole purpose of utilizing the Programs Eligibility Application Kit (PEAK) software for at least three years. 2) CBO will select staff to participate in an on -site Program Eligibility and Enrollment Kit (PEAK) program training to be made available by the County so that CBO staff can provide limited support to applicants who want to apply on -line for Public Assistance programs. CBO will cooperate with County Project Lead to determine schedules for on- going training. 3) Designated CBO will provide assistance to applicants. On a limited basis in accessing the PEAK system and copying documents provided with the client in conjunction with their application and ensure ! copies are sent to County same day of receipt. CBO agrees to become a Certified Application Assistance Site (CAAS) to assist families in completing the "Application for Medical Assistance" and is certified to verify citizenship and identification documentation. CBO will: o Apply to become a CAAS by faxing or mailing a completed "Certified Application Assistance Site Application" to: 303 - 866 -2505 or 1570 Grant St. Denver, CO 80203. o The agency must understand their liability if false documents are knowingly verified, and in this case their certification will be revoked. o The agency must agree to ensure that all staff assisting with applications is adequately trained on the process for completing an application and the proper procedure for verifying original or certified copies of citizenship and identity documents were presented. o The agency must be a community -based organization or non - profit organization supporting community and not an individual's interest. o The agency must agree to submit completed applications and all documentation to the client's county department of human/social services where they reside within five business days o Agencies with multiple locations must complete a "Certified Application Assistance Site Certification Application" for each location requesting certification 4) CBO will make available designated staff for reporting progress and project status at meetings with County to occur at least monthly to share information about what is working with project, what is not working, and lessons learned through the course of the project. 5) CBO will coordinate with County to ensure that processes and systems are in place to sustain on -going Medicaid and CHP+ enrollment activities at the project end, May 31, 2013. MOU — Eagle County and Eagle Care Medical Clinic 3 6) CBO will submit all requests to publicize information concerning the project to Eagle County Health and Human Services (ECHHS) who will obtain prior written approval of the Colorado Health Foundation prior to releasing or publicizing such information. Publicity requiring prior approval includes information about the project communicated through news releases, interviews, local media, email to stakeholders, newsletters, annual reports and other relevant media. 5. COUNTY'S RESPONSIBILITIES 1) The County will coordinate acquisition and placement of the computer, furniture and instructional materials to establish the enrollment stations at the CBO facility. 2) The County will provide personnel to complete training to designated CBO staff on the PEAK system. 3) The County will coordinate activities of the project for the first 12 month period and work with the CBOs to ensure systems are in place for sustainability of enrollment activities. 4) The County will provide print materials such as enrollment station guidebooks and press releases to announce enrollment stations. 6. ASSIGNMENT The CBO shall not assign any of its rights or duties under this Agreement to a third party without the prior written consent of County. Any assignment without the prior written consent of County shall cause this Agreement to terminate. 8. MODIFICATION • Any revision, amendment or modification to this Agreement, shall only be valid if in writing and signed by all parties. MOU — Eagle County and Eagle Care Medical Clinic 4 9. MISCELLANEOUS 1) The parties to this Agreement intend that the relationship of the CBO to the County is that of an independent community based organization. No agent, employee or volunteer of the CBO shall be deemed to be an agent, employee or volunteer of the County. 2) This Agreement shall be binding upon and inure to the benefit of the CBO and the County and their respective heirs, legal representatives, executors, administrators, successors and assigns. Neither party may assign or delegate any of its rights or obligations hereunder without first obtaining the written consent of the other party. 3) In the event of litigation in connection with this Agreement, the prevailing party shall be entitled to recover its attorney fees and costs, staff time and any other claim related expense. 4) The invalidity or unenforceability of any provision of this Agreement shall not affect the other provisions hereof, and this Agreement shall be construed as if such invalid or unenforceable provision was omitted. 5) CBO shall indemnify and hold harmless the County, its Board of Commissioners, and the individual members thereof, its agencies, departments, officers, agents, employees, servants and its successors from any and all demands, losses, liabilities, claims or judgments, together with all costs and expenses, including but not limited to attorney fees, incident thereto which may accrue against, be charged to or be recoverable from the County, its Board of Commissioners, and the individual members thereof, its agencies, departments, officers, agents, employees, servants and its successors, as a result of the acts or omissions of CBO, its employees or agents, in or in part pursuant to this Agreement or arising directly or indirectly out of CBO's exercise of its privileges or performance of its obligations under this Agreement. 6) The CBO shall comply with all applicable laws, resolutions, and codes. Notwithstanding anything to the contrary contained in this Agreement, the County shall have no obligations under this Agreement, nor shall any payments be made to CBO. 7) This Agreement shall be governed by the laws of the State of Colorado. Jurisdiction and venue for any suit, right or cause of action arising under, or in connection with this Agreement shall be exclusive in Eagle County, Colorado. 8) This Agreement supersedes all previous communications, negotiations and/or agreements between the respective parties hereto, either verbal or written, and the same not expressly . contained herein are hereby withdrawn and annulled. This is an integrated agreement and there are no representations about any of the subject matter hereof accept as expressly set forth in this Agreement. • MOU — Eagle County and Eagle Care Medical Clinic 5 9) CBO hereby certifies that it has read the Agreement, understands each and every term and the requirements set forth herein, and agrees to comply with the same. IN WITNESS WHEREOF, the parties hereto have executed this Agreement on the date first set forth above. Two counterparts have been delivered to County and one to the CBO.
