HomeMy WebLinkAboutC12-219 Xerox Termination Agreement Termination of Xerox Agreement 957097629 This Termination of Xerox Agreement 957097692 is entered into by and between Eagle County, Colorado ( "County ") and Xerox Corporation by and through its authorized dealer High Country Copiers ( "Vendor") on theoVday of June, 2012. RECITALS WHEREAS, Eagle County Department of Health and Human Services, a department of Eagle County, Colorado entered into agreement number 957097629 (hereinafter "Agreement ") for a printer /copier identified as item MFP6180D and S/N GNX 156933 (hereinafter the "Equipment "); and WHEREAS, the Equipment and Agreement were later assigned to County and located at the Riverview Apartment complex in Avon, Eagle County, Colorado; and WHEREAS, no other equipment was leased or sold to County under the Agreement; and WHEREAS, County and Vendor desire to terminate the Agreement as of payment 40 with County returning the Equipment to Vendor. TERMINATION NOW THEREFORE, in consideration of the foregoing premises and the following promises County and Vendor agree as follows: 1. Upon Execution of this Termination of Xerox Agreement 957097692 the Agreement is hereby terminated and shall be of no force and effect. County, its departments, authorities and corporations shall have no responsibility for any obligation, financial or otherwise, under the Agreement. 2. By signing below, Vendor acknowledges that it has received the Equipment from and County, its departments, authorities and corporations shall have no responsibility for the condition or on -going care or payment for the Equipment. 3. Upon execution of this Termination Agreement, Vendor shall pay ninety dollars ($90.00) to County representing reimbursement of amounts due from Vendor after the termination. 4. By signing below, the signor represents and warrants that he has the authority to enter into this Termination Agreement and to bind the entity for which he is signing.
