HomeMy WebLinkAboutC12-163 Software Supplement SOFTWARE SUPPLEMENT ONCORE ACCLAIM This Software Supplement is entered into on I,' 1 a , 2012 (the "Effective Date ") by and between Aptitude Solutions, Inc. ( "Aptitude ") and Eagle County, Colorado ( "Licensee ") and attaches to and amends that certain Software License Agreement (the "Agreement ") entered into between the parties hereto on x The parties agree to the following: L The Licensed Software A. Aptitude will provide the Licensee with the Software, specifically the OnCore Acclaim system, which includes the following functionality: 1. Document /transaction logging, tracking and automatic queuing moves documents through the office in a paperless manner. 2. Document imaging, which can be performed up- front. Up -front image scanning eliminates the need for "A" pages. 3. Document recordation, including digitally applied recordation stamping, eliminating slip printers. 4. Transaction tracking and filing. Includes complete histories of all recorded instruments with history of any transmittal forms from sender and receipts generated by the Licensee. All items stored by system generated transaction number independent of official record database. 5. Quality control feature enabling a review of all documents prior to archival. 6. Document indexing which allows the user to establish index fields. 7. Document verification allowing the user to define fields to be verified. 8. In -house search allowing users to search the database in a variety of flexible search routines. 9. Internet search utility, which allows for basic and advanced search structures. 10. Production tracking and management reporting. 11. Accounting and audit reporting. 12. Cashiering of both individual and total cash drawer closeouts. 13. Supervisory level edit checking and error correction. 14. On -line help and support manual. 15. Electronic recording capability. 16. Fraud Registration and Notification Module. 17. Reporting relative to daily balancing, as exemplified in Exhibit 1 attached Software Supplement 1 of 9 hereto, and further detailed to include: a) Series sequence summary report with pages; b) Tender options summary report; c) Fund transaction summary report by account number; and d) Escrow summary report. 18. Other standard reporting, as exemplified in Exhibit 2, that includes: a) Document type summary; b) Document type report; c) Customer activity report; d) Missing image report; e) User activity summary; f) E- recorded documents by document type; g) Escrow summary with calculated balances; and h) Escrow statements Licensee understands and agrees that any additional reporting, including the additional reports referenced as part of Exhibit 2 that are not referenced above, shall be treated as custom reports, and not provided as part of the OnCore Acclaim system. Should Licensee opt to add custom reports, it understands, acknowledges and agrees that the development and delivery of such reports will be provided by Aptitude at mutually agreed upon rates. B. Aptitude will provide the Licensee with all necessary documentation. C. Aptitude will provide the Licensee with all necessary third -party control licenses required by the OnCore Acclaim system. II. Professional Services A. Aptitude will provide the following services required for the completion of the installation: 1. Project Management. A project manager will be assigned to coordinate the installation of Acclaim. If Licensee is not satisfied with the project manager assigned to the project, Aptitude will replace such project manager. Licensee acknowledges that replacement of the project manager may interrupt the installation schedule. 2. Data and Image Conversion. a) Conversion of Licensee's County Land Records database (please see complete pre - install workbook for complete listing of data fields) into the Software Supplement 2 of 9 I[ OnCore Acclaim system database, plus conversion of existing images and or providing a programming link to existing images. If Licensee has any redacted images, Aptitude requires that the Licensee supply Aptitude with a copy of both the original image and the redacted image. If Licensee is unable to provide a copy of the redacted images, then Aptitude will provide Licensee with a separate and billable Statement of Work to produce the desired redacted images. b) The OnCore Acclaim conversion will include all official and vital records (images and Licensee Data) which are in the Licensee's current system. If Licensee has an additional database of official records that are fully indexed and imaged the conversion will also include converting those images and data into the OnCore Acclaim system. The conversion will exclude: • Financial data • Minute books • Coordinate redacted images • Alpha indexed images (Alpha Index is a separate licensed module offered by Aptitude) this includes historical books and Index that may have been imaged by the County. 3. Installation of Software. a) Installation of the OnCore Acclaim system on Licensee servers in a test area for initial training and testing period. b) Installation of the OnCore Acclaim system into a "live ", production environment upon completion of testing, converting and training. c) Subject to the complete and full cooperation of Eagle County, Aptitude will use commercially reasonable efforts to complete the installation of the OnCore Acclaim system in a commercially reasonable manner within one year of the Effective Date of the Agreement; provided, however, Aptitude shall not be responsible for any delays: (i) caused by factors outside of Aptitude's direct and immediate control (including, but not limited to, the provisions of Section 16 of the Software License Agreement); (ii) resulting from the acts or omissions of Eagle County and its personnel and agents; or (iii) resulting from the acts or omissions of Aptitude's third party contractors or agents, if any. 4. Training. Training of Land Records department employees on the OnCore Acclaim system. Software Supplement 3 of 9 B. The table below defines the estimated days Onsite that will be required for training, process mapping, post go -live support. Any additional days will be invoiced at $850 per day per trainer. Fee Summary The table below summarizes the fees for this Software Supplement. Software Supplement 4 of 9 Annual Maintenance Fee $15,000.00 Effective Upon Warranty Expiration Licensee is responsible for actual travel expenses incurred by Aptitude. Travel expenses incurred during training and installation will be invoiced monthly. Travel expenses incurred by Aptitude hereunder will not exceed $10,000. Any expenses over this amount must be pre- approved by Licensee in writing, Anticipated Payments • $27,880 or 34% of License and Installation Fees represented in Section III (Fee Summary Table) is due at the time Licensee signs the Agreement. • $27,060 or 33% of License and Installation Fees represented in Section III (Fee Summary Table) is due upon go live. • $27,060 or 33% of License and Installation Fees represented in Section III (Fee Summary Table) is due upon final acceptance of the Software. IV. Extras Items not included in the Fee Summary are considered "Extras" as noted below: 1. Software modifications — There will be an additional fee for any software modification requested by the Licensee. The billable rate for any such modification is $175 per hour. 2. Additional training or additional onsite support. Additional training beyond what is defined above will be billed at $850 per trainer per day. 3. Extras requested by Licensee are subject to Aptitude's Change Order request procedure as described in the Agreement. V. Scope of Services A. Aptitude will provide the following services: 1. Aptitude will appoint a project manager for the Licensee transition. 2. Aptitude will deliver the software and services set forth in the Software License Agreement between Aptitude Solutions and Licensee. 3. Aptitude will supply the required hardware specifications to Licensee so that Licensee may set about procuring the necessary components at their own expense. 4. Aptitude will supply Licensee with software specifications for required Software Supplement 5 of 9 operating systems and network software so that Licensee may set about procuring the necessary components at their own expense. 5. Aptitude will assist Licensee telephonically with set up issues for installation of the necessary hardware and operating /network software environment. Aptitude can also provide on -site assistance with set -up issues at our then prevailing hourly rates for technical support. 6. Aptitude will handle all of the data conversion specifically mentioned in the Software License Agreement and Section II(A)(2) herein. 7. Aptitude will handle the installation of the OnCore Acclaim application into a test area on Licensee's servers for initial testing and training. 8. Aptitude will provide training on -site at the offices of the Licensee. Additional training days beyond those outlined in this Software Supplement (Section II) will be provided if necessary as determined by Licensee pursuant to Section IV(2) herein. 9. Aptitude will provide all of the necessary documentation referenced in the Software License Agreement. B. Specifically excluded from this agreement include the following: 1. Conversion of data and images following go -live and customer acceptance. If the Licensee requests additional data and images to be converted after go -live, beyond any data or images missed as part of the original conversion, Aptitude will provide Licensee with a proposal for such work. 2. Modifications and /or enhancements to the OnCore Acclaim system. Licensee is licensing the most currently released version of the OnCore Acclaim system and this scope of services is to implement this version without modification. Any modifications or enhancements to the software, including creation of additional reports, are explicitly out of scope of this agreement. If the customer requests modifications or enhancements, including additional reports, Aptitude will provide Licensee with a proposal for such work. 3. On -site support following go -live and customer acceptance. If Licensee requests on -site support or additional training following system acceptance, Aptitude will provide such assistance pursuant to Section IV(2) herein. VI. Licensee Responsibilities Licensee will provide the following: 1. Licensee will appoint a project manager to oversee the various responsibilities of Licensee's Office. Software Supplement 6 of 9 2. Licensee will be responsible for the timely procurement, at its own expense, of the necessary hardware referenced as minimum required hardware in the pre - install workbook given to Licensee in our initial site visit. 3. Licensee will be responsible for the timely procurement, at its own expense, of the necessary software referenced as minimum required software in the pre - install workbook given to Licensee. 4. Licensee will be responsible for the timely procurement, at its own expense, of the necessary network topology and related cabling as referenced in the pre - install workbook given to Licensee. 5. Licensee is responsible for supplying Aptitude with the necessary information on its present database, for the purpose of conversion, in a timely fashion. The information may include record layout information and copies in a media mutually agreed on for the actual data. 6. Licensee is responsible for insuring that the appropriate personnel are available for training and other purposes as site visits by Aptitude personnel become necessary. 7. Licensee is responsible for testing the county's data and images after they have been converted and prior to go -live. 8. For purposes of implementing the Software, Licensee understands, acknowledges and agrees that (i) it shall not provide Aptitude with any proprietary information, including, without limitation, screen shots and/or file layouts, relative to Licensee's current vendor's system; and (ii) Aptitude shall not be required or expected to access Licensee's current vendor system at any time. Aptitude will waive the foregoing requirements if Licensee obtains the requisite authorization from its current vendor expressly authorizing Licensee to release the necessary and detailed information to Aptitude to facilitate the conversion of recorded data to the system or to enable or allow Aptitude to take an active and leading role in the deployment of the Software into Licensee's production environment. Licensee also understands, acknowledges and agrees that, for purposes of implementing the Software, Licensee shall be required to unilaterally deploy the Software into Licensee's production environment, with the provision of training and assistance from Aptitude as set forth herein and in the Agreement. Aptitude will waive the foregoing requirement if Licensee agrees through a prior written agreement to fully defend and hold Aptitude, its Software Supplement 7 of 9 officers, directors, employee, agents and affiliates harmless from any and all claims relative to Aptitude's access to Licensee's current operating environment. 9. Notwithstanding anything to the contrary contained in this Agreement, Licensee shall have no obligations under this Agreement after, nor shall any payments be made to Aptitude in respect of any period after December 31, 2012 without an appropriation therefore by Licensee in accordance with a budget adopted by the Board of County Commissioners in compliance with Article 25, Title 30 of the Colorado Revised Statutes, the Local Government Budget Law (C.R.S. § 29 -1 -101 et seq.) and the TABOR Amendment (Colorado Constitution, Article X, Sec. 20). VII. Warranty Period The Warranty Period shall be one (1) year commencing on the Software Acceptance Date. The parties agree that maintenance for the first year is included in the foregoing warranty provided by Aptitude. IN WITNESS WHEREOF, the parties hereto agree to the terms and conditions set forth herein and have caused this Software Supplement to be executed by their duly authorized representative on the Effective Date.
