EAGLE COUNTY AND COMMUNITY HEALTH SERVICES, INC.
THIS FIRST AMENDMENT ( "Amendment ") is made and entered into this 9,6 day of
Lo , 2012, between Eagle County, Colorado, and Community Health
Services, Inc. ( "Contractor ")
RECITALS
WHEREAS, County and Contractor entered into an agreement, dated December 13, 2011, for
the provision of prenatal services ( "Original Agreement "); and
WHEREAS, County is the owner of the facility located at 0020 Eagle County Drive in El Jebel,
Colorado (the "El Jebel Facility ") and wishes to make the El Jebel Facility available for prenatal
services provided under the Original Agreement; and
WHEREAS, County and Contractor wish to amend the terms of the original agreement to
provide for prenatal patient care at the El Jebel Facility.
NOW, THEREFORE, County and Contractor agree that the Original Agreement will be
amended as follows:
1. Article I, Scope, shall be amended by the addition of the following language:
B. Contractor shall provide the services at its Aspen Office. However,
notwithstanding the foregoing, Contractor agrees to provide a registered nurse between 2 and 3
Fridays every month during the term of this agreement (with the exception of the third Friday of
every month, which is reserved for Eagle County immunization clinics) to see a limited number
of Clients at the El Jebel Facility. At the El Jebel Facility, Eagle County will make the exam
room, break room and public health office available to the nurse during scheduled Fridays. For
services provided at the El Jebel Facility, Contractor shall provide all necessary nursing supplies,
computer equipment and other materials necessary to perform the services. Contractor will also
arrange for all associated blood work to be delivered to the Midvalley Medical Center no later
than 12:30 p.m. on Fridays for transmittal to the AVH lab.
2. County and Contractor agree that, except as expressly altered, modified and changed in
this Amendment, all terms and provisions of the Original Agreement shall remain in full force
and effect during the modified term, and hereby are ratified and confirmed in all respects as of
the date hereof.
3. This Amendment shall be binding on the parties hereto, their heirs, executors, successors,
and assigns.
