The following is Amendment No. 1 dated December 9, 2011 (the "Amendment ") to that
certain Statement of Work for Citizen Notification Service between Twenty First Century
Communications, Inc. ( "Provider "), successor -in- interest to Intrado, Inc. ( "Intrado ") and Eagle
Cottnnty ( "Customer ") dated June 1, 2008 (the "SOW ").
WHEREAS, Intrado assigned its interests in its notifications services agreement to
Provider, including the SOW;
WHEREAS, the parties desire to amend the SOW as further provided in this Amendment.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained
herein, the parties agree to amend and supplement the SOW as follows:
1. Capitalized terms used in this Amendment not otherwise defined herein shall have
the definitions specified in the SOW. The terms of this Amendment shall govern and
control in case of conflict with the SOW.
2. Name Change. All references to "Intrado, Inc." or "Intrado" used in the SOW
shall be changed to "Twenty First Century Communications, Inc." or "Provider."
3. Extension of Term. The parties hereby agree to enter into a Renewal Term of the
SOW through December 31, 2012.
4. Description of Services. Section 4.0 to the SOW is hereby deleted in its entirety
and replaced with the following:
4.0 Citizen Notifications Descripotion. Provider will operate, monitor and
maintain a multi - channel (i.e. phone, email, SMS, fax, etc.) communications
solution that allows Client to deliver content and messages to recipients in
accordance with this SOW.
5. Change of Rates. Appendix A to the SOW is deleted in its entirety and replaced
with Appendix A, attached hereto and incorporated herein by this reference.
6. Subject to the alterations and amendments contained in this Amendment, the
parties ratify and confirm the SOW in all other respects.

APPENDIX A
TFCC Alert Annual Fixed Commitment Plan
The' Annual Fixed Commitment Plan provides clients the ability to purchase an agreed upon volume of
calls/transactions. There is no setup fee or maintenance fee. Usage charges are billed only if quoted annual
volumes are exceeded. Please note that the number of minutes included below may be adjusted depending on the
needs of the client.
A system that includes:
• A fully hosted emergency notification system
• Free upgrade to TFCC Alert
• Fixed annual fee which includes $14,800 system usage applicable to any messaging channel (includes
equivalent to 40,000 call minutes)
• Messaging via: voice (Inbound /outbound), SMS text, email and true TTY /TTD, Twitter and Facebook
Integration
• GIS mapping, annually
24/7/365 Tech and Help Desk Support and dedicated account management
• Public Sign -up page
• Initial on site training and subsequent follow up training via web cast
�• Telephone Number Geo- coding provided monthly
System usage in excess of Annual prepaid level will be billed at the contracted rate below. Unused
prepaid system usage may not be aggregated or carried over to subsequent or following years or contract
periods.
