This Assignment Agreement ("Agreement), effective as of the date of last signature of a party hereto (the
"Effective Date"), is entered into by and between SCIenergy. Inc., a Delaware corporation (SCI° and
"Assignee"), and Impact Energy Solutions, a Massachusetts corporation (iES" and "Assignor).
WHEREAS, IES entered into a Master Agreement with the County of Eagle, Colorado on March 24, 2011
("County Contract," attached hereto as Exhibit A) to provide County of Eagle, Colorado with access to
SCI's SCIWatch Platform,
WHEREAS, in order to provide a higher level of service to their respective clients, IES and SCI have
aligned their business operations whereby all employees of IES are now employees of SC1, and IES is
now in the process of assigning its contracts to SCI.
NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and for
value received (subject to County of Eagle, Colorado's consent below), the parties agree as follows:
1 The Assignor hereby assigns, transfers and sets over to Assignee all rights, title and interest held
by the Assignor in and to the County Contract.
2. The Assignor warrants and represents that the County Contract is in full force and effect and is
fully assignable upon the prior written consent of County of Eagle, Colorado, as evidenced below.
3. The Assignee hereby assumes and agrees to perform all the remaining and executory obligations
of the Assignor under the County Contract and agrees to indemnify and hold the Assignor harmless from
any claim or demand resulting from non-performance by the Assignee.
4. The Assignee shall be entitled to all money remaining to be paid under the County Contract,
which rights are also assigned hereunder.
5, The Assignor warrants that the County Contract is without modification, and remains on the terms
contained.
6. The Assignor further warrants that it has the rights under the County Contract are free of lien,
encumbrance or adverse claim
7. This assignment shall be binding upon and inure to the benefit of the parties, their successors
and assigns.

This Agreement ( "Agreement') dated as of this day of I Arbh , 260 is
between the County of Eagle, State of Colorado, a body corporate and politic, by and through its
Board of County Commissioners ( "County "), and Impact Energy Solutions, with a mailing
address of 93 Union Street Suite 315, Newton Center, MA 02459 ( "IES ").
WHEREAS, the County is in need of a company to provide the services outlined in
Section 1.1 hereunder; and
WHEREAS, IES has represented that it has the experience and knowledge in the subject
matter necessary to carry out the services outlined in Section 1.1 hereunder; and
WHEREAS, County wishes to hire IES to perform the tasks associated with such services
outlined in Section 1.1 hereunder; and
WHEREAS, County and IES intend by this Agreement to set forth the scope of the
responsibilities of the IES in connection with the services and related terms and conditions to
govern the relationship between IES and County in connection with the services.
Agreement
Therefore, based upon the representations by IES set forth in the foregoing recitals, for
good and valuable consideration, including the promises set forth herein, the parties agree to the
following:
1. Services Provided:
1.1 IES will provide SClwatch software services as more particularly set forth in IES's
proposal, attached hereto as Exhibit "A" and incorporated herein by reference,
(hereinafter called "Software Services "). The Software Services are generally described
as the provision of SCIwatch software for the purpose of monitoring energy and
operational system performance throughout County buildings identified in Exhibit "A"
and creating the Energy Cost Reductions identified in Exhibit "A."
12 The Software Services will diagnose and track the resolution of anomalies associated with
any HVAC, electric meter and lighting subsytems associated with the building automation
systems ("BAS") used at the County buildings that are identified as a result of monitoring
such usage. It is understood that County will be solely responsible for resolving any
causes of atypical operations that are identified through the Software Services.
1.3 County shall execute promptly upon request the necessary forms from County's energy
utility or County's contractors to allow IES to act on the County's behalf to obtain
historical and on -going BAS, energy usage and billing data and copies of correspondence

and to request investigation of utility bills. County shall also complete promptly upon
request TES's Customer Data Checklist document with information on monitored-
equipment design intent, operating hours, and contacts for each County building and
provide IES copies of recent energy bills and other background information and IES may
reasonably request.
1.4 County acknowledges that the downloading of operational and energy consumption date
from County's BAS, energy utility, from third -party or from County owned equipment
may be delayed from time to time. County also acknowledges that the Software Services
may be interrupted from time to time. IES shall credit County pm -rata against monthly
fees for the number of days that Software Services are unavailable, but shall not provide
such pm -rata credit for delays associated with downloading building system and energy
consumption data from County's BAS, energy utility, from third -party or from customer -
owned meters. IES shall have no other liability to County for interruptions in the Software
Services beyond providing pro-rata credit against monthly fees for the number of days that
Software Services are unavailable.
1.5 It is anticipated or possible that County will utilize IES for other services on an as- needed
basis. Any such additional services will be through a signed written amendment to this
Master Agreement. IES shall not perform any additional services without an executed
amendment. Such amendment will set forth the scope of work for the additional services.
Except as may be expressly altered by the amendment, all terms and conditions of this
Master Agreement shall control.
1.6 To the extent the terms and conditions ofthis Agreement may conflict with Exhibit "A" or
any future exhibits or amendments, the terms and conditions of this Agreement shall
control.
1.7 The IES agrees that IES will not knowingly enter into any consulting arrangements with
third parties that will conflict in any manner with the Software Services.
1.8 IES has given the County a proposal for performing the Software Services and
represented that it has the expertiAequiprnent, and personnel necessary to properly
and timely perform the Software Services.
1.9 The Software Services will be used solely by County employees who are involved
with managing energy use for County buildings and solely for County's internal
business purposes. County may not resell, rent, lease, timeshare or otherwise use
or make available the Software Services to or for any third party. County is
authorized to use only the number of seats to use the Software Services that have
been ordered and paid for by County. The Software Services will be provided to
employees of County on a confidential password - restricted basis. County shall not:
(i) integrate the Software Services into or link with another program or any part
thereof for any purpose whatsoever, without the express written permission of IES;
(ii) attempt to obtain unauthorized access to, or discover, decrypt, any software or
other proprietary information of IES or SCI that is used in connection with the
provision of the Software Services or to use information learned in the course of
using the Software Services for the purpose of developing a service or solution that
is competitive with the Software Services; (iii) modify or create derivative works

based on the Software Services or any software or documentation used in
connection therewith.
2. Term of Agreement
2.1 This Agreement shall commence on the agreement date and, subject to the provisions of
Section 2.2 hereof, shall continue in full force and effect for a period of 1 year
commencing with the effective date of this Agreement. This Agreement may be
extended beyond the time referred to in this Section 2.1 on terms and conditions as may
be mutually agreed between the parties hereto in writing.
2.2 This Agreement may be terminated by either party for any other reason with 30 days
written notice, with or without cause, and without penalty whatsoever therefore.
2.3 In the event of any termination of this Agreement, IES shall be compensated for all
incurred costs and hours of work then satisfactorily completed, plus approved
expenses. IES will have the right to remove any or all ofthe IES -owned meters,
profilers, communication and other equipment that IES installed at the County
buildings.
3. Independent Contractor:
3.1 With respect to the provision ofthe Software Services hereunder, IES acknowledges that
IES is an independent contractor providing Software Services to the County. Nothing in
this Agreement shall be deemed to make IES an agent, employee, partner or
representative of County.
32 IES shall not have the authority to, and will not make any commitments or enter into any
agreement with any party on behalf of County without the written consent of the Board
of County Commissioners.
33 IES will maintain workman's compensation and unemployment insurance as required by
law; commercial auto coverage, commercial general liability and errors and
omissions insurance each with limits of not less than $1,000,000 per occurrence
4. Remuneration:
4.1 For the Software Services provided hereunder, County shall pay to IES the monthly fee as
set forth in the attached Exhibit "A." Fees will be paid within thirty (30) days of receipt
of a proper and accurate invoice from IES respecting Software Services. The invoice
shall include a description of services performed. Upon request, IES shall provide
County with such other supporting information as County may request.
42 County will not withhold any taxes from monies paid to IES hereunder and IES agrees to
be solely responsible for the accurate reporting and payment of any taxes related to
payments made pursuant to the terms of this Agreement.
4.3 Notwithstanding anything to the contrary contained in this Agreement, no charges shall be
made to the County nor shall any payment be made to the IES in excess of the amount for
any work done without the written approval in accordance with a budget adopted by the

Board in accordance with provisions of the Colorado Revised Statutes. Moreover, the
parties agree that the County is a governmental entity and that all obligations beyond the
current fiscal year are subject to funds being budgeted and appropriated.
5. Ownership of Documents and Data:
5.1 County retains ownership of all data transmitted to Scientific Conservation Inc. (SCI's)
servers in connection with use ofthe Software Services; provided that SCI shall have the
right to use any data of County obtained from the BAS with which the Software Service is
used in connection with the provision of the Software Services. All documents (including
electronic files) which are obtained during or prepared, either partially or wholly, in the
performance of the Software Services shall remain the property ofthe County and are to
be delivered to County before final payment is made to IES or upon earlier termination
of this Agreement.
6. Indemnification:
Within the limits allowed by law, IES shall indemnify County for, and hold and defend
the County and its officials, boards, officers, principals and employees harmless from, all
costs, claims and expenses, including reasonable attorney's fees, arising from claims of
any nature whatsoever made by any person in connection with the negligent acts or
omissions of, or presentations by, IES in violation of the terms and conditions of this
Agreement. This indemnification shall not apply to claims by third parties against the
County to the extent that the County is liable to such third party for such claim without
regard to the involvement of IES.
7. IES's Professional Level of Care:
IES shall be responsible for the completeness and accuracy of the Software Services,
including all supporting data and other documents prepared or compiled in performance
of the Software Services, and shall correct, at its sole expense, all significant errors and
omissions therein. IES shall perform the Software Services in a skillful, professional and
competent manner and in accordance with the standard of care, skill and diligence
applicable to IESs, with respect to similar services, in this area at this time.
8. No Assignment:
The parties to this Agreement recognize that the Software Services to be provided
pursuant to this Agreement are professional in nature and that in entering into this
Agreement County is relying upon the professional services and reputation of IES and its
approved subcontractors. Therefore, neither IES nor its subcontractors may assign its
interest in this Agreement or in its subcontract, including the assignment of any rights or
delegation of any obligations provided therein, without the prior written consent of
County, which consent County may withhold in its sole discretion. Except as so provided,
this Agreement shall be binding on and inure to the benefit of the parties hereto, and their
respective successors and assigns, and shall not be deemed to be for the benefit of or
enforceable by any third party. Unless specifically stated to the contrary in any written
consent to an assignment, no assignment will release or discharge the assignor from any
duty or responsibility under the Agreement.

9. Notices:
9.1 Any notice and all written communications required under this Agreement shall be
given in writing by personal delivery, facsimile or U.S. Mail to the other party at the

9.2 Notices shall be deemed given on the date of delivery; on the date the facsimile is
transmitted and confirmed received or, if transmitted after normal business hours, on the
next business day after transmission, provided that a paper copy is mailed the same date;
or three days after the date of deposit, first class postage prepaid, in an official depository
of the U.S. Postal Service.
10. Jurisdiction and Confidentiality:
10.1 This Agreement shall be interpreted in accordance with the laws of the State of Colorado
and the parties hereby agree to submit to the jurisdiction of the courts thereof. Venue
shall be in the Fifth Judicial District for the State of Colorado.
10.2 IES and County acknowledge that, during the term of this Agreement and in the course of
the IES rendering the Software Services, the IES and County may acquire knowledge of
the business operations ofthe other party not generally known deemed confidential. The
parties shall not disclose, use, publish or otherwise reveal, either directly or through
another, to any person, firm or corporation, any such confidential knowledge or
information and shall retain all knowledge and information which he has acquired as the
result ofthis Agreement in trust in a fiduciary capacity for the sole benefit of the other
party during the term of this Agreement, and for a period of five (5) years following
termination of this Agreement. Any such information must marked as confidential.
The parties recognize that the County is subject to the Colorado Open Records Act
and nothing herein shall preclude a release of information that is subject to the

same.
11. Miscellaneous:
11.1 This Agreement constitutes the entire Agreement between the parties related to its
subject matter. It supersedes all prior proposals, agreements and understandings.
112 This Agreement is personal to the IES and may not be assigned by IES.
11.3 This Agreement does not and shall not be deemed to confer upon or grant to any third
party any right enforceable at law or equity arising out of any term, covenant, or
condition herein or the breach thereof.
11.4 IES makes no warranties express or implied with respect to the Software Services,
including without limitation, any implied warranty of merchantability, fitness for a
particular purpose, conformity to any representation or description, or non-
infringement. Without limiting the generality of the foregoing, IES does not
warrant that the Software Services will be available on an uninterrupted basis or
that the Software Service will be free from defects or will meet customer's
requirements; and IES does not provide any warranty with respect to the results
obtained by using the Software Services. County acknowledges that no promises
are made to County that it will save energy costs at the County buildings as a result
of the use of the Software Services and that County assumes all responsibility with
respect to achieving such savings.

Executive Summary
Impact Energy Solutions is pleased to submit this proposal to Eagle County for the costs and
benefits of implementing an Energy Cost Savings and Greenhouse Gas Emissions (GHGE)
Reduction Program utilizing Scientific Conservations proprietary Automated Continual
Commissioning (ACC) platform, SClwatch.
SClwatch's ACC platform is the industry's first software -as -a- service (SaaS) solution to
continuously maintain system efficiencies against real -time operation. This program will
extract data points from the existing Building Automation (BAS) system in the form of critical
data streams. This data will be transmitted to servers in Atlanta every 5 minutes, where
SCIwatch neural network technology will analyze the thousands of data points with proprietary
mathematical algorithms, based on equipment specification standards, complex building
component interaction, and NOAA weather data including solar glare, temperature and
humidity. Detected Anomalies, sensor failures, and operational inefficiencies will be ranked,
prioritized, and delivered through a web -based work -order system with customizable levels of
reporting functionality.
All successful energy reduction initiatives begin by understanding where you are and where
you can go. SCIwatch will baseline building performance and achieve efficiencies with the
current configuration of the Trane Tracer building automation system, prioritizing valuable
maintenance time and reducing energy usage. This program will cover 3 buildings that are
integrated into one Trane Tracer BAS: Eagle County Building- Administration (55,223 sq. ft.),
Eagle County Building- Facilities Management (4,149 sq. ft.), and the Old Court House
Building (17,700sq. ft.).
Additional Benefits:
•
1) O &M/Preventative Maintenance: SClwatch reduces runtime, thereby extending
equipment life. Additionally, continual monitoring of building systems will identify
equipment anomalies long before the Building Automation System alarm, avoiding
problematic and expensive equipment failures.
2) Energy Star: Should it be of interest, this program will significantly improve the
Energy Star rating of county buildings, and enable positive publicity associated with
improving environmental performance.
3) LEED -EB: Should certification become of interest, this program significantly helps to
obtain 10 -20 points toward certification, depending on the level of aggressive
optimization acted upon.

The Technology:
SClwatch is a highly scalable, vendor - neutral energy analytics platform that interfaces with
any building energy management system for automatic data collection, warehousing,
diagnostics and work order issuance and tracking. It also serves as a centralized, non - invasive
system that consolidates up -to- the - minute views into energy usage and system -wide
performance levels with reporting parameters tailored for executive -level and operational staff.
At the core of the SClwatch platform is a pattern recognition technology that distinguishes the
solution in the energy management market. Because system degradation can be extremely hard
to detect — especially if the tools being used are not sensitive enough to pick up the slightest
of anomalies that impact energy efficiencies — SClwatch employs neural networks, a
commercially proven form of artificial intelligence. This form of advanced mathematics
applies a scientific model that increases the accuracy and predictability of system faults that
can cost organizations significant money in terms of unnecessary energy consumption and
productivity erosion due to system downtime. By employing neural networks, the SClwatch
solution can accept a virtually unlimited number of independent variables and produce a very
accurate pattern of the way energy is consumed, managed and wasted.

DATA COMMUNICATION METHODS

Background:
This document outlines communication methods utilized by Scientific Conservation Inc. (SCI)
to receive data from existing building automation systems (BAS). The methods are negotiated
with customer IT departments to function within current access parameters. These
connectivity methods do not elaborate upon driver specifics that are covered in other SCI
documents. The customer interacts with SClwatch using the website; this document describes
the way that SClwatch gets its data from the BAS. The preferred method is in bold text below
and the other options are grayed out for reference.
Communication Methods:
To perform the SClwatch diagnostic data mining activity on collected data, SCI needs to
receive the data from the BAS at the customer's site using a Driver program that enables SCI
to retrieve the data from the BAS system. Where that SCI driver is placed and how it
communicates to the Atlanta Technology Center (ATC) generally follows five paths:
1. Corp -to -Corp VPN Connection
SCI uses Virtual Private Networks (VPN) to connect to BAS systems to configure point
trends, gather available point lists and gather data for SClwatch. The driver operates
remotely from the ATC and communicates over the VPN to the local subnet directly
connected to the BAS Master controller using its protocol (eg, for BACnet, usually
UDP port 47808). Security is ensured by customer firewall (customer sets the rules to
only allow SCI to communicate to the BAS), SCI's firewall, and the Master controller
itself.
2. Driver at Customer site, connect via SCI webservice
SCI driver is installed at the customer's site and is slightly more involved for SCI and
Customer integration; the driver connects to the SCI ATC webservice over HTTPS.
The driver requests a configuration file which includes a list of tasks, performs them,
and then exports the data to SCI's ATC waiting webservice. Customer can check or
audit the traffic. Security is ensured by the customer being able to observe the traffic.

3. Driver at Customer site, two -way FTP
This is a variation on method number two; instead of using the webservice, a script (or
the driver) installed on the customer site will request via File Transfer Protocol (FTP or
SFTP) the configuration file including the "task list" from SCI ATC at scheduled times.
The customer or SCI driver will collect requested trend data and write it to an export
file. The driver or a separate FTP client will transfer data the back to SCI's ATC FTP
site. Security concerns are the same as method number two, but some customers prefer
FTP over webservices.
4. Driver at customer site, one - way FTP
SCI driver is installed at the customer's site with no remote access. This method is the
most involved for SCI and Customer integration, setup and modification; instead of
using two -way FTP, the data collection driver and configuration file is installed at the
customer site and suns tasks at pre - scheduled intervals. The resulting export file is
transmitted to SCI ATC via FTP or SFTP. This method is slightly more secure than
method number three, as SCI cannot tell the driver to do new things, however this
method uses extra bandwidth as the driver will collect the entire trend instead of
sending just what was necessary.
5. Customer FTPs logfiles to SCI
No driver from SCI is installed at the customer's site. This method is the most involved
as the Customer is responsible for integration, setup, data collection and scheduling •
intervals to send data to SCI's ATC. This is the most secure method for the customer
as SCI has literally no access to the site. Transfer bandwidth is determined by the file
format & compression used by customer. The FTP export file requirements are listed
in the "FTP Implementation Procedure" document.

Post "Launch" Technical Requirements:
1) Submit utility bills to IES within 30 days of receipt to be entered into SClwatch
2) Notify IES of any structural changes, equipment replacements, or other equipment /control
modifications that would affect the design criteria initially submitted to configure SClwatch.
Post Contract Deliverables:
1) Impact Energy Solutions will project manage the SClwatch "onboarding" process: collecting the data
listed above in the Technical Requirements table, and interfacing between SCI and Eagle County on
matters of IT and technical configuration.
2) Once SClwatch has launched, SCI will provide technical support. A fault can always be delegated back
to Scientific Conservation for review.
