HomeMy WebLinkAboutC12-015 Rocky Mountain Elevator First Amendment FIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY AND ROCKY MOUNTAIN ELEVATOR LLC THIS FIRST AMENDMENT ( "Amendment ") is made and entered into this / day of Ste,�-�►� , 2012, between Eagle County, by and through its Board of County Commissions (hereinafter referred to as "County ") and Rocky Mountain Elevator, LLC, a company organized and existing by virtue of the laws of the State of Colorado and with a principal place of business at 20 Harrier Circle, Eagle, Colorado 81631 and a mailing address of P.O. Box 273, Wolcott, Colorado 81655 (hereinafter referred to as "Contractor "). WHEREAS, County and Contractor entered into an Agreement dated January 6, 2011 for elevator maintenance and repair services at the Eagle County Airport Air Traffic Control Tower ( "Original Agreement "); and WHEREAS, County and Contractor wish to amend the terms of the Original Agreement to extend the term of agreement and compensation provisions. NOW, THEREFORE, County and Contractor agree that the Original Agreement will be amended as follows: 1. Article 3, Term of Agreement, shall be amended to extend the term of the Agreement for an additional one year, expiring on December 31, 2012. 2. County and Contractor agree that, except as expressly altered, modified and changed in this Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect during the modified term, and hereby are ratified and confirmed in all respects as of the date hereof. 3. This Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. 4.
