Home My WebLink AboutC11-377 H&B Snow Removal Second Amendment 1 SECOND AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY AND H & B SNOW REMOVAL, INC. THIS SECOND AMENDMENT ( "Amendment ") is made and entered into this of December, 2011, between Eagle County, by and through its Board of County Commissioners (hereinafter referred to as "County ") and H & B Snow Removal Services, Inc. a Colorado corporation with its principal place of business at 916 B Chambers Ave., Eagle, CO 81631 (hereinafter referred to as "Contractor "). WHEREAS, County and Contractor entered into an Agreement for snow removal services dated December 3, 2010 ( "Original Agreement "); and WHEREAS, County and Contractor wish to amend the terms of the Original Agreement to extend its term of agreement and compensation provisions. NOW, THEREFORE, County and Contractor agree that the Original Agreement is hereby amended as follows: 1. Article 1, Work, shall be amended to add the removal of snow from the sidewalks at the Justice Center and the Senior Center On -Call snow removal services at the Senior Center for the work period of November 15, 2011 through April 15, 2012. For the Justice Center Work under this Agreement, frozen precipitation must be removed from sidewalk surfaces, including those leading to each of the exterior egress doors to the building. The Work should be initially completed by 8:00 a.m. when any frozen precipitation is present, and must be repeated as needed throughout the day to provide safe access to the locations to maximize operations and to minimize risk of injury to pedestrians. For the Senior Center On -Call Work under this Agreement, frozen precipitation must be removed as requested by Facilities Management. 2. Article 4, Renumeration [sic], Section 4.1, shall be modified to include the following language: For the Work provided for the Justice Center as provided herein, County shall pay to the Contractor monthly installments of $742.50 for Work satisfactorily performed, but in no event shall the total amount paid to the Contractor exceed $2,970.00 absent a written amendment to this Agreement as described in the Scope of Work and Fees List attached hereto as Exhibit A and incorporated herein by this reference. For the Work provided for the Senior Center as provided herein, County shall pay to the Contractor $25.00 for snow plowing and $90.00 for shoveling of 1" — 6" of accumulation and $50.00 for snow plowing and $180.00 for shoveling of 6 "or more of accumulation each time the Work is satisfactorily performed, but in no event shall the total amount paid to the III -3�� Contractor exceed $2,415.00 absent a written amendment to this Agreement as described in the Scope of Work and Fees List attached hereto as Exhibit B and incorporated herein by this reference. Fees for Work satisfactorily performed will be paid within thirty (30) days of receipt of a proper and accurate invoice from Contractor. The invoice shall include a description of and a date for which the Work was performed. Upon request, Contractor shall provide County with such other supporting information as County may request. 4. County and Contractor agree that, except as expressly altered, modified and changed in this Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect during the modified term, and hereby are ratified and confirmed in all respects as of the date hereof. 5. This Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. 6. If any conflict exists between the provisions of this Amendment and the Original Agreement, the provisions this Amendment shall control. • IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Agreement the day and year first above written.
