THIS DEED (the "Deed "), made as of the day of (Mi , between Eagle
Vail Metropolitan District, ( "Grantors "), whose address is 538 Eagle Road, Avon, Colorado,
81620, and the Board of County Commissioners of Eagle County, Colorado, a political
subdivision of the state of Colorado ( "Grantee "),
WITNESSETH:
WHEREAS, Grantors are the fee owner of certain real property (the "Property ")
described on Exhibits "A" `B ", "C" and "D" (Survey Descriptions and Maps) attached hereto
and incorporated herein by this reference; and
WHEREAS, Grantors wish to grant to Grantee, and Grantee wishes to obtain from
Grantors, an easement on the Property for purposes of constructing and maintaining a paved trail
on the Easement for the benefit of the people of Eagle County.
NOW, THEREFORE, in consideration of the foregoing premises and the following
promises, the parties hereto agree as follows:
1. Grantors, in consideration of the sum of Ten Dollars ($10.00) and other good and
valuable consideration, the sufficiency of which is hereby confessed and acknowledged, hereby
grant a perpetual, non - exclusive easement (the "Easement") to Grantee, its successors and
assigns, for the benefit of the people of Eagle County, for construction and maintenance thereon
of a ten -foot wide paved trail, with necessary fill slopes, retaining walls and drainage
appurtenances (the "Improvements "), to have and to hold the same, together with all and singular
the appurtenances and privileges thereunto for the proper use and benefit of Grantee, its
successors and assigns, forever, subject only to the terms hereof.
2. To the extent allowed by law, Grantee shall indemnify and hold harmless the
Grantors, their successors and assigns, from and against any claim of liability arising from acts
or omissions of the Grantee, and its employees, agents and contractors, in connection with the
construction and use authorized herein; provided, however, that Grantee does not hereby waive
the immunities and limitations provided under the Governmental Immunity Act or any successor
thereto.
3. Grantee shall construct, maintain, repair and replace the Improvements in a
manner and by means in accordance with its exclusive judgment, at its own expense. In the
event that Improvements are damaged or destroyed by Grantors, their employees, agents and
contractors, on or upon the Easement, Grantors shall be responsible for repair and restoration of
the Improvements to their condition prior to such destruction or damage. If Grantors must
undertake repairs or replacement of irrigation facilities under the trail that serve the Property, and
the Improvements will be subjected to damage as a result, Grantee shall be responsible for repair
and replacement of the Improvements due to underground irrigation work. Grantors shall make
every effort to avoid or minimize the extent of the damage and shall notify the Grantee prior to
work being performed to review scope and schedule of planned work, safety and access for
repair to the Improvements. Grantee and Grantors agree to work cooperatively to avoid or
minimize potential underground work that may affect the Improvements.
4. If in Grantee's sole opinion, the trail for which this easement was originally
granted is no longer necessary for any reason, Grantee or Grantors may request dissolution of
this easement. Such dissolution must be in writing and will not be unreasonably withheld by
Grantee or Grantors.
5. Grantors shall not place, construct or maintain any structure on or above the
surface of the Easement that would unreasonably obstruct access to or the use of the Easement.
6. This Easement is granted subject to prior, recorded grants of easements. After the
date hereof, Grantor shall not make or authorize any use of the Easement which is inconsistent
with or interferes with the uses authorized herein.
IN WITNESS WHEREOF, the parties have entered into this Agreement as of the day and
year first above written.
