EAGLE COUNTY, COLORADO AND ISC, INC.
This First Amendment to the Agreement between Eagle County, Colorado and ISC, Inc., dated
this Jday of 5 i p }t N o ) j L1.. , 2011, is between Eagle County, Colorado ( "County ") and
AISC ( "Consultant ").
WITNESSETH:
WHEREAS, on June 27, 2011, the County and Consultant entered into an agreement for the
provision of IT Consulting Services ( "Agreement "); and
WHEREAS, the County and the Consultant wish to modify the terms of that Agreement to
include the provision of additional services.
NOW, THEREFORE, in consideration of the terms and conditions of the original Agreement
and the amendments herein, the sufficiency of which is hereby acknowledged, the County and the
Consultant agree that the terms of the Agreement shall be modified as follows:
1. Article 1, Services Provided, shall be amended to expand the Consulting Services to
include the services and deliverables described in ICS's Statement of Work for Eagle County
Government, Bus Barn Wireless Access Points, dated September 3, 2011, attached hereto as
Exhibit `B" and incorporated herein by this reference (the "Additional Services "). In the event
of any inconsistency between the terms of Exhibit B and the terms of either the Agreement or
this First Amendment, the terms of the Agreement and this First Amendment shall control.
2. Article 4, Compensation, shall be amended to increase the compensation amount
provided therein by five thousand dollars ($5,000) as full and complete compensation to ISC for
the Additional Services to be provided under Exhibit B. Payment for the Additional Services
shall be made upon completion of the Additional Services and within thirty (30) days of receipt
of a complete and accurate invoice from Consultant identifying the Additional Services. Upon
request, Consultant shall provide County with such other supporting information as County may
request.
3. County and Consultant agree that, except as expressly altered, modified and changed in
this First Amendment, all terms and provisions of the original Agreement shall remain in full
force and effect, and hereby are ratified and confirmed in all respects as of the date hereof.

In Witness Whereof, County and Consultant have executed this First Amendment in triplicate on
the date set forth above. Two counterparts have been delivered to County and one to Consultant.

STATEMENT OF WORK
1. Introduction
1.1. Executive Summary
1.1.1. Customer Objectives / Requirements
Eagle County Government has engaged ISC to provide engineering assistance to deploy three
wireless access points at the Eagle County Bus Barn. These wireless access points will provide
bus connectivity (while in the bus barn) to download data to the Eagle County network. ISC will
provide the necessary WCS and AP programming to provide management of the AP's. a
separate, routable VLAN for the bus barn Access Points. ISC is not responsible for the
connectivity of the Clever Devices' configurations. IP access will be provided by the Eagle
County LAN/WAN.
1.1.2. Solution Summary
ISC will deploy three, Cisco wireless access points, enclosures and antennas to complete this
engagement. ISC will not provide cats or cat5E for this engagement. ISC will not be
responsible for any performance issues related to data cabling or the Clever Devices equipment.
ISC will be providing basic data access for the three access points but will not be performing any
switch programming as a part of this engagement. For details and additional information on
engagement scope and deliverables please see the appropriate sections in this Engineering

The ISC Profession Services total for all locations covered in this Statement of Work is:
$5,000.00 and is inclusive of all travel and expenses.
ISC Payment terms are: 100% of the above amount due upon succession completion of the
project.

2. Project Scope
2.1. Overview
The project scope section below describes the assistance that ISC will provide the customer in
implementing the solution as outlined in requirements and solution description sections above. This scope
will outline the tasks that will be included in the project for both ISC and the customer's staff. Any
changes to these tasks or scope will need to be submitted as outlined in the change process section and
additional resources /fees /timelines may be incurred depending on the change.
2.2. Assumptions, Risks and Scope Exclusions
Assumptions for this project are detailed below:
1. At any time during the ISC - conducted installation and configuration process, the ISC Engineer
may determine that an infrastructure component or design parameter should be completely re-
designed to function properly as part of the network. Upon making such a determination, the ISC
Engineer will completely document the reasoning behind this determination, and the ISC Engineer
will present this determination to the customer for its review. Upon the customer's acceptance of
the ISC Engineer's determination, the ISC Engineer will coordinate the re- configuration of said
network infrastructure component.
2. If the project extends beyond the mutually agreed upon timeline due to delays caused by parties
other than ISC, additional charges will be provided to the customer for acceptance and payment.
3. The customer will be responsible for having the correct smartnet in place to allow for software
upgrades (If needed).
Risks that have been identified are detailed below with the responsible party for each:
1. Power must be installed and tested prior to scheduling of the ISC engineer to be on -site. The
customer will be responsible for ensuring this is completed.
2. All telecom circuits must be installed and tested prior to scheduling of the ISC engineer to be on-
site. The customer will be responsible for ensuring that this is completed.
3. Equipment locations must be dedicated and rack space available for all equipment (if a new
rack/cabinet is not being installed by ISC) prior to the scheduling of the ISC engineer to be on-
site. The customer will be responsible for ensuring this is completed.
Exclusions from the Scope of this project that have been identified are detailed below:
1. ISC is not responsible for the performance or quality of third -party vendors not brought in by ISC.
If these vendors affect the project time line, additional fees might be assessed.
2. ISC will not be responsible for any engineering changes on any component of the customer's
entire infrastructure, including any installation or configuration changes, made by the customer's
staff or other vendors after project completion. ISC can be contracted to provide any installation
and configuration services not covered in this Statement of Work on a time and materials basis.

2.3. Implementation
2.3.1. Description of work
2.3.1.1. Wireless Access Point Deployment
• ISC datacom personnel will provide all necessary mounting services necessary to
deploy three, Cisco 1242 access points, located at the Eagle County Bus Barn.
• ISC will mount three Cisco 1242 access points in the bus barn at pre - determined
and cabled locations.
• Power to the AP's will be provided by 3560 series switches with Power over
Ethernet.
• ISC personnel will be mounting the Acess Points in NEMA enclosures to prevent
moisture from interfering with proper functions of the equipment.
• ISC personnel will not perform the necessary switch programming to provide a
separate VLAN for the Access Points associated to the bus barn.
• ISC will configure the AP's and WCS for integration into their existing instance
of WCS.
• ISC will provide programming and appropriate configuration of the switching
equipment, providing access to the Eagle County data network.
• Antenna mounting location will be determined by ISC datacom personnel and
Eagle County IT personnel, upon arrival. Of the three Acess Points being
installed, only one AP (on the North Wall) will require an outdoor penetration,
approximately 20 feet from ground level.
• ISC will work with Eagle County IT personnel on IP addressing and VLAN
configuration, appropriate for all equipment.
• ISC will configure the Access Points for the following client access:
o SSID: DOBIVN
o WPA2- AES -CCMP (PSK): SLRTVPQINGYVPXDHOPDZIJWH
2.3.2. Deliverables
Upon successful completion of this project, ISC engineering will provide configuration
information from all equipment configured with an IP management interface.

3. Maintenance and Monitoring
3.1. Overview
ISC Customer Service Center
ISC Customer Service Center (866.622.6722 / NOCDEPT @isccorp.net) is available 24 -hours every day for
maintenance and monitoring of customer networks. ISC has experienced technicians staffing this center
who are able to assist with all customer issues. When needed, ISC's Customer Service Center has
escalation procedures that allow them to utilize the full potential of ISC's engineering staff as well as
escalation directly to Cisco's Technical Assistance Center (TAC) for problem resolution.
ISC's Customer Service Center also has the tools necessary to provide remote assistance as well as guided
assistance. ISC's Customer Service Center engineers can, where permitted, VPN into the customer's
network and fix problems or can involve the on -site staff via a shared WEB MeetingPlace so that the
customer's staff are involved and aware of the problem and changes necessary to resolve it.

3.2. Additional Options
ISC's Customer Service Center has many options available to both monitor and maintain our customer's
networks with various Service Level Agreements and support solutions. Please contact your Account
Manager for details on what ISC can provide for ongoing support for your organization.

4. Project Management
4.1. Overview
ISC ill assign a Project Manager (PM) responsible for overseeing the entire IP Communications project,
and 11 work with customer's project owner / stakeholder, as defined below as a strategic partner.
The I'. C PM will be the focal point for contact for the duration of the project. The ISC PM will discuss any
issue needing resolution, manage change control, and will work with the client to verify milestone dates
essential to meet required in- service date. Through a documented strategy, the PM will work with the
customer to verify that the account manager & pre -sales engineer have clearly defined the project
requirlements and documented these requirements in the Statement of Work, schedule and plan the project's
successful completion, and then work with the customer and ISC resources to implement the project.
To fa4ilitate the management of this project, the customer must designate a person to serve as the primary
point -bf- contact (Project Owner / Stakeholder) for the project, having the authority to make decisions about
project and system operations, and will be accountable for reporting task status both internally and to the
ISC PM. The ISC PM will conduct a formal project kick- off/Statement of Work Review meeting inviting
all major project stakeholders. During this meeting, the PM will confirm the customer's business goals and
acceptance criteria for this integration project
4.2. Project Kick -off / Statement of Work Review
The project kick -off or Statement of Work Review will be organized by an ISC project manager. The PM
will schedule this meeting with the customer to briefly review the Statement of Work and answer any
questions or concerns. In attendance will be a minimum of the ISC project manager, the ISC engineer
currently assigned to the project and the customer. Other optional attendees will be the ISC Account
Manager and ISC pre -sales engineer and other customer resources / technical staff.
The pjupose of this meeting is to for ISC and the customer to agree that the project and the associated
Statement of Work meet the requirements for the project.
This outcome of this meeting will be to have the Statement of Work Acceptance form (found at the end of
this SOW) signed and sent back to ISC for acceptance of the terms enclosed in this Statement of Work.
4.2.1. Deliverables
Upon successful kick -off of the project the following will be completed:
1. The Statement of Work will have been sent to the customer prior to the Kick -off
meeting.
2. The Statement of Work will be reviewed by the customer and ISC and any
changes /corrections completed.
4.2.2. Customer Statement of Work Sign Off
Once the customer is satisfied with ISC's Statement of Work the Statement of Work Acceptance
form shall be signed and sent back to ISC. ISC will deem the project to be started and will
schedule resources accordingly with the customer.

4.3. Roles & Responsibilities
4.3.1. Customer Resources
Project Owner / Stakeholder
Scott Lingle for the customer will be the project owner and will be the main point -of- contact for
the project. Responsibilities for the project owner include:
• Providing the proper access to facilities at the requested times to allow the ISC
engineering teams to successfully perform the installation as described in this
Statement of Work.
• Reporting any known risks or issues as they become apparent to all Project Team
members. At this time it will be decided if a meeting needs to be scheduled to
further discuss.

4.3.2. ISC Resources
The following resources from ISC will be involved in this project implementation:
Account Manager
Matt Hammer is the customer's Account Manager. Responsibilities for the account manager
include:
• Working with the Project Owner for any order placements and/or Change Orders.
• Working with the Project Owner and ISC Project Manager to help resolve any issues
that may arise.
• Reporting any known risks or issues as they become apparent to all Project Team
members. At this time it will be decided if a meeting needs to be scheduled to further
discuss.
Project Manager
Liz Orr is ISC's Project Manager. Responsibilities for the project manager include:
• Conducting project meetings including; Project Kick -off /SOW review, recurring status
calls during the Project Implementation phase and Project Close -out Meeting.
• Scheduling ISC Engineering resources for project implementation.
• Reporting any known risks or issues as they become apparent to all Project Team
members. At this time it will be decided if a meeting needs to be scheduled to further
discuss.
• Working with the Project Owner and ISC resources to help resolve any issues that may
arise.
Pre -Sales Engineer
John Bergeron is the Pre -Sales Engineer. Responsibilities for the pre -sales engineer include:
• Creating the Statement of Work and reviewing it with the Project Team.
• Assisting the Account Manager with any additional order placements and/or Change
Orders.
• Reporting any known risks or issues as they become apparent to all Project Team
members. At this time it will be decided if a meeting needs to be scheduled to further
discuss.
• Working with the Project Owner and ISC Project Manager to help resolve any issues
that may arise.

The project engineer's responsibilities include:
• Implementation of the Solution
• Reporting any known risks or issues as they become apparent to all Project Team

discuss.
• Working with the Project Owner and ISC resources to help resolve any issues that may
arise.
4.3.3. ISC Staff Deliverables
4.3.3.1. Account Manager
The account manager will be responsible for the following deliverables:
• Preliminary Bill of Materials to the Pre -Sales Engineer.
• Final Bill of Materials to the customer.
4.3.3.2. Project Manager
The project manager will be responsible for the following deliverables:
• Project Kick -off meeting.
• Project Status meetings (if necessary).
• Agenda's.
• Meeting Minutes.
• Schedule.
• Project Closeout meeting.
4.3.3.3. Presales Engineer
The presales engineer will be responsible for the following deliverables:
• All engineering documents.
• Bill of Materials to the Account Manager.
4.3.3.4. Project Engineer
The project engineer will be responsible for the following deliverables:
• Final design & planning with the customer
• Implementation of the solution.

4.5. Project Closure
Once Il the project has been completed ISC will organize a meeting with the customer to recap the project.
The p.rpose of this meeting is to for ISC and the customer to agree that the project and the associated
Statement of Work have been completed satisfactorily. This meeting is also to provide ISC with any
feedback on the processes used by ISC and to determine if anything could be enhanced. Furthermore it is
to determine how ISC can assist the customer with the new system or any other future projects.
This Outcome of this meeting will be to have the Project Completion & Acceptance form (found at the end
of thi$ SOW) signed and sent back to ISC for closeout of the project. The completion of this form signifies
that the customer has reviewed ISC's implementation, is satisfied with the completed project and that all of
the agreed upon deliverables have been met.
4.5.1. Deliverables
Upon successful closeout of the project ISC will provide the following documentation in printed
and electronic formats:
1. The Engineering Consulting Engagement will have been sent to the customer prior to the
kick -off meeting
2. The Engineering Consulting Engagement will be reviewed by the customer and ISC and
any changes /corrections completed.
4.5.2. Customer Satisfaction & Sign Off
Once the customer is satisfied with ISC's implementation of the project, the project closeout
meeting has been completed and the Project Completion & Acceptance form has been signed
and sent back to ISC, ISC will deem the project to be completed.
