P.O Box 2150 Glenwood Springs, Colorado 81602 Re: Weather Radio Grant Dear Mr. Worley: KEITH P. MONTAG, AICP County Manager As you know, Holy Cross Energy Association, Inc. ( "Holy Cross ") is the Grantee, fiscal agent and administrator for the Weather Radio Transmitter Grant Agreement, dated May 24, 2011 (the "Agreement "), between the United States Department of Agriculture ( "USDA ") and Holy Cross for the purchase and installation of weather radio transmitter equipment at the radio site on Castle Peak in Eagle County, Colorado (the "Project "). Under the Agreement, Holy Cross Energy is to cause the Project to be completed and to submit periodic reports and receipts to the USDA for reimbursement. Eagle County and Holy Cross have agreed that Eagle County will complete all work related to the Project. This letter is intended to memorialize our mutual understanding about our respective roles in administering the Project and complying with the terms of the Agreement. We agree that Eagle County will timely submit all receipts related to completion of the Project to Holy Cross. Within ten (10) business days of each such submittal, Holy Cross will forward the receipts to USDA for reimbursement. Upon receipt of grant funds from USDA, Holy Cross will as quickly as practicable disburse the funds to Eagle County. We understand that all tasks to be undertaken by Eagle County for the purposes of the USDA Weather Radio Transmitter must comply with the terms and conditions of the Agreement. Furthermore, Holy Cross Energy shall not be directly responsible for any denial of reimbursement for funds because of decisions made by USDA. Nor shall Holy Cross Energy be responsible for any loss of funds associated with a violation of the USDA Grant caused by Eagle County's agent, employees and subcontractors. However, Holy Cross also agrees to cooperate with Eagle County and the USDA to resolve any potential discrepancies that may arise regarding the amount to be reimbursed under the Agreement.
