RIGHT -OF -WAY EASEMENT
KNOW ALL MEN BY THESE PRESENTS, that we the undersigned (whether one or more)
Eagle County for a good and valuable consideration, the receipt whereof is hereby
acknowledged, do hereby grant unto YAMPA VALLEY ELECTRIC ASSOCIATION, INC., a
Colorado corporation, (hereinafter called the "Cooperative "), whose Post Office address is
Steamboat Springs, Colorado, and to its successors or assigns, the right to enter upon the lands of
the undersigned, situated in the County of EAGLE, State of Colorado, and more particularly
described as follows:
Attached hereto and made a part hereof as Exhibit "A"
and to construct, reconstruct, rephase, add circuits and/or change voltage, repair, operate and
maintain in, on or across the above described lands, an electric distribution line or system; to cut,
trim and control the growth of trees and shrubbery that may interfere with or threaten to endanger
the operation and maintenance of said line or system. The right -of -way hereby granted authorizes
an overhead and/or underground electrical system.
The undersigned agree that all poles, wires and other facilities, installed in, on or across the
above described lands at the Cooperative's expense, shall remain the property of the Cooperative,
removable at the option of the Cooperative.
The undersigned covenant that it is the owner of the above described lands and that the said lands
are free and clear of encumbrances and liens of whatsoever character except those of record on
the date of recording hereof.

Beginning at a point on the outside of this easement, and on the north lima of
of the Denver and Rio Grande Railroad Land, and on the east line of said
NW1 /4, NE114, NW1 /4, 8E1/4, NE1 /4 Section 9,
thence along the north 'line ofthe Denver and Rio Grande
Railroad, 8 66°59'09" W 17.31 feet to the TRUE POINT
OF BEGINNING;
thence along the outside of this easement, and along
