This Assignment of Shares is made this day of , 2011, by the
Colorado River Water Conservation District, a political subdivision of the State of Colorado,
acting by and through its Colorado River Water Projects Enterprise ( "Assignor ") to Eagle
County, Colorado, a political subdivision of the State of Colorado, by and through its Board of
County Commissioners ( "Assignee "), whose address is P.O. Box 850,. Eagle, Colorado 81631.
WHEREFORE, such Assignment is made in consideration of the Agreement dated
November 9, 2004, between the Colorado River Water Conservation District and Eagle County
( "Agreement ") and in accordance with the terms and conditions .provided therein and not for any
financial consideration paid by the Assignee to the Assignor. Assignor hereby transfers and
assigns to Assignee, its successors and assigns, all of the Assignor's right, title and interest in
and to Two Hundred Forty (240) shares of Class A, Series 2 stock in the Eagle Park Reservoir
Company represented by Certificate No. 40 of the Eagle Park Reservoir Company, free and clear
of all encumbrances and subject to the terms of the Agreement.
Executed as of the date first set forth above.
