HomeMy WebLinkAboutC11-101 Summit County Joint RSVP Program AGREEMENT BETWEEN THE COUNTY OF EAGLE, STATE OF COLORADO AND THE COUNTY OF SUMMIT, STATE OF COLORADO CONCERNING A JOINT RETIRED SENIOR VOLUNTEER (RSVP) PROGRAM THIS INTERGOVERNMENTAL AGREEMENT ( "Agreement "), is made and entered into, by and between the Board of County Commissioners of Eagle County, State of Colorado, a body corporate and politic ( "Eagle County ") and the Board of County Commissioners of the Summit County, State of Colorado, a body corporate and politic ( "Summit County "). The counties shall be referred to collectively herein as the "Counties ". WITNESSETH: WHEREAS, the Counties have jointly applied for a grant of federal funds in order to operate Retired Senior Volunteer Programs (RSVP) in their respective jurisdictions (the "RSVP Grant "); and WHEREAS, the Corporation for National Service has granted an RSVP Grant to the Counties; and WHEREAS, the Counties desire to set forth their respective obligations in administering the joint RSVP Grant. AGREEMENT NOW THEREFORE, in consideration of the mutual promises, covenants and conditions contained herein, the Counties hereby agree as follows: 1. SCOPE A. The portion of said RSVP Grant reserved for Summit County for the program year commencing January 1, 2011 and concluding December 1, 2011 is for an amount of up to $25,285 in federal funds, based on the submission of reimbursable expenditures. Detail of authorized expenditures is noted on Attachment A, which is attached hereto and incorporated herein by this reference. B. Eagle County will act as fiscal agent for the RSVP Grant and will be directly accountable for the administration of the RSVP Grant to the Corporation for National Service. C. Summit County has agreed to and will provide $ 16,000 of in -kind matching funds for and during the 2011 program year. 2. EAGLE COUNTY'S DUTIES A. Eagle County agrees to act as fiscal agent for the Counties with respect to the administration of the RSVP Grant. SUMMIT COUNTY'S DUTIES A} Summit County agrees to develop and implement an RSVP program in Summit County according to guidelines established by the Corporation for National Service. B. Summit County agrees to timely provide quarterly program reports according to reporting requirements of the Corporation for National Service. C. Summit County has agreed and will provide $16,000 of in -kind matching funds for and during the 2011 program year. C. Summit County agrees to retain all documents and records associated with its expenditures associated with the RSVP Grant whether for expenditures of cash or for in -kind services for a period of three years in the event of an audit. In the event of an audit, Summit County agrees to cooperate and to provide access to all documents and records to Eagle County and/or Corporation for National Services and their authorized agents. D. Summit County agrees that in -kind contributions shall be documented and submitted at the same time as requests for the reimbursement of expenses under the RSVP Grant. Items allowable for an in -kind match include space used by the RSVP program at fair market value, information services support to RSVP, administrative supervision, or match to any of the items included under reimbursable expenditures. Indirect costs are not allowed for reimbursement or in -kind match. 4. MISCELLANEOUS PROVISIONS A. The term of this Agreement is from January 1, 2011 to December 31, 2011. Summit County's share of the RSVP Grant is $25,285. B. Billing requests for reimbursement shall be on a minimum of a quarterly basis. With invoices and required documentation due no later than, the 15 of the month following the end of each quarter which is April 15 2011, July 15 2011, October 15 2011 and January 15 2012. C. This Agreement shall be binding on the Counties and represents the final and complete understanding of the Counties concerning the subject matter of this Agreement. This Agreement shall not be modified or amended unless in writing executed by both parties. D. No waiver by either party of any term, covenant or condition contained herein, shall be deemed as a waiver of any other term, covenant or condition, nor a waiver of any breach thereof deemed to constitute any subsequent breach, whether of the same or a different provision of this Agreement. E. This Agreement shall be governed and construed in accordance with the laws of the State of Colorado. Venue for any action shall be in the district court for either Summit County or Eagle County. F. Any formal notice, demand or request pursuant to this Agreement shall be in writing and shall be deemed properly served, given or made, if delivered in perso \or sent by certified mail,,postage prepaid to the Counties at the following addrees,or as otherwise modified pursuant to this section: To Eagle Count :.. In the event that any of the terms, covenants or conditions of this Agreement or their application shall be held invalid as to any person, entity or circumstances by any court having competent jurisdiction, the remainder of this Agreement and the application of its terms, covenants or conditions to such persons, entities or circumstances shall not be effected hereby. H. The Counties acknowledge that with respect to any responsibility hereunder, each party is an independent contractor. Nothing in this Agreement shall be deemed to make either party an agent, employee, partner or representative of the other. I. Neither party shall have the authority to, and will not make any commitments or enter into any agreement with any party on behalf of the other without written consent of the other party. J. All funds received by Summit County shall be expended solely for the purpose for which Granted. K. The Counties shall comply with applicable federal, state and local rules, regulations and guidelines governing the RSVP Grant. L. Notwithstanding anything to the contrary contained in this Agreement, Counties shall have no obligations under this Agreement, nor shall any payment be made by Counties in respect of any period after December 31 of each calendar year during the term of this Agreement, without an appropriation therefore by the Counties in accordance with a budget adopted by the Board of County Commissioners in compliance with the provisions of Article 25 of Title 30 of the Colorado Revised Statutes, the Local Government Budget Law and the TABOR Amendment of the Colorado Constitution. ci re,c IN ITNESS WHEREOF, the parties have executed this Agreement on the day of , 2010.
