This agreement (the "Agreement "), entered into this 9q day of Mt , 2010,
between Eagle County, Colorado ( "County "), the Union Pacific Railroad Company ( "Owner ")
and Slifer Smith & Frampton Real Estate, Mountain Ranch Properties, Inc. ( "Broker "),
WITNESSETH:
WHEREAS, Owner is the owner of certain real property located in Eagle County,
Colorado (the "Property "), as more particularly described in Exhibit A'hereto; and
WHEREAS, the County and the Owner are considering whether to enter into negotiations
for acquisition of a conservation easement on the Property in the form of a deed of conservation
easement to be held by the Eagle Valley Land Trust that would allow continued use of the
Property by the Owner, or a successor in interest to the Owner, as a ranch but that would
foreclose development of the property for other, unrelated uses; and
WHEREAS, in order to facilitate such consideration,. County and Owner wish to obtain
an informed opinion as to the approximate value of such a conservation easement; and
WHEREAS, Broker, in consideration of payment of a fee for his services to be paid to
Broker by County upon completion of such services, is willing to perform such an evaluation.
NOW, THEREFORE, in consideration of foregoing r
g g p emises and following p ronuses,
County, Owner and Broker agree as follows:
1. Broker will perform the above - described evaluation for a fee to be paid by County.
Such fee shall be determined based on the number of hours devoted to the evaluation at an
hourly rate of $100 per hour. Such fee is estimated by Broker to total approximately
$ ? 6 . Broker agrees that in the event that the time necessary to perform the evaluation
appears likely to exceed the above- estimated number, he will advise County in advance before
performing work in excess of the agreed amount. In such event, County will have the option of
paying for the work performed to that point and terminating this Agreement without further
payment or penalty. In the event of such termination, Broker shall provide County with a written
summary of the work performed and any tentative conclusions as to such valuation.
2. County will pay broker, within a reasonable time after receipt of a statement for
Broker's above - described services, an amount determined in accordance with paragraph 1
hereof.
3. Broker will use his best professional judgment in performing the work contemplated
by the Agreement. Broker will prepare a summary written statement as to his monetary
conclusions and any necessary and appropriate,explanation of his basis for reaching that
conclusion.

4. Owner will provide Broker with reasonable access to the Property and such
supplemental information concerning the Property as Broker may determine is necessary (and
not readily obtainable from other public sources) for him to perform the work described herein.
5. The existence of this Agreement and the conclusion (and report thereof) reached by
Broker shall forever be kept confidential by all parties except to the extent disclosure thereof
shall be compelled by a Court of competent jurisdiction, and County and Owner may use such
information solely for purposes of the possible negotiations described above.
IN WITNESS WHEREOF, the parties have executed this Agreement on the day and year
first above written.
