COLORADO AND GRANICUS, INC.
This First Amendment (hereinafter "First Amendment ") is between Granicus, Inc., a California
Corporation (hereinafter referred to as "Granicus "), and Eagle County, Colorado, (hereinafter referred to
as "Client" or "County ").
WHEREAS, Granicus and County entered into a Service Agreement dated January 8, 2008 (the
"Agreement ") for the provision of certain services; and
WHEREAS, Granicus, a California -based company, provides a full- service solution that includes
hardware, software, automated indexing capabilities, voting systems, website page design and integration
with council agendas, a meeting minutes module, on -site user training and 24/7 technical support that
meet Client needs as well as the integration services that are required for timely implementation; and
WHEREAS, Granicus represents that it has the qualities, expertise, skills, and abilities to perform such
work; and
WHEREAS, the Client wishes to amend the Agreement to include Granicus' Open Citizen Participation
Suite as detailed in the Proposal, which is attached as Exhibit A and incorporated herein.
FIRST AMENDMENT
NOW, THEREFORE, in consideration of the foregoing and the premises set forth herein, the parties
intend that the Agreement be amended as follows:
1. The scope of work as set forth in the Agreement shall be amended to include the Citizen
Participation Suite as set forth in Exhibit A to this First Amendment.
2. Further, the Agreement shall be amended to include the additional costs associated with the
addition of the applicable software and hardware for the Citizen Participation Suite as set forth in
Exhibit A to this First Amendment. The parties agree that County may elect, in its sole discretion,
with or without cause, to terminate and discontinue the use of Citizen Participation Suite. In the
event that County elects to continue with the Citizen Participation Suite after July 1, 2011 then
the Monthly Managed Service fee of $180.00 as set forth in Exhibit A shall apply.
3. Except as amended by this First Amendment, all other terms and conditions of the Agreement
shall remain in full force and effect.
4. In the event of any inconsistency between the provisions of this First Amendment and the
attachments hereto, the inconsistency shall be resolved by giving precedence to the documents in
the following order:
A. Terms and Conditions of the First Amendment;
B. Terms and Conditions of the Agreement.

IN WITNESS WHEREOF, the parties have caused this First Amendment to be executed by their duly
authorized representatives effective December 29, 2010.

Promotion! Free Monthly Managed Services Until July 1, 2011 - $180.00 /month
This promotion does not alter or delay the date on which your upfront payments will be due as defined in the Granicus
Service Agreement. Offer valid until 12/30/2010. Free services are active upon receipt of a signed purchase order or
contract agreement. As part of this promotion, the Client will receive Monthly Managed Services at no cost to Client
until July 1, 2011. The billing for Monthly Managed Services occurring after July 1, 2011 will begin on June 15, 2011. Up-
front costs are not affected by this promotion.
