Home My WebLink AboutC10-299 Bill of Sale Shelter Trailder to American Red Cross BILL OF SALE, ACKNOWLEDGMENT AND INDEMNIFICATION AGREEMENT THIS BILL OF SALE, ACKNOWLEDGMENT, AND INDEMNIFICATION AGREEMENT ( "Agreement ") is made and executed this IV day of October, 2010, by Eagle County, Colorado (hereinafter referred to as "Eagle County ") and the Western Colorado Chapter of the American Red Cross (hereinafter referred to as "Red Cross "), being the recipient of a 2000 Haulmark Trailer, vin number 16HGB2821YU019035 (hereinafter referred to as the "Vehicle "). WITNESETH WHEREAS, Eagle County has elected to sell one 2000 Haulmark Trailer to an entity capable of utilizing a shelter cache trailer for the sum of one dollar. WHEREAS, Red Cross was the chosen purchaser for the above referenced vehicle. WHEREAS, Eagle County is willing to deliver title and Red Cross is willing to assume the vehicle under the acknowledgments and indemnifications set forth hereunder. BILL OF SALE Known all persons that Eagle County, Colorado, of 500 Broadway, Eagle, 81631, County of Eagle, Colorado, in consideration of the payment of one dollar and other valuable consideration, receipt of payment acknowledged, does hereby transfer to the Red Cross, of 506 Gunnison Avenue, Grand Junction, 81501, County of Mesa, Colorado, the following trailer to have and to hold the same unto the Red Cross and Red Cross's assigns, forever: Make and Model: Haulmark Year: Trailer 2000 Vehicle Identification 16HGB2821YU019035 No. (VIN): ACKNOWLEDGEMENTS NOW, THEREFORE, in consideration of the delivery of title to the Vehicle, the Red Cross acknowledges and agrees to the following: 1. That the Vehicle is being sold in an "as is" condition. The Red Cross understands that Eagle County makes no warranties, express or implied, as to the condition of the vehicle or its fitness for any particular use; and 2. That the Red Cross has been given the opportunity to fully inspect the vehicle before purchasing the same and assuming title; and 3. That the Red Cross will, at all times, operate the vehicles in a lawful manner including maintaining adequate insurance coverage during their operation and use. 4. INDEMNIFICATION NOW THEREFORE, in consideration of the delivery of title to the Vehicle and the acknowledgments herein, the Red Cross agrees to the following: To the extent allowed by law, the Red Cross, its successors or assigns, assumes all liability for and shall defend, indemnify, and save harmless Eagle County, its officers, agents, representatives and employees, from all claims, loss, damage, actions, expenses, and liability resulting from, brought for, or on account of, any personal injury, threat of personal injury, or property damage received or sustained by any person or persons growing out of, occurring or attributable directly or indirectly, to the operation of the vehicle after the transfer of the same to the Red Cross. //REMAINDER OF P AGE INTENTIONALLY LEFT BLANK// .D. .
