BILL OF SALE, ACKNOWLEDGEMENT,
AND INDEMNIFICATION AGREEMENT
THIS BILL OF SALE, ACKNOWLEDGEMENT, AND INDEMNIFICATION AGREEMENT
( "Agreement ") is made and executed this f t- day of 1 1. , , 2010, by Eagle County,
Colorado ( "Eagle County ") and Joshua Farmer, whose address s 86 Rainbow Circle, Gypsum,
Colorado 81637 ( "Joshua Farmer ").
RECITALS
WHEREAS, Eagle County is the owner of a 1980 Titan modular structure located at
06024 Highway 6, Gypsum, Colorado (the "Modular Structure ") and elected to sell the Modular
Structure to the highest bidder responding to it's advertisement dated April 1, 2010; and
WHEREAS, Joshua Farmer was the highest bidder at the sale and is therefore the
purchaser of the Modular Structure; and
WHEREAS, Eagle County is willing to deliver title to and Joshua Farmer is willing to
assume the Modular Structure under the acknowledgments and indemnifications set forth
hereunder.
BILL OF SALE
Known all persons that Eagle County, Colorado, of 500 Broadway, Eagle, Colorado,
81631, County of Eagle, State of Colorado, in consideration of the payment of one dollar ($1),
and other valuable consideration, receipt and payment acknowledged, does hereby sell and
transfer to Joshua Farmer the following Modular Structure to have and to hold the same unto
Joshua Farmer and his assigns forever:

Year: 1980
VIN: 2200195176ANB
WARRANTY OF OWNERSHIP
Eagle County warrants that it is the true and lawful owner of the Modular Structure, and
that to the best of Eagle County's knowledge, the Modular Structure is free of any and all legal
claims, encumbrances, and offsets by others. Further Eagle County warrants that it will defend
Joshua Farmer against any and all lawful claims and demands whatsoever in relation to this Bill
of Sale.

ACKNOWLEDGMENTS
NOW, THEREFORE, in consideration of the delivery of the Modular Structure, Joshua Farmer
acknowledges and agrees to the following:
1. That the Modular Structure is being sold in "as is" condition. Other than Eagle County's
warranty to ownership as stated above, Joshua Farmer understands that Eagle County makes no
warranties, express or implied, as to the condition of the Modular Structure or its fitness for any
particular use.
2. That Joshua Farmer has been given the opportunity to fully inspect the Modular Structure
before purchasing the same and assuming title.
3. That Joshua Farmer will cause the Modular Structure to be removed from Eagle County's
property at 06024 Highway 6 in Gypsum, Colorado on or before October 2, 2010.
4. That Joshua Farmer will use a commercial moving company to relocate the structure with
insurance coverage of at least $2,000,000 per incident.
5. That all debris and components from the Modular Structure will be thoroughly cleaned
up on or before October 2, 2010.
INDEMNIFICATION
NOW, THEREFORE, in consideration of the delivery of title to the Modular Structure and the
acknowledgments contained herein, Joshua Farmer further agrees to the following:
Joshua Farmer, his successors or assigns, assumes all liability for and shall defend,
indemnify, and save harmless Eagle County, its officers, agents, representatives, and employees,
from all claims, loss, damage, actions, expenses, and liability resulting from, brought for, or on
account of, any personal injury, threat of personal injury, or property damage received or
sustained by any such person or persons growing out of, occurring or attributable directly or
indirectly, to the moving of the Modular Structure after the transfer of the same to Joshua
Farmer.
