HomeMy WebLinkAboutC10-251 WECAD Paramedic Program IGA INTERGOVERNMENTAL AGREEMENT COMMUNITY PARAMEDIC PROGRAM This Community Paramedic Program Agreement ( "Agreement ") is entered this I today of Li u,s.4- , 2010, between WESTERN EAGLE COUNTY AMBULANCE DISTRICT ( "WECAD ") and EAGLE COUNTY BOARD OF HEALTH ( "ECPH ") acting by and through the Eagle County Board of County Commissioners all being referred to collectively as, the "Participants." WHEREAS, the Participants share a mission to improve the health of residents in Eagle County; and WHEREAS, WECAD is the operator of the Community Paramedic Program ( "the Program"), ram which is designed to train local paramedics to provide g ), public health services and g P P P physician- driven, in -home primary care to residents of Eagle County in need ( "Community Paramedics "); and WHEREAS, the Participants seek to increase access to health care services for Eagle County residents that are un -or -under insured, plus Medicaid and Medicare populations; and WHEREAS, Eagle County residents shall be eligible for the Program if they are a patient of a referring physician or a client of Eagle County Public Health, regardless of insurance status; and WHEREAS, the Participants intend to accomplish the following health related outcomes: (1) Reduce the number of unnecessary re- hospitalizations for program participants; (2) Ensure all patients in the program have a consistent medical provider; (3) Reduce the amount of health care dollars spent on preventable conditions that could otherwise require ongoing hospital care; (4) Reduce the number of seniors injured in falls, through in -home injury prevention strategies; and (5) Increase access to public health services such as vaccinations and fluoride varnish; and WHEREAS, the Participants wish to clarify their roles and responsibilities to ensure strategic operations including, but not limited to: (1) Effective communication and coordination; (2) Consistent provision of quality services that meet the needs of clients /patients that are jointly served by WECAD and ECPH; (3) Efficiencies created by maximizing shared personnel, resources and services; and (4) Monitored processes and impacts toward measured outcomes as a means of establishing Community Paramedic as a new replicable health care delivery model; and NOW, THEREFORE, in consideration of the above recitals, the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby mutually acknowledged, the Participants agree as follows: C,10-25( I. Roles A. WECAD shall act as the lead administrator of the Program including, but not limited to acting as fiscal agent; employing and supervising the Program coordinator, the participating paramedics, as well as any other Program positions; and contracting with a physician for medical oversight. B. ECPH shall act as a strategic partner to WECAD and will contribute no funding at this time. ECPH will provide, expert resources, including staff time as requested by WECAD and as appropriate. II. Leadership The Participants shall jointly provide leadership to the Program by networking with relevant community organizations, presenting information to other health professionals around the state for Program replication, participating in joint meetings with the Program coordinator, and overseeing an advisory committee of health care experts who will provide input on the Program. III. Training A. WECAD shall provide the community paramedic student training (in conjunction with the Colorado Community College) and coordinate student clinical rotations with local health care providers. B. Notwithstanding the foregoing, ECPH shall facilitate the community paramedic student training sessions on relevant topics within the public health field, including an overview of public health and core services, with an emphasis on how to link patients with health and human services, and will precept students in such clinical services as vaccinations, fluoride varnishing, and disease investigations. W. Policy and Procedure Development A. WECAD shall develop policies, procedures and protocols for the Program to assure the quality of services provided under the Program. B. ECPH's nursing and quality assurance expert will assist WECAD in gathering input from Eagle County Public Health personnel, medical providers and social service organizations to inform the development of such policies and procedures. V. Backfill and Surge Capacity Subject to staffing availability, as determined by WECAD in its sole discretion, WECAD shall make Community Paramedics available to ECPH to assist with medical and prevention activities for which they've been trained, such as immunizations, distribution of medication, and communicable disease interviewing, during public health emergencies and/or public health staffing shortages. VI. Public Health Clinic Participation WECAD will make Community Paramedics available to assist ECPH up to two days per month on dates that are mutually agreeable to the Participants with clinical services such as immunizations, fluoride varnish applications, and other related services in order to increase the number of clients able to be served within the Eagle County community, under no financial obligation to ECPH. VII. Term of Agreement The term of this Agreement shall be through the end of the year in which it is entered, and this Agreement shall be automatically renewed for additional one (1) year terms in perpetuity. VIII. Termination of Agreement This Agreement may be terminated by either party at any time and for any reason in writing with thirty (30) days notice. IX. Amendment This Agreement shall be binding on the Participants and represents the final and complete understanding of the Participants as regards the subject matter. This Agreement shall not be modified or amended unless in writing, executed by Participants. X. Waiver of Breach No waiver by either party of any term, covenant, condition or agreement contained herein, shall be deemed as a waiver of any other term, covenant, condition or agreement, nor a waiver of breach thereof deemed to constitute a waiver of any subsequent breach, whether of the same or a different provision of this Agreement. XI. Counterparts This Agreement may be executed in counterparts, each of which will be an original, but all of which together shall constitute one and the same instrument. XII. Enforcement, Jurisdiction and Venue This Agreement shall be governed and construed in accordance with the laws of the State of Colorado, and in addition to any other remedy, may be specifically enforced. Jurisdiction and venue for any suit, right or cause of action arising under, or in connection with this Agreement shall be exclusive in Eagle County, Colorado. XIII. Responsibility for Acts of Employees and Promise to Indemnify Each party to the extent permitted by law, will be solely responsible for its acts and omissions and the acts and omissions of its employees, agents, officers and volunteers in the performance of its obligations under this Agreement, and shall to the extent permitted by law, indemnify and hold the other party harmless from and against any and all demands, losses, liabilities, claims, or judgments, costs and expenses, including but not limited to reasonable attorney's fees, arising out of any act or omission of the party, its employees, agents, officers and volunteers in the performance of its obligations under this Agreement. XIV. Third Party Beneficiary Nothing herein expressed or implied is intended or should be construed to confer or give to any person or entity other than WECAD or ECPH and their respective successors and assigns, any right, remedy or claim under or by reason hereof of by reason of any covenant or condition herein contained. XV. Notices Any formal notice, demand or request pursuant to this Agreement shall be in writing and shall be deemed properly served, given or made, if delivered in person or sent by certified mail postage prepaid to the Participants at the following addresses or as otherwise modified pursuant to this section: If to WECAD: If to ECPH: Western Eagle County Ambulance District Eagle County Department of Public Health 360 Eby Creek Dr. Attn: Anne Robinson P.O. Severability In the event that any of the terms, covenants or conditions of this Agreement or their application shall be held invalid as to any person, entity or circumstance by any court having competent jurisdiction, the remainder of this Agreement and the application in effect of its terms, covenants or conditions to such persons, entities or circumstances shall not be effected thereby. XVII. Section Headings The section headings in this Agreement are inserted for convenience and are not intended to indicate completely or accurately the contents of the sections they introduce and shall have no bearing on the construction of the sections they introduce. XVIII. Duly Authorized Signatories By execution of this Agreement, the undersigned each individually represent that he or she is duly authorized to execute and deliver this Agreement and that the subject party shall be bound by the signatory' s execution of this Agreement. // SIGNATURE PAGE TO FOLLOW // IN WITNESS WHEREOF the Participants have caused this Agreement to be executed as of the day and year written above.
