EMPLOYEE WELLNESS PROGRAM AGREEMENT
This Amendment amends the March 18, 2008 Employee Wellness Program Agreement
(the "Agreement ") between Vail Clinic, Inc. (d /b /a Vail Valley Medical Center, the "Hospital ")
and Eagle County ( "the County "). This Amendment is effective January 25, 2010.
RECITALS
The parties desire to update the services to be performed and compensation terms of the
Agreement.
Therefore, the parties agree as follows:
1. Exhibits A and B shall be replaced in their entirety with Exhibits A and B found as
Exhibits to this Amendment.
2. All other terms of the agreement remain in effect.
The undersigned have executed this Amendment.

EXHIBIT A
Vail Valley Medical Center Wellness proposal includes the following components:
• On -line integrated solution will provide a sign -up and registration system by which Members can
become participants
• Participant may choose English or Spanish language
• On -line comprehensive questionnaire (health risk appraisal) that includes past medical history,
medications, allergies and risk factors
• Onsite health screenings will be arranged to include:
• Height
• Weight
• Blood Pressure
• Laboratory exam to include:
i. Hemogram
ii. Lipid Panel
iii. Fasting Glucose
• Critical value consultation by a registered nurse (RN) for all individuals with abnormal /critical
lab values ( telephonic)
• On -line Electronic Health Record
• Daily on -line health news
• On -line educational health modules that are customized to the participant's risk factors
• Healthy Living Resources on -line which include:
High Cholesterol
Hypertension
Exercise
Depression
Stress Control
Healthy Eating
• On -line health guides which include:
Children's Health Guide
Pregnancy Guide
Health A -Z
Brest Self Exam Guide
BMI Calculator and guide
Disease Management Guidelines
• On -line self - tracking of risk and health maintenance
• Monthly Electronic Newsletter
• On -line individual Action Plans for each participant

• 24 -hour nurse call line for health questions and concerns
• Comprehensive risk report (individual participant & Client)
• Year to year comparative health reports (for repeat participants)
• Online tracking of rewards /points
• Coaching 1, 2, & 3: a Call Center -Based Solution that Integrates Healthy Lifestyle
Coaching, Disease Prevention Management and Disease Coaching
Participants are placed into a level based on answers provided in the questionnaire and medical
history information
Level 1: every 6 months, 2 call maximum
Level 2: every 4months, 3 call maximum
Level 3: every other month, 6 calls maximum (on hold for 2010)
• Financial Reporting for Client - This service is contingent upon Client's third party administrator
(TPA) or Insurance Carrier providing the requisite data that SimplyWell requests for analysis.
Furthermore, if Client's TPA or Insurance Carrier requests a fee for the data, then it will be the
Client's responsibility to pay for any fees for the data. If TPA will not provide data or the Client
does not wish to incur the cost, then SimplyWell will not include this service.
• Periodic on -site meetings with Vail Valley Medical Center and Eagle County Government
designated wellness representative.

ONLINE ONLY PROGRAM
For those participants that register to participate, but do not attend a health screening, those participants
will be transitioned to the Online Only Program which includes the following components:
• Online sign -up and registration system by which Members can become participants
• Participant may choose English or Spanish language
• Online comprehensive questionnaire (health risk questionnaire) that includes past medical
history, medications, allergies, family history and risk factors
• Electronic Health Record
• Daily health news
• Educational health modules that are customized to the participant's risk factors
• Self - tracking of risk and health maintenance
• Individual Action Plans for each participant
• Year to year comparative health reports (for repeat participants)
• 24 -hour nurse call line for health questions and concerns
• Comprehensive risk report (individual participant & Client)
• Online tracking of rewards /points
• Coaching 1, 2, & 3: a Call Center -Based Solution that Integrates Healthy Lifestyle
Coaching, Disease Prevention Management and Disease Coaching
