FIRST AMENDMENT TO AGREEMENT
BETWEEN EAGLE COUNTY
AND
EARLY CHILDHOOD PARTNERS, INC
THIS FIRST AMENDMENT ( "Amendment ") is made and entered into this - day of JUT 2010,
between Eagle County, by and through its Board of County Commissioners (hereinafter referred to as
"County") and Early Childhood Partners, Inc., a Colorado nonprofit corporation, with a mailing address
of P.O. Box 4532 Eagle, CO 81631 (hereinafter referred to as "Contractor").
WHEREAS, County and Contractor entered into an Agreement dated March 2, 2010 (Eagle
County Ref #(C10 -005) ( "Original Agreement "); and
WHEREAS, Contractor will continue to work for County and Coun ty shall continue to
compensate Contractor for services that are properly invoiced for and are completed to the satisfaction of
County; and
WHEREAS, the County is now desirous amending the terms of the Original Agreement and
Consultant is willing to perform the same under the terms and conditions of the Original Agreement and
this Amendment; and
THEREFORE, in consideration of the terms and conditions of the Original Agreement and this
Amendment, the sufficiency of which is hereby acknowledged, County and Contractor agree that this
Amendment shall replace and supersede those section(s) of the Original Agreement as modified herein.
1. EXHIBIT A — Payment and Fee Schedule shall be amended to read as follows:
County will compensate Contractor for performance of assigned services at the rate of $65 per
hour. Invoices will be submitted at least quarterly, along with written reports when required, and
detail the services provided during the period. Payment will not be made until detailed invoices
are received and approved by County.
Reimbursement will only be made for hours spent providing coaching and consultation
services, preparing for Qualistar ratings, and environmental rating scales.
The county will not reimburse for indirect service hours such as:
a. Preparation and documentation of time.
b. Participation in child protection team meetings of clinical staffing.
c. Travel time.
d. Professional development and supervisor /coordination time.
The maximum amount of reimbursement under this agreement is $68,100 or 1047.69 hours.
2. County and Contractor agree that, except as expressly altered, modified and changed in this
Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect
during the modified term, and hereby are ratified and confirmed in all respects as of the date hereof.
3. If any conflict exists between the provisions this Amendment and the Original Agreement, the
provisions this Amendment shall control.
4. This Amendment shall be binding on the parties hereto, their heirs, executors, successors, and
assigns.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Agreement
