Agreement Regarding
EMS Clinical Rotation
between
Eagle County
and C,ol-o~rado Mountain College
This Agreement is entered into on ~. _ E't5 , ZO10, by and between Colorado Mountain College
(hereinafter "CMC" or "the College") and Eagle County (hereinafter "EC").
WHEREAS, CMC is a public junior college district organized under the Junior College
Organization Act, Section 23-71-101 et seq., Colorado Revised Statutes; and
WHEREAS, CMC offers programs leading to an Associate of Applied Science in EMS and a
Certificate of Occupational Proficiency for EMS, an integral part of which is a clinical rotation
experience;
WHEREAS, Eagle County operates a health care facility in Eagle County, Colorado, which facility
is licensed by the State of Colorado,-and
WHEREAS, both parties agree that it is in their mutual interests to work together to provide a
clinical rotation experience for CMC paramedic students in a manner that will enable them to meet
course and program objectives.
NOW THEREFORE, for good and valuable mutual consideration which the parties agree is
sufficient, the parties agree as .follows:
A. TERM
1. The term of this agreement is from the last signature date below until December 31, 2010,
subject to the following:
a. If the program is not successful in the opinion of CMC or EC, it may be phased
out, and this contract terminated.
b. Either party may terminate this Agreement without cause at any time for any
reason with no notice requirement.
c. T iris agreement may be terminated at any lime if so required or ordered by the
State Board for Community College and Occupational Education ("SBCCOE"),
or other goverrunental entity. If this occurs, CMC will give as much advance
notice as possible to EC.
d. In the event of termination of the Agreement, those student currently enrolled in
the program may be allowed to finish their current term through CMC, but will
not be permitted to participate in or complete course work in EC's facility. No
further students will be admitted to the program upon termination of this
Agreement.

)lr. DEVELOPMENT AND OPERATION OF CLINICAL, ROTATION PROGRAM
I . The parties shall work together to develop a clinical rotation program which meets the needs
al~d objective of bath parties; is consistent with the College's curricuhum requirements,
educational objectives, policies, procedures; and is consistent with EC's objectives, policies,
regulations, procedures and practices. The College shall have final control of curriculum
decisions. Planning shall be completed at least two months before the beginning of the
clinical rotation.
2. Once defined, the program shall not be changed except by express advance agreement of the
parties. The intent of this section is to insure that any changes in the program will not disrupt
or interfere with the completion of the program by any student. Notwithstanding the
foregoing, EC may require the removal of any student pursuant to Paragraph C (9}(c) of this
Agreement.
~. 'The parties shall meet not less often that annually, in or about November of each year, to
discuss the progress and status of the program, and to make any modifications and changes
deemed appropriate to improve and carry on the program.
4. Advisory Committee: Representatives from the community and clinical facilities will be
invited to serve as an Advisory Committee member for CMC. The Purpose of the Advisory
committee is to advise CMC administrators and occupational and academic programs. The
CMC Program Advisory Committee Handbook provides the criteria for the Advisory
Committee.
C. RESPONSIBILITIES OF COLORADO MOUNTAIN COLLEGE
The responsibilities of CMC shall be as follows:
1. CMC shall work with the EC to plan the clinical rotation grogram as set forth in Section B
(Development and Operation of Clinical Rotation Program).
2. CMC shall at all times conduct its program in accordance with EC policies and procedures
regarding practice issues, confidentiality, and number and scheduling of students.
3. CMC shall, in cooperation with EC, instruct its faculty, staff, and students regarding EC
policies and procedures prior to the start of the student clinical experience,
4. CMC shall provide insurance covering professional liability of faculty, staff and students,
and to provide workmen's compensation insurance.CMC maintains general liability
coverage of $1,000,000 per occurrence, excess/umbrella liability insurance of $5,000,000
per occurrence, and Worker's Compensation and Employer's Liability of $1,000,000 each
accident.
S. CMC shall require that all faculty, staff and students participating in the program meet EC's
health requirements including but not limited to rubella screening, Hepatitis B vaccination,
TB testing; and to furnish EC with copies of any necessary documentation. EC shall be
responsible for determining whether documentation or screening is sufficient to meet

6. CMC shall require that all faculty, staff and students be clearly identified for the clinical
rotation by means of appropriate uniforms and ID badges.
7, CMC shall obtain any approvals necessary from the Colorado Commission on Higher
Education ("CCHE") and State Board for Community Colleges and Occupational Education
("SBCCOE"}, and to state and federal agencies as required. EC shall reasonably assist in
this process upon request from CMC.
8, CMC shall undertake the following with regard to its students:
a. CMC shall prepare its students educationally for the clinical experience in EC by
providing appropriate classroom instruction and laboratory experience.
b. CMC shall provide EC with a list of the names of students participating in the
clinical rotation:
c. CMC shall require all students:
(1} To participate in agreed orientation at EC prior to the clinical rotation,
and become familiar with the policies, procedures, systems, practice
issues, and program agreement between CMC and EC.
(2) To maintain their own health insurance, and assume responsibility for
any health care service not covered by that policy.
(3) To communicate clearly to the instructor when assistance is needed
during the clinical rotation.
(4) To complete ali assignments and report to both the instructor and EC
staff involved in the care of the patient.
(5) To abide by EC's policies, procedures, regulations, and practice rules,
and to follow course guidelines mutually agreed upon by CMC and EC.
(6} To notify the instructor or appropriate EC staff immediately of any
problems, incidents, or injuries occurring during the clinical experience,
and to follow EC procedures related thereto.
(7) To wear appropriate uniforms or attire and identification, to identify self
to patients as a student, and to administer care only under the supervision
of the instructor, and only to consenting patients.
e. CMC shall inform its students that they shall have no access to the clinical areas
of EC except at times scheduled and agreed as part of the supervised clinical
program.
f. CMC shall, in cooperation with EC, instruct students regaxding EC regulatory
requirements prior to clinical assignment, including but not limited to CPR
certification and OSHA regulations; and to furnish EC with copies of any
necessary documentation.
d. CMC shall perform all supervision, grading, record keeping, instruction; and
discipline of students of the College, in compliance with laws, policies, and
procedures regarding due process and confidentiality rights of students.
CMC Agrees:
a. CMC shall designate a faculty coordinator and an alternate through whom EC
will communicate and coordinate working.
b. CMC shall arrange for orientation of the instructors to the clinical area.
c. CMC shall assign students, subject to the right of EC, to terminate any
student participation for any cause deemed sufficient by EC.
d. CMC shall assign with such students, clinical instructors to asstune full
responsibility for all classroom and clinical instruction; provision of necessary
instructional materials; and all supervision, control, evaluation, and discipline
of students in the program.
e. CMC shall maintain all personnel and academic records of the students.
f. CPviC assures that all ;nstruction is conducted zit a :canner consistent ~Nith EC
policies, Hiles, and regulations.
g. CMC shall both inform and assure that students are responsible for their own
health insurance, liability insurance, PPD Mantoux TB Testing, MMR, OSHA
approved HEPA fit testing and required vaccinations (including but not limited
to Hepatitis B vaccinations). Proof of said coverage and vaccinations shall be
provided to EC prior to the clinical experience. In the event the student
is unable to comply with the above requirement, CMC accepts full responsibility
for the students insurance and vaccination needs. CMC shall provide proof of
said coverage to EC prior to the clinical experience.
h. CMC shall inform students that they must maintain the confidentiality
of patient information. No student shall have access to or have the right
to review any medical record, except where necessary, in the regular
course of the program. The discussion, transmission or narration in any form by
students of any patient information of a personal nature, medical nature, or
otherwise, obtained in the regular course of the program is forbidden except as a
necessary part of the program.
i. The designated representative of both EC and CMC may formalize by
letter, Standard Operating Procedures for the clinical experience program,
including a mutually acceptable schedule of the time students are expected to be
in EC facilities.
j. CMC shall furnish to EC, the program student objectives, performance
standards and evaluation tools to be utilized by EC preceptors.
k. CMC maintains responsibility for the student.
1. CMC staff reserve the right to notify the State EMS Division, or any other law/
regulatory agency of any student actions, which would normally require such
reporting. As a matter of professional courtesy, when the student is an EC
employee, The EC Clinical Education Services staff shall be notified as such and
event.
ll. RESPONSIBILITIES OF• Eagle County
The responsibilities of the Eagle County shall be as follows:
1. EC shall grant reasonable access to CMC's faculty, staff and students, for the conduct of a
clinical rotation program consistent with this agreement. EC will also allow reasonable
access by CMC faculty, staff and students to its food service and parking facilities at usual
fees.
2. EC shall work with the College to plan the clinical rotation program as set forth in section B
(Development and Operation of Clinical Rotation Program).
3. EC shall work with CMC to provide instruction and orientation to CMC faculty, staff, and
students, especially regarding the policies, rules, practices, and regulations with which EC
expects CMC faculty, staff and students to comply.
4, To timely inform and update CMC regarding any and all policies, procedures, rules,
regulations, or requests, with respect to clinical practice under this program at EC.
5. Responsibility for patient care remains with EC notwithstanding any provisions of the
Agreement.
6. EC shall not be responsible for transportation, uniforms, or other expense incurred by CMC
faculty, students, or staff in connection with the clinical rotation.
E. GENERAL PROVISIONS
i . CMC's faculty, staff and students shall not receive any pay, salary, wage, or other
compensation from EC while engaged in activities under the clinical rotation program.
2. The parties are independent contractors, and no employees or agents of either party shall be
deemed to be agents or employees of the other. CMC students shall not be deemed to be
employees of EC.
3. CMC's financial obligations herem~der, if any, are subject to annual appropriation of funds
by its Board of Trustees.
4. Each party agrees to take reasonable measures to maintain a high level of professionalism in
the conduct of this program.
5. EC shall not discriminate on the basis of race, color, creed, sex, national origin, ancestry,
disability, or age, or in any other way contrary to CMC policies and procedures. EC may
from time to time issue reasonable, non-discriminatory rules and regulations governing the
conduct of CMC faculty and students, provided that such rules and regulations are discussed
with CMC before implementation. Subject to the above, EC may refuse access to any
faculty, staff, or student of the college who does not meet EC's standards of safety, health;
or ethical behavior. EC maintains the right to request removal from the program any student
who does not meet EC's standards of safety, health, or ethical behavior.
6. CMC and EC reserve the right to temporarily suspend the clinical programs if either party
determines that the program is not working or that the program is interfering or will
potentially interfere in any way with the operation of EC's Public Health.
7. Each party will be solely responsible for its acts and the acts of its agents and employees in
the performance of this agreement, and shall indemnify and hold the other party harmless
from and against all claims and demands in connection with such acts. CMC takes
responsibility for the acts of its students, faculty, and staff, and EC will not be held
responsible for any act of a student that leads to actual or threatened litigation.
8. Students shall be admitted to the program, and classes shall be offered, on a basis, which
will make the program and classes eligible for FTE handing Linder applicable regulations of
the State of Colorado.
9. This agreement shall be interpreted and enforced according to the laws of the State of
Colorado. Venue shall be proper in only state court in Eagle County, Colorado unless
otherwise agreed.
10. In the event of a lawsuit concerning this Agreement, CMC and EC will be individually
responsible for paying its own attorney fees.
11. This is the entire agreement between the parties and supersedes all prior agreements and
discussions. This agreement may not be modified except in writing signed by both parties.
12. This Agreement may not be assigned by either party without prior written consent of the
other. Subject to this provision, however, this Agreement shall be binding on and shall inure
to the benefat of the successor and assigns of the parties.
13. All notices under this Agreement shall be given in writing to:

14. If either party is prevented from performing any of its obligations hereunder by an
occurrence beyond its reasonable control such as but not limited to acts of God, inclement
weather, fire, flood, war, riot, strike, or lack of common carrier transportation facilities, then
the party affected shall be excused from performance so long as such occurrence exists.
