HomeMy WebLinkAboutC10-072 First Supplemental Lease Purchase AgreementAfter Recording Return To: Hogan & Hartson LLP 1200 17th Street, Suite 1500 Denver, CO 80202 Attention: Anastasia Khokhryakova FIRST SUPPLEMENTAL LEASE PURCHASE AGREEMENT FIRST SUPPLEMENTAL LEASE PURCHASE AGREEMENT dated as of March 1, 2010 (referred to herein as this "First Supplemental Lease"), between EAGLE COUNTY JUSTICE CENTER FINANCING CORPORATION (the "Corporation"), as lessor hereunder and EAGLE COUNTY, COLORADO (the "County"), as lessee hereunder. WITNESSETH: WHEREAS, the Corporation and the County entered into the Lease Purchase Agreement dated as of September 1, 2008 (the "Original Lease"), pursuant to which the County leased the Site from the Corporation for the purpose of facilitating the financing of the costs of acquiring, constructing, otherwise improving and equipping the Addition to the Justice Center; WHEREAS, in order to finance the costs of acquiring, constructing, otherwise improving and equipping the Addition, the Corporation issued $21,300,000 aggregate principal amount of Certificates of Participation (Eagle County Justice Center Project), Series 2008 (the "Series 2008 Certificates") pursuant to the Mortgage and Indenture of Trust dated as of September 1, 2008 (the "Indenture") between the Corporation and Wells Fargo Bank, National Association, as trustee (the "Trustee"); WHEREAS, that part of the Addition abutting the Justice Center on its west side (Parcel A of the Site) and its south side (Parcel B of the Site) have been built (the "Completed Site"); WHEREAS, the Corporation intends to apply certain excess proceeds of the Series 2008 Certificates deposited in the Project Fund pursuant to the Indenture to finance the costs of additional improvements to the Justice Center identified in Exhibit B hereto (the "Additional Project"), to be located on a parcel described in Exhibit A attached hereto (the "Additional Site"); WHEREAS, the Corporation and the County have determined that it is necessary to amend the Original Lease in order to (i) amend the legal description of the Site by revising the legal description of the Completed Site to conform to the as-built dimensions thereof and by adding the Additional Site and (ii) add the Additional Projects to the description of the Series 2008 Projects financed with the proceeds of the Series 2008 Certificates; WHEREAS, Section 9.04 of the Indenture permits the amendment of the Original Lease, with the written consent of the Trustee, but without the consent of or notice to the Certificate owner, to add additional properties to the Series 2008 Project; WHEREAS, as required by the Original Lease and the Indenture, the Trustee has consented to this First Supplemental Lease and such consent is attached hereto as Exhibit C; WADE - (K>506d/O W021 - d43? 53 ~Q ~n o V ~~ NOW, THEREFORE, in consideration of the foregoing premises and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Corporation and the County hereby agree as follows: Section 1. Definitions. All capitalized terms utilized in this First Supplemental Lease without definition shall have the meaning ascribed to them in the Lease. Section 2. Amendments. (a) Exhibit A to the Original Lease is hereby amended by revising the legal description of the Completed Addition to conform to its as-built dimensions and by adding the legal description of the Additional Site and such Exhibit A is hereby replaced in its entirety with Exhibit A attached hereto. (b) Exhibit B to the Original Lease containing the description of the Series 2008 Project is hereby amended by adding the description of the Additional Project contained in Exhibit B attached hereto. Section 3. County's Representation. All representations, covenants and warranties of the County set forth in Section 2.1 of the Original Lease shall apply to the Completed Site, Additional Site, Additional Project and this First Supplemental Lease and shall have the same force and affect as if such representations, covenants and warranties are fiilly set forth herein. Giving the full effect to the amendments set forth herein, the County hereby represents and warrants that such representations, covenants and warranties are true and correct as of the date of the execution and delivery of this First Supplemental Lease. Section 4. Corporation's Representations. All representations, covenants and warranties of the Corporation set forth in Section 2.2 of the Original Lease shall apply to the Additional Site, Additional Project and this First Supplemental Lease and shall have the same force and affect as if such representations, covenants and warranties are fully set forth herein. Giving the full effect to the amendments set forth herein, the Corporation hereby represents and warrants that such representations, covenants and warranties are true and correct as of the date of the execution and delivery of this First Supplemental Lease. Section 5. Confirmation of the Original Lease. This First Supplemental Lease is executed and delivered pursuant to, and in accordance and in conformity with, Section 15.3 of the Original Lease and Section 9.04 of the Indenture. The Original Lease, as amended by this First Supplemental Lease, is in all respects ratified and confirmed and shall remain in full force and effect. Section 6. Governing Law. This First Supplemental Lease shall be governed and construed in accordance with the laws of the State of Colorado. Section 7. Counterparts. This First Supplemental Lease ma_y be executed in any number of counterparts, each of which when so executed and delivered shall be an original; but such counterparts shall together constitute one and the same instrument.
