ASSIGNMENT OF AIRPORT FACILITIES LEASE
THIS ASSIGNMENT OF AIRPORT FACILITIES LEASE, is executed and delivered as ofthe
day of Nevemfier; 2604; by and between Margaret R. Rosenquist, Personal Representative of the Estate of
Charles H. Rosenquist, deceased ("Assignor") and Airplane Hangar, LLC, a Colorado limited liability
company, ("Assignee"), whose address is 7060 East Stone Canyon Drive, Tucson, AZ 86750.
RECITALS
A. Charles H. Rosenquist ("Rosenquist") died on September 20, 2009, and Assignor was duly
appointed Personal Representative of the Estate by the Superior Court in and for the County of Pima, State of
Arizona, Probate No. PB20091036, on the date of October 26, 2009, and is now qualified and acting in said
capacity.
B. Rosenquist was one of three lessees to Airport Facilities Lease dated October 7, 1980, and
Amended by Amendment To Airport Facilities Lease dated August 20, 1997 (original lease and amendment
together referred to as "Lease"), where The Board of County Commissioners of Eagle County, Colorado is the
Lessor ("Lessor"). The other two lessees are Tom Harned and Kevin Clair.
C. As a result of the passing of Rosenquist, Assignor desires to assign the Lease to Assignee.
NOW, THEREFORE, pursuant to the powers conferred upon the Assignor by the Arizona Probate
Code, Assignor does hereby ASSIGN, TRANSFER, SET OVER AND DELIVER unto Assignee the Lease,
together with all Rosenquist's right, title, and interest in and to the Lease and premises, subject to all the
conditions and terms contained in the Lease. Assignee agrees to pay all rent due after the effective date of this
assignment, and to assume and perform all duties and obligations required by the terms of the Lease.
IN WITNESS WHEREOF, Assignee and Assignor have caused this Assignment of Tenant Leases to
be executed as of the day and year first above written.
