PARTIES This Amendment to the above-referenced Original Contract (hereinafter called the Contract) is entered into by and between EAGLE, COUNTY (hereinafter called "Contractor"), and the STATE OF COLORADO (hereinafter called the "State") acting by and through the GOVERNOR'S OFFICE OF HOMELAND SECURITY, (hereinafter called the "OHS"). 2. EFFECTIVE DATE AND ENFORCEABILITY This Amendment shall not be effective or enforceable until it is approved and signed by the Colorado State Controller or designee (hereinafter called the "Effective Date"), but shall be effective and enforceable thereafter in accordance with its provisions. The State shall not be liable to pay or reimburse Contractor for any performance hereunder, including, but not limited to costs or expenses incurred, orbe bound by any provision hereof prior to the Effective Date. 3. FACTUAL RECITALS The Parties entered into the Contract for the purpose of distributing federal Homeland Security funds to enhance preparedness under the Public Safety Interoperable Communications Program Grant. 4. CONSIDERATION Consideration for this Amendment consists of the~payments to be made hereunder and the obligations, promises, and agreements herein set forth. 5. LIMITS OF EFFECT This Amendment is incorporated by reference into the Contract, and the Contract and all prior amendments thereto, if any, remain in full force and effect except as specifically modified herein. 6. AMENDMENTS The Contract and all prior amendments thereto, if any, are modified as follows: a) Change(s) The grant agreement is increased by $104,000.00 to fund a new project -Project D. The details of this change are documented in the narrative and budget for Project D, as contained in Exhibit B1 to this amendment. No other changes are made. b) Reason(s) for Changes Eagle County initially declined these funds because of an inability to provide the required amount of non- federal matching funds. The State of Colorado will provide the matching funds. c) Authority for Amendment This use of these funds is allowable under federal guidance for the PSIC Grant and has been approved by the Governor's Offices of Homeland Security and Information Technology /Communication Services. 7. EFFECTIVE DATE OF AMENDMENT The effective date hereof is upon approval of the State Controller or their designee, or 05/25/09, whichever is later. Page 1 of 2 ~~~ 8. ORDER OF PRECEDENCE 4,_~ Except for the Special Provisions, in the event of any conflict, inconsistency, variance, or contradiction between the provisions of this Amendment and any of the provisions of the Contract, the provisions of this Amendment ~ shall in all respects supersede, govern, and control. The most recent version of the Special Provisions - incorporated into the Contract or any amendment shall always control other provisions in the Contract or any amendments. 9. AVAILABLE FUNDS Financial obligations of the state payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted, or otherwise made available. 10. SIGNATURES . THE PARTIES HERETO HAVE EXECUTED THIS GRANT Persons signing for Grantee hereby swear and affirm that they are authorized to act on Grantee's behalf and acknowledge that the State is relying on their representations to that effect. This Grant is not valid until signed and dated below by the State Controller or delegate. Grantee is not authorized to begin performance until such. time. McDermott, CPA 13y: Date: Page 2 of 2 EXHIBIT B1 to Amendment 1 to Grant 97HS77F20 - Project D Narrative and Budget a) Five (5) quantars, with appropriate licenses, will be added to the statewide Digital Trunked Radio System (DTRS). b) The quantars will be placed at the following DTRS sites located in the Northwest All Hazards Emergency Management Region (NWAEHMR): 1) Table Mountain -Grand County (2 quantars) 2) Blue Ridge -Grand County (1 quantar) 3) Grouse -Grand County (1 quantar) 4) Wilson Creek -Rio Blanco County (1 quantar) c) The equipment will remain the property of the local jurisdiction. d) An inter-governmental agreement between the local jurisdiction and the site owner will be executed outlining ownership and maintenance responsibilities. e) The match for this PSIC grant project will be provided by the State as an in-kind equipment match in the form of the recent system upgrade. Eagle County has previously agreed to be the fiscal agent for this grant.
