FIRST AMENDMENT TO EASEMENT
THIS FIRST AMENDMENT TO EASEMENT (this "Amendment") is made as of June
18, 2009, by and among COUNTY OF EAGLE, STATE OF COLORADO, a governmental
entity and political subdivision of the State of Colorado (hereinafter referred to as the "C°unty"),
as successor to Bruce C. Eaton and Winifred W. Grimshaw; BCP-MIDTOWN
INVESTMENTS II, LLC, a Delaware limited liability company, its successors and assigns
(hereinafter referred to as `BCP"), as successor to Bruce C. Eaton and Winifred W. Grimshaw;
and ROCKY MOUNTAIN NATURAL GAS LLC, a Colorado limited liability company, and
PUBLIC SERVICE COMPANY OF COLORADO, a Colorado corporation (collectively,
"Grantees"). The County, BCP and Grantees shall collectively be referred to as "Parties."

Recitals ~
This Amendment is made with respect to the following facts:
A. On July 4, 1996, the District Court in Eagle County, Colorado entered into a Rule
and Order in connection with Case No. 95CV159 (the "Rule and Order") pursuant to which the
Court awarded Grantees a permanent, non-exclusive easement (the "Easement"), from 25.00 to
35.00 feet in width, over and across certain real property owned by Bruce C. Eaton and Winifred
W. Grimshaw, predecessors in interest to the County and BCP, which real property is more
particularly described and depicted on Exhibit "A" to the Rule and Order. A copy of the Rule
and Order is attached hereto as Exhibit A and incorporated herein by this reference;
B. The Rule and Order was recorded in the Eagle County Clerk and Recorder's
office on July 17, 1996 at Book 699, Page 986;
C. As set forth in the Rule and Order, the purposes of the Easement are to lay,
construct, maintain, operate, repair, inspect, alter, replace, remove and/or change the size of one
or more pipelines with valves, meters, fittings, supplies and related facilities for the
transportation of natural gas over, through, under and across said Easement;
D. The County is the successor in interest to Bruce C. Eaton and Winifred W.
Grimshaw, and their successors and assigns, by virtue of that certain Special Warranty Deed
fxom Bruce C. Eaton and Grimshaw-Eaton, LLC, a Colorado limited liability company and
Michael Eaton and Shelly Dahl to the County dated September 13, 2005 and recorded in the
Eagle County Clerk and Recorder's Office on September 20, 2005 at Reception No. 929977.
E. BCP is the successor in interest to Bruce C. Eaton and Winifred W. Grimshaw,
and their successors and assigns, by virtue of that certain Warranty Deed from the Robert and
Patricia Havener Charitable Remainder Trust as to an undivided 25 percent interest and Robert
E. Havener and Patricia A. Havener as to an undivided 75 percent interest to Urban Legends,
LLC ("Urban Legends") dated March 13, 2006 and recorded in the Eagle County Clerk and
Recorder's Office on March 20, 2006 at Reception No. 200606829, that certain Quit Claim Deed
from Urban Legends to Capital Investment, LLC ("Capital Investment") dated September 20,
2007 and recorded in the Eagle County Clerk and Recorder's Office on September 21, 2007 at
Reception No. 200725486, and that certain Quit Claim Deed from Capital Investment to BCP
dated September 20, 2007 and recorded in the Eagle County Clerk and Recorder's Office on
September 21, 2007 at Reception No. 200725487;
F. It has been brought to the attention of the Parties that the location of a gas pipeline
constructed by the Grantees which was intended to be located entirely within the Easement is
actually located partially outside of the Easement; and
G. The Parties desire to amend the Easement to, among other things, correct an error
in the legal description of the Easement so that the gas pipeline is entirely within the Easement,
as amended, on the terms and conditions as set forth herein.
Agreement
NOW THEREFORE, for good and valuable consideration, the receipt, adequacy and
sufficiency of which is hereby acknowledged, the Parties hereto agree as follows:
1. Correction of Easement Description. The Parties agree that the Easement is
hereby amended to include the real property legally described and depicted on Exhibit B,
attached hereto and incorporated herein by this reference (the "Additional Property"), to the
property legally described on Exhibit "A" to the Rule and Order.
2. Exclusion of Property. The Parties agree that the Easement is hereby amended
to exclude the real property legally described and depicted on Exhibit C, attached hereto and
incorporated herein by this reference (the "Excluded Property"), from the property legally
described on Exhibit "A" to the Rule and Order. Grantees each agree to execute a Quit Claim
Deed in the form of Exhibit D attached hereto remising, releasing, selling and quit claiming all
right, title and interest each of them has in the Excluded Property to BCP.
3. Full Force and Effect. Except as modified herein, the Easement shall remain in
full force and effect. The County, BCP and Grantees hereby reaffirm all of the terms and
conditions of the Easement contained in the Rule and Order.
IN WITNESS WHEREOF, the parties have executed this Amendment on the date set
forth below, intending this Amendment be effective as of the date first set forth above.
