FIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO
AND ISC, INC.

THIS FIRST AMENDMENT ( "Amendment') is made and entered into this day of
-11A, 2009, between Eagle County, by and through its Board of County Commissioners
(hereinafter referred to as "County ") and ISC, INC. (hereinafter referred to as "Consultant').
WHEREAS, County and Consultant entered into a Master Consulting Agreement dated
February 4, 2009 ( "Master Agreement'); and
WHEREAS, Consultant will continue to work for County and County shall continue to
compensate Consultant for services that are properly invoiced for and are completed to the
satisfaction of County; and
WHEREAS, the County is now desirous of additional services and Consultant is willing
to perform the same under the terms and conditions of the Master Agreement and this
Amendment; and
In consideration of the terms and conditions of the Master Agreement and this Amendment, the
sufficiency of which is hereby acknowledged, County and Consultant agree that this Amendment
shall add to those sections of the Master Agreement as follows:
Exhibit A
Exhibit "A ", otherwise referred to as Consulting Services in the Master Agreement, shall be
amended to include the document titled "ISC Statement of Work For Eagle County Dial Out
Access Code Project " as attached to this Amendment hereto as Exhibit "A -1 ".
County and Consultant agree that, except as expressly altered, modified and changed in this
Amendment, all terms and provisions of the Master Agreement shall remain in full force and
effect during the modified term, and hereby are ratified and confirmed in all respects as of the
date hereof.
If any conflict exists between the provisions of Exhibit "A -1" and Exhibit "A" of the Master
Agreement, the provisions of Exhibit "A -1" shall control. To the extent the terms and conditions
of the Master Agreement may conflict with Exhibit "A ", Exhibit "A -1 ", or any future exhibits,
the terms and conditions of the Master Agreement shall control.
This Amendment shall be binding on the parties hereto, their heirs, executors, successors, and
assigns.

The following Statement of Work is for an engineering services project that ISC will be
performing for Eagle County Government. Eagle County Government has requested ISC's
assistance with configuration and testing of their existing VOIP infrastructure.
This Statement of Work will cover all tasks and related issues to complete these services for
Eagle County Government.
As part of this onsite project, ISC will assist Eagle County Government with the following list of
tasks:
• The ISC engineer will make the necessary configuration changes to allow for a different dial out
access key, to accomplish this task, ISC will configure the following:
• ISC will change call routing configuration in Cisco Unified Communications Manager
• ISC will change all route patterns least cost routing associated to Voicemail Access
Presence dialing, and Emergency Responder.
• ISC will change H.323 routing configuration in Cisco Voice Gateways
• ISC will change Survivable Remote Site Telephony (SRST) configurations
• ISC will change Cisco Unity out -dial routing configuration
• ISC will change Cisco Emergency Responder routing and dial patterns
• ISC will build a new dial code in addition to the one the customer currently has
(Concurrent outside access code)
• ISC will verify and test the new dial pattern (including E911 and SRST)
• ISC will remove configuration of the old outside access code.
Implementation Notes
To accomplish this task every single route pattern needs to be changed. This includes all
least cost routing, all outbound dial from MGCP, all dialing from H323, and dialing
from SRST and every sited will need to be verified with a 911 and SRST test call. This
will all be configured in parallel with the existing configurations, once it has been tested
the old configurations will be removed.
Project Assumptions
ISC is not responsible for the performance or quality of third -party vendors not brought
in by ISC. If these vendors affect the project time line, additional fees might be assessed
to Eagle County Government.
If the project extends beyond the mutually agreed upon timeline due to delays caused by
parties other than ISC, additional charges will be provided to Eagle County Government
for acceptance and payment.
ISC recommends that Eagle County Government send its associates to in -depth training
for that specific platform or application, which is not included in this Statement of Work.

ISC can provide Eagle County Government with a list of several Learning Partners for a
particular course in the area if requested.
Any changes made by ISC during this project will be documented and submitted to the
customer in data form.
The Project Schedule will be developed and mutually agreed upon by representatives of ISC and
Eagle County Government after contract signing. All Services and meetings, unless otherwise
agreed upon by both ISC and Eagle County Government, will be performed during normal
business hours (8 A.M. to 5 P.M. Local Time), Monday— Friday. ISC can accommodate requests
to work after -hours
The pricing component for this Statement of Work is as follows:
• A total price of $ 10,893.63 for this project, this includes all services and per diems as
described in the Project Scope section of this Statement of Work.
• Payment Terms:
o Net30 days from completion of installation
All services are provided in accordance with this Statement of Work.
This proposal and pricing is valid for a period of thirty (30) days from the date on the cover of
this Statement of Work.
Any changes to the project scope, duration, assumptions, deliverables, pricing, or approach shall
be made in writing and mutually agreed to by both Eagle County Government and ISC using a
Change Request form. This form will be distributed to all parties during a project kick -off
meeting. A change request will include the reason for the requested change, a specific
description of the change, and the anticipated impact on the project schedule, deliverables,
approach, and pricing. Either party may request a change in scope. ISC will not undertake any
changes in scope until the change has been documented, priced, and agreed to by Eagle County
Government and ISC.

As part of the change control process, a determination will be made as to the impact of the change
on the project's budget and schedule. All changes, even those that do not alter the original price,
will be documented before being implemented. ISC will assign a single point of contact for
change orders. Eagle County Government will designate a single point of contact in conjunction
with the acceptance of this proposal.
Note: If any issues or problems arise, that are beyond the scope of this Statement of Work, this
agreement will be modified to reflect additional changes and charges that will be mutually agreed
upon by Eagle County Government and ISC.

Upon receipt of the as- configured documentation, Eagle County Government shall have five (5)
business days to review and request changes, if any, and provide written acceptance of the
recommendations. In the event that changes are requested, ISC shall review such request, and
make the appropriate changes. ISC shall then resubmit the report to Eagle County Government,
and it shall be deemed acceptable upon this resubmission.
If no changes are specific, then work is deemed accepted upon notice from ISC that the work is
complete.
Project Cancellation
Eagle County Government must notify ISC in writing if they wish to cancel this Statement of
Work. If Eagle County Government cancels this Statement of Work, Eagle County Government
shall pay ISC for all work performed, deliverables provided, and expenses incurred by ISC on
Eagle County Government's behalf including but not limited to: travel and related expenses
incurred in the performance of the Statement of Work for ISC, its subcontractors, and its agents.

If onsite ISC personnel is delayed more than one hour per site by those aspects of the engagement
that are outside of ISC control (i.e. Telco circuit delays, network non - availability, existing or
reuse hardware /cable failures, etc.), or a delay is caused by incorrect information or a lack of
information required from Eagle County Government, the delay time may be charged at our
normal Time & Materials rate.

TERM SHEET

6) Purpose: Technical support and assistance associated with changing
external dialing code at all County locations from a 9 to # in order to mitigate
ongoing issues throughout County associated with accidental 911 calls.
7) Schedule: June 2009.
8) Financial considerations:
• $10,893.63 fixed cost agreement.
• Fully budgeted under VoIP Project budget. Estimated 40 to 60 hours
of effort, yields effective fully loaded rate between $180 to $270 per
hour.
• This agreement was single sourced with ISC due vendor's intimate
knowledge working with Eagle County telecommunications
environment.
• While ISC's hourly rate is on the high side, it is competitive with other
vendors in this market space. ISC's experience with Eagle County
gives them a significant advantage concerning number of hours this
effort will take, as well as confidence that their personnel are
adequately skilled to fulfill this agreement competently and
comprehensively. Downside risks associated with this project going
badly do not warrant involving an unproven vendor.
9) Other: While this may seem a trivial change, it is actually rather
complicated in practice. Involves updating and testing changes at 15 office
locations involving about 300+ routing plans. Needs to be done quickly,
precisely, and without business disruption. ISC is the only organization that
I presently have the confidence in to achieve all. ' -
