THIS FIRST AMENDMENT ("Amendment") is made and entered into this -~day of May 2009, between Eagle County, by and through its Board of County Commissioners (hereinafter referred to as "County") and CenturyTel of Eagle, Inc. (hereinafter referred to as "CenturyTel"). WHEREAS, County and CenturyTel entered into an Ethernet Agreement to provide Telecommunications Equipment and Services dated October 7th, 2008 ("Ethernet Agreement"); and WHEREAS, CenturyTel will continue to work for County and County shall continue to compensate CenturyTel for services that are properly invoiced for and are completed to the satisfaction of County; and WHEREAS, the County is now desirous of additional services and CenturyTel is willing to perform the same under the terms and conditions of the Ethernet Agreement and this Amendment; and In consideration of the terms and conditions of the Ethernet Agreement and this Amendment, the sufficiency of which is hereby acknowledged, County and CenturyTel agree that this Amendment shall add to those sections of the Master Agreement as follows: Addendum A Addendum "A", otherwise referred to as "Agreement To Provide Telecommunications Services Addendum A" in the Ethernet Agreement, shall be amended to include the document titled "Schedule of Ethernet Service Modifications" as attached to this Amendment hereto. County and CenturyTel agree that, except as expressly altered, modified and changed in this Amendment, all terms and provisions of the Ethernet Agreement shall remain in full force and effect during the modified term, and hereby are ratified and confirmed in all respects as of the date hereof. If any conflict exists between the provisions of this Amendment and the Ethernet Agreement, the provisions of this Amendment shall control. Service to Golden Eagle Apartments - Will allow County to provide VoIP to Golden Eagle and discontinue ongoing CenturyTel voice services. 2. Service to Edwards Sheriff's substation -Contracted with CenturyTel on original Metro Ethernet agreement to provide services to "old" Edwards Sheriff's substation location. This simply reflects the location change, and positions County to put ME services in place to support voice and data needs upon completion of construction at Edwards Fieldhouse. 3. Service between Justice Center and Town of Vail - Existing bandwidth between Justice Center and 500 Broadway is being split in half and allocated to a new direct path connection to the Town of Vail. This connection will better support Sheriff's ongoing utilization of TOV hosted dispatching services, as well as the transfer of digital evidence between the two sites. 7) Schedule: July 2009 for Golden Eagle and Justice Center. Edwards Fieldhouse is dependent on completion of construction activities. 8) Financial considerations: • All activities contained within this contract were planned and anticipated within 2009 IT Telecommunications budget. / • New Golden Eagle data circuit charges will effectively net out against CenturyTel voice charges which will be discontinued once VoIP is in place. ~/ • Edwards costs were previously planned and budgeted, this is simply a ~,~r'V ~'.~~ ~ location change indicator.
