Home My WebLink AboutC09-114 Shaw ConstructionSECOND AMENDMENT APPROVING THE GUARANTEED MAXIMUM PRICE, BUDGET, AND CONSTRUCTION SCHEDULE FOR THE EAGLE COUNTY RECYCLING TRANSFER FACILITY THIS Second Amendment is made and entered into this 7th day of April, 2009 between the Board of County Commissioners, County of Eagle, State of Colorado, (hereinafter referred to as "County") and Shaw Construction (hereinafter referred to as "Contractor"). Together all shall be referred to as "Parties." WHEREAS, County and Contractor entered into an Agreement dated September 30, 2008 ("Original .Agreement") for Preconstruction and Construction of the Eagle County Recycling Transfer Facility; and WHEREAS, the Original Agreement called for the provision by Contractor of a proposed Guaranteed Maximum Price (hereinafter referred to as "GMP"), detailed budget and construction schedule to the County; and WHEREAS, the GMP, budget and construction schedule must be approved by the Eagle County Project Manager and the County before Contractor may be authorized to commence construction services; and WHEREAS, Contractor has presented to the County a GMP, detailed budget and construction schedule attached hereto; and WHERAS, the Eagle County Project Manager and the County wish to approve the GMP, detailed budget and construction schedule as conditioned herein and authorize the issuance of a Notice to Proceed with Construction Services. In consideration of the terms and conditions of the Original Agreement, the sufficiency of which is hereby acknowledged, County and Contractor hereby agree to the following: THAT, the GMP, detailed budget and construction schedules attached hereto are hereby accepted by the undersigried and incorporated into the Contract Documents as defined in Article 2 of the Original Agreement. THAT, Article 2 of the Original Agreement shall be modified with the addition of the following Contract Documents: "Article 2.1M GMP drawing set dated January 26, 2009 and the construction set dated February, 18, 2009; GMP specifications dated January 26, 2009 and the construction set dated February 20, 2009". "Article 2.1N Second Amendment approving the Guaranteed Maximum Price, Schedule A Rate Sheet and Construction Schedule, including attached exhibits, for the Eagle County Recycling Transfer Facility dated Apri17, 2009". THAT, the Original Agreement, General Conditions, and the Drawings and Specifications shall control if there exists any conflicts with those documents and this Second Amendment, including any attachments attached hereto, unless otherwise notified in writing by the Eagle County Project Manager. THAT, Contractor is hereby designated as the Construction Manager/General Contractor for the construction of the Eagle County Recycling Transfer Facility. THAT, the Eagle County Project Manager is authorized to issue a Notice to Proceed to Contractor to perform those Construction Services set forth in the Original Agreement. County and Contractor agree that, except as expressly altered, modified and changed in this Second Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. This Second Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. See #5 for purpose. 4) Staff submitting: Ron Siebert, x88 ~ ~~~ 1 ~-~'~ 1 5) Purpose: Approve Shaw Construction's GMP Estimate and schedule for the construction of the Recycling Transfer Facility. 6) Schedule: Start construction by April 18th and complete construction mid January 2010. 7) Financial considerations: 5.8 million was budgeted.
