THIS EASEMENT (hereinafter "Agreement") is made and entered into this ~ day of
200 by and between Colorado Mountain College, acting by and through its
B and of Trustees (hereinafter "CMC" and Eagle County, Colorado, a body corporate and
politic, by and through its Board of County Commissioners (hereinafter "Eagle County").
WITNESSETH:
WHEREAS, CMC owns Lot 1 as described by the Colorado Mountain College at Berry Creek
Final Plat, recorded at Reception Number 200708590, located between Miller Ranch Road and I-
70G Spur Road (hereinafter "Subject Property"); and
WHEREAS, Eagle County, in conjunction with the Edwards Area Metropolitan Districts, are
developing plans for road improvements of the I-70G Spur Road between the intersection of
Beard/Berry Creek Roads intersection and the Miller Ranch Road/ I-70G Spur Road intersection
(herinafter "Improvements"); and
WHEREAS, these Improvements will alleviate traffic congestion and improve safety of the
Miller Ranch Road / I-70G Spur Road intersection providing a benefit to the users of the CMC
property and to the County as a whole; and
WHEREAS, the Improvements will require construction of roadway embankments
("Embankments") on the Subject Property; and
WHEREAS, CMC is willing to grant the County a perpetual, non-exclusive easement for the
purpose of construction and maintenance of the Embankments on the Subject Property pursuant
to the terms and conditions of this Agreement.
NOW, THEREFORE, in consideration of the terms and covenants stated herein, the sufficiency
of which is hereby acknowledged, CMC and Eagle County agree as follows:
ENCROACHMENT EASEMENT GRANT:
CMC hereby grants and conveys to Eagle County, their successors and assigns, anon-exclusive,
perpetual encroachment easement for the purposes of constructing and maintaining the
Embankments within the Subject Property at the locations shown on the right-of--way plan as
shown by Exhibit "A" and described by legal description contained in Exhibit "B" attached
hereto and incorporated herein by this reference (hereinafter, the "Easement").
The Easement granted herein shall be an interest in real property owned by the County for the
purpose of providing structural support for the overlying Improvements. The Easement granted
by this agreement is non-exclusive and CMC reserves the right to use for itself and to grant for
others rights-of--way over, under, across or through the Easement herein granted, provided that
they do not unreasonably interfere with Eagle County's Easement or the structural support of the
overlying Improvements. Without limiting the foregoing, CMC reserves the right to place along,
across, under, over and through the Encroachment Easement as many electric lines, power lines,
waterlines, sewer lines, gas lines, telephone lines, other utilities, or other structures or
improvements, as CMC may deem necessary, subject only to the right of Eagle County to use the
same for the purposes herein granted.
The area encompassed by the Easement shall be included in any calculation of open space that
may be necessary or appropriate in connection with any future development on the Subject
Property. Any setback requirements in connection with any future development of the Subject
Property shall be established with reference to the property boundaries, and shall not be
increased by the existence of the Easement.
The encroachment of the Improvements into CMC's property shall not constitute any
relinquishment of CMC's property rights whether through claims of adverse possession or any
other means.
Notwithstanding anything to the contrary herein, this Easement shall automatically terminate if
the Improvements are not substantially completed prior to December 31, 2015.
CONSTRUCTION AND MAINTENANCE OF IMPROVEMENTS:
Eagle County shall be solely responsible for all construction, repair, and maintenance of the
Embankments within the said Easement and hereby releases CMC from any and all liabilities
arising out of the County's use of the Easement. Eagle County shall at all times remain solely
responsible for injuries, demands, damages to persons or property, losses or judgments arising
from the use of the Easement.
INDEMNIFICATION:
To the extent permitted by law, Eagle County shall indemnify and hold harmless CMC. and any
of its officers, agents and employees against any losses, claims, damages or liabilities for which
CMC or any of its officers, agents, or employees may become subject to, insofar as any such
losses, claims, damages or liabilities arise out of, directly or indirectly, this Easement, or are
based upon any performance or nonperformance by Eagle County hereunder; and Eagle County
shall reimburse CMC for any and all legal and other expenses incurred by CMC in connection
with investigating or defending any such loss, claim, damage, liability or action.
ENFORCEMENT REMEDIES:
This Easement shall be specifically enforceable by either party hereto against the other party, its
successors and assigns.
CMC and Eagle County agree that this Easement may be enforced for specific performance,
injunctive, or other appropriate relief, including damages, as may be available according to the
laws and statutes of the State of Colorado. It is specifically understood that by executing this
Easement both CMC and Eagle County commit themselves to perform pursuant to these terms
contained herein. In the event that an action is brought to enforce this Easement, the prevailing
party shall be responsible for the recovery of its costs and fees, including reasonable attorney's
fees.
MISCELLANEOUS:
This Easement shall be governed and construed in accordance with the laws of Colorado. Venue
for any action arising out of any dispute pertaining to this Agreement shall be in Eagle County,
Colorado.
This Easement and the rights and obligations created hereby shall be binding upon and insure to
the benefit of CMC and Eagle County and their respective successors and assigns. Nothing
herein expressed or implied is intended or should be construed to confer or give to any person or
entity other than CMC and Eagle County and their respective successors and assigns, any right,
remedy or claim under or by reason of any covenant or condition herein contained.
If any portion of this Easement is held invalid or unenforceable for any reason by a court of
competent jurisdiction, such portion shall be deemed severable and its invalidity or its
unenforceability shall not affect the remaining provisions; such remaining provisions shall be
fully severable and this Easement shall be construed and enforced as if such invalid provision
had never been inserted into this Easement.
This Easement may be amended, modified, changed, or terminated in whole or in part only by
written agreement duly authorized and executed by both CMC and Eagle County. This
Easement represents the full and complete understanding of CMC and Eagle County and
supersedes any prior agreements, discussions, negotiations, representations or understandings of
CMC and Eagle County with respect to the subject matter contained herein.
The parties hereto agree that neither has made or authorized any agreement with respect to the
subject matter of this instrument other than expressly set forth herein, and no oral representation,
promise, or consideration different from the terms herein contained shall be binding on either
party, or its agents or employees hereto.
All of the covenants herein contained shall be binding upon and inure to the benefits of the
parties hereto, their respective heirs, personal representatives, successors and assigns.
This Right of Way Easement is granted subject to prior grants of easements and other ownership
interests of record. CMC makes no warranties as to the title of the easement conveyed.

A permanent easement No. PE 107 of the Department of Transportation, State of Colorado,
Project No. IM 0702-265 containing 5,331 sq. ft. (0.122 acres), situated in Lot 1 Colorado
Mountain College at Berry Creek, a Resubdivision of Tract A of the Berry Creek/Miller Ranch
Planned Unit Development recorded in the Eagle County Clerk and Recorder's Office as
reception number 200708590. Said permanent easement being in the NW/4 of Section 4,
Township 5 South, Range 82 West of the Sixth Principal Meridian, Eagle County, Colorado, and
being more particularly described as follows:
{The basis of bearing for this description is a bearing ofN02°03'08"E between the west 1/4
comer of said Section 4, a 3" aluminum cap stamped "Alpine Eng" found. in place, and the
northwest corner of said Section 4, a 1972 BLM brass cap found in place.)
BEGINNING at the northwesterly corner of said Lot I;
1.. Thence along the southwesterly right-of--way of Miller Ranch Road along the arc of a
curve to the left having a radius of 455.00 feet and a central angle of I3°52'50", a
distance of 110.23 feet (chord bears 847°00'09"E 109.96 feet);
2. Thence continuing along said southwesterly right-of--way 853°56'35"E a distance of
38.29 feet;
3. Thence leaving said southwesterly right-of--way N81 °28'42"W a distance of 144.70 feet;
4. Thence along the arc of anon-tangent curve to the right having a radius of 530.00 feet
and a central angle of 00°07'49", a distance of 1.20 feet (chord bears N44°02'32"W 1.20
feet) to a point on the westerly boundary of said Lot 1;
5. Thence N23°24'43"E along said westerly boundary a distance of 81.97 feet to the POINT
OF BEGINNING;
The above described parcel containing 5,331 Sq. Ft. (0.122 Acres), more or less.
The purpose of the above described easement is to convey a permanent slope easement for
slope grading and maintenance.
