between
EAGLE COUNTY, COLORADO
and
COLORADO MOUNTAIN NEWS MEDIA
This agreement ("Agreement"), entered into this ~ day of _, 2009, between
Eagle County, Colorado ("County") and Colorado Mountain News Media, a division of
Swift Communications ("CMNM").
WITNE5SETH:
Whereas, CMNM owns and operates various Colorado publications, including The Aspen
Times, The Glenwood Spring Post Independent, The Grand Junction Free Press, the
Summit Daily News, The Vail Daily, The Eagle Valley Enterprise, The Vail Trail and
The Valley Journal ("the "Publications"); and
Whereas, County desires to purchase advertising space with CMNM at a guaranteed and
fixed rate during the term of this Agreement; and
Whereas, CMNM desires to have a guaranteed minimum dollar amount of advertising
space sales to County during the term of this Agreement,
Now, therefore, in consideration of the foregoing premises and following promises, the
parties agree as follows:
1. TERM. The term of this Agreement ("the Term") shall be one (1) year, commencing
on February 1, 2009 and ending on January 31, 2010.
2. GUARANTEED PURCHASE LEVEL. County shall purchase from CMNM, at the
rates specified in Section 3 of this Agreement, One Hundred and Fifty Thousand Dollars
($150,000) (the "Purchase Level") of advertising space ("Advertising Space") during the
Term in one or another of the Publications. Advertising Space includes, but is not limited
to, classified advertisements, display advertisements, legal notices, legal display and legal
liner advertisements.
3. GUARANTEED RATE FOR ADVERTISING SPACE. CMNM guarantees to
County for Advertising Space other than legal notices during the Term the rates specified
for the Purchase Level in Exhibit A attached hereto and incorporated herein by this
reference. The rates for legal notices in The Eagle Valley Enterprise shall be as specified
on Exhibit B attached herein and incorporated herein by this notice. The rates specified
on Exhibits A and B collectively are referred to as the "Guaranteed Rates." It is
understood and agreed that the limitation on covered publications specified on Exhibit A
shall not apply to Advertising Space purchased by County under this Agreement.

4. FAILURE TO MEET PURCHASE LEVEL. Should County fail to purchase the
Purchase Level worth of Advertising Space at the Guaranteed Rates during the Term,
County shall remit to CMNM within thirty (30) days after the end of the Term the
amount of the deficiency.
5. ACCOUNT CODES. Departments of County to be incorporated into this Agreement
include but are not limited to the following. CMNM agrees to include Account Codes, as
listed below, on all invoices sent to County:

6. ADVERTISING PLACEMENT PROTOCOL.

(a) In all cases, the County department placing an advertisement shall provide an account
code as set forth in Paragraph 5.
(b) If the advertisement is placed via a-mail, the account code shall be typed in the
subject line of the email. Dates and publication shall be included in the body of the
email. E-mail orders should be directed to cbukovich@cmnm.org.
(c) If the advertisement is placed via facsimile, the account code shall be placed on the
cover page of the fax.
(d) If the advertisement is placed via telephone, the account code shall be given in order
for the ad to be scheduled properly. Telephone orders should be directed to Carole
Bukovich at 970.328.6333 ext. 2800.
(e) CMNM agrees, at no charge, to include tear sheets with invoices at County's request.
7. NOTICE. Any notice, demand or communication which either party may desire or be
required to give other party shall be in writing and shall be deemed sufficient if delivered
personally or sent by certified first class US mail, postage prepaid, addressed as follows:

Either party may designate in a writing served as provided above a different address to
which any notice, demand or communication is to be mailed.
8. ENTIRE AGREEMENT. This Agreement contains the entire agreement between the
parties with respect to the subject matter hereof, and supersedes any and all prior
agreements, proposals, negotiations and representations pertaining to the obligations to be
performed hereunder.
9. SEVERABILITY. If any clause or provision of this Agreement shall be held to be
invalid in whole or in part, then the remaining clauses and provisions, or portions thereof,
shall nevertheless be and remain in full force and effect.
10. AMENDMENT. No amendment, alteration, modification of or addition to this
Agreement shall be valid or binding unless in writing and signed by the parties to be
bound thereby.
11. ATTORNEY FEES. If either party hereto shall bring any suit or action against the
other arising out of this Agreement, the prevailing party shall have and recover against
the other party its costs and reasonable attorney's fees.
12. GOVERNING LAW. This Agreement shall be governed by and interpreted in
accordance with the laws of the State of Colorado. Exclusive jurisdiction and venue for
any legal proceedings related to this Agreement shall be in the District Court of Eagle
County, Colorado.
13. APPROPRIATIONS. Notwithstanding anything to the contrary contained in this
Agreement, County shall have no obligations under this Agreement nor shall any
payment be made to CMNM for any period after December 31, 2008 without an
appropriation by County in accordance with a budget adopted by the Board of County
Commissioners in compliance with applicable law.
14. SOLE SOURCE GOVERNMENT CONTRACTS. If CMNM has entered into a
sole source government contract or contracts with the State of Colorado or any of its
political subdivisions as defined in Article XXVIII of the Colorado Constitution which
including this contract in the aggregate on an annual basis are equal to or exceed the
amount of $100,000, then the following provisions apply:
A. Because of a presumption of impropriety between contributions to any campaign
and sole source government contracts, CMNM, on behalf of itself, any person who
controls ten percent or more of the shares of or interest in CMNM, and CMNM's
officers, directors and trustees (collectively, the "Contract Holder") shall contractually
agree, for the duration of the contract and for two years thereafter, to cease making,
causing to be made, or inducing by any means, a contribution, directly or indirectly, on
behalf of the Contractor Holder or on behalf of his or her immediate family member and
for the benefit of any political party or for the benefit of any candidate for any elected
office of the state or any of its political subdivisions.
B. The parties further agree that if a Contract Holder makes or causes to be made any
contribution intended to promote or influence the result of an election on a ballot issue,
the Contract Holder shall not be qualified to enter into a sole source government contract
relating to that particular ballot issue.

C. The parties agree that if a Contract Holder intentionally violates sections 15 or
17(2) of Article XXVIII of the Colorado Constitution, as contractual damages that
Contract Holder shall be ineligible to hold any sole source government contract, or public
employment with the state or any of its political subdivisions, for three years.
D. The Contract Holder agrees to comply with the summary and notice provisions of
Section 16 of Article XXVIII of the Colorado Constitution.
E. These provisions shall not apply to the extent they have been enjoined or
invalidated by a court of competent jurisdiction.
F. All terms used in this Section and not otherwise defined in this Agreement shall
have the same meaning as set forth in Article XXVIII of the Colorado Constitution.
15. PROHIBITIONS ON PUBLIC CONTRACT FOR SERVICES:
If CMNM has any employees or subcontractors, CMNM shall comply with C.R.S. § 8-
17.5-101, et seq., regarding Illegal Aliens -Public Contracts for Services, and this
Contract. By execution of this Contract, CMNM certifies that it does not knowingly
employ or contract with an illegal alien who will perform under this Contract.
A. CMNM shall not:
(i) Knowingly employ or contract with an illegal alien to perform work under
this contract for services; or
(ii) Enter into a contract with a subcontractor that fails to certify to the
CMNM that the subcontractor shall not knowingly employ or contract
with an illegal alien to perform work under the public contract for
services.
B. CMNM will confirm the employment eligibility of all employees who are newly
hired for employment to perform work under this Contract through participation in the
Basic Pilot Verification program, as administered by the United States Department of
Homeland Security. If CMNM is not accepted into the Basic Pilot Verification Program
prior to entering into a public contract for services, CMNM shall apply to participate in
the Program every three months until CMNM is accepted or the public contract for
services has been completed, whichever is earlier. Information on applying for the Basic
Pilot Verification Program can be found at:

C. CMNM shall not use either the Basic Pilot Verification Program procedures to
undertake pre-employment screening of job applicants while the public contract for
services is being performed.

D. If CMNM obtains actual knowledge that a subcontractor performing work under
the public contract for services knowingly employs or contracts with an illegal
alien, CMNM shall be required to:
(i) Notify the subcontractor and the County within three days that the CMNM
has actual knowledge that the subcontractor is employing or contracting
with an illegal alien; and
(ii) Terminate the subcontract with the subcontractor if within three days of
receiving the notice required pursuant to subparagraph (i) of the paragraph
(D) the subcontractor does not stop employing or contracting with the
illegal alien; except that CMNM shall not terminate the contract with the
subcontractor if during such three days the subcontractor provides
information to establish that the subcontractor has not knowingly
employed or contracted with an illegal alien.
E. CMNM shall comply with any reasonable request by the Department of Labor
and Employment made in the course of an investigation that the department is
undertaking pursuant to its authority established in C.R.S. § 8-17.5-102(5).
F. If a Contractor/Consultant violates these prohibitions, the County may terminate
the contract for a breach of the contract. If the contract is so terminated specifically for a
breach of this provision of this Contract, CMNM may be liable for actual and
consequential damages to the County as required by law.
G. The County will notify the office of the Colorado Secretary of State if CMNM
violates this provision of this Contract and the County terminates the Contract for such
breach.
