HomeMy WebLinkAboutC09-047 Terra Congnito GIS Services_first amendmentFIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY. COLORADO AND TERRA COGNITO GIS SERVICES. INC. THIS FIRST AMENDMENT is made and entered into this 2nd day of February 2009, between Eagle County, by and through its Board of County Commissioners (hereinafter referred to as "County") and TerraCognito GIS Services, Inc (hereinafter referred to as "Consultant"). WHEREAS, County and Consultant entered into an Agreement for GIS consulting services for a seamless county-wide build-out dataset dated June 24, 2008 ("Original Agreement") wherein Consultant completed most of the work described in the document titled "Eagle County Build- out Analysis & Visualization: Scope of Services" (hereinafter "Original SOS") and completed other reimbursable work beyond the Original SOS; and WHEREAS, Consultant will continue to finish tasks detailed in the Original SOS and County shall continue to compensate Consultant for services that are properly invoiced for and are completed to the satisfaction of County; and WHEREAS, the County is now desirous of additional services and Consultant is willing to perform the same under the terms and conditions of the Original Agreement and this First Amendment; and In consideration of the terms and conditions ~of the Original Agreement and this First Amendment, the sufficiency of which is hereby acknowledged, County and Contractor agree that this Amendment shall add to, replace, and supersede those sections of the Original Agreement as follows: Article 1-Work. Article 1.A -Shall be modified with the addition of the following sentence: ".... In addition to the services identified above, Consultant agrees to perform Tasks 1-7 as set forth more particularly in "Eagle County Build-out Analysis & Visualization Scope of Service Change Report" dated December 16, 2008 and attached as Exhibit "A" to this First Amendment and incorporated herein by this reference." Article 5 -Contract Price. Article S.A -Shall be deleted in its entirety and replaced with the following: "A. The funds appropriated for this Project are equal to or in excess of the contract amount. County shall pay Consultant for performance of the work in accordance with Exhibit "A". The total compensation for the remaining work and additional work shall be $31,100.00." Article 6 -Commencement and Completion of the Work "Article 6 -Shall be modified by replacing the first sentence with the following language: "Consultant shall commence the Work promptly after execution of this Agreement by both parties and shall be completed by Apri130, 2009...." County and Consultant agree that, except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect during the modified term, and hereby are ratified and confirmed in all respects as of the date hereof. If any conflict exists between the provisions of this First Amendment and the Original Agreement, the provisions of this First Amendment shall control. Notary Public My commission expires: 3 EXHIBIT .`,~ ~t Eagle County Build-out Analysis & Visualization Scope of Services Change Report Submitted by TerraCognito GIS Services on December 16, 2008 Background Eagle County (°the Client") is interested in adding an economic component to the county-wide residential build-out analysis to better understand the interplay between land use policy and local economic impacts like second homes and jobs. Scope Changes This economic component consists of several tasks that are beyond the original Scope of Services including: 1. Existing secondary homes analysis 2. Future secondary homes allocation 3. Existing commercial floor area inventory 4. Commercial build-out analysis of Master Plans 5. Existing jobs analysis/inventory 6. Future jobs allocation 7. Economic impacts analysis Task 1: Secondary Homes Analysis-Existing Conditions This task entails mapping the existing distribution of secondary homes in the Study Area. Deliverables-Task i The products of this phase of work include: 1. A GIS point shapefile depicting existing secondary residential buildings and the following attribute information for each building: a. Number of dwelling units b. Source jurisdiction (by town or county) Fees-Task 1 The work in this phase will cost approximately $2,400 Client responsibilities-Task 1 In order to move forward with the work detailed in this task the Client will provide the following data and information to the Consultant: 1. The latest assessor dataset with linkage to the county parcel shapefile 2. Any documents and information from previous studies related to secondary residences in the Study Area 3. Any GIS datasets related to secondary residences in the Study Area If the requested data and/or expertise are unavailable to the Consultant it may jeopardize the project timeline and budget and cause inaccuracies in the model results, all of which are beyond the Consultant's control. In the event that the Consultant is required to spend extra time on tasks that should otherwise be provided by the Client, extra fees may be charged to the Client at $100/hour. Task 2: Future Secondary Homes Allocation Housing demand assumptions from previous studies will be integrated into the residential build- outanalysis to project the number and location of future secondary homes in the Study Area. Deliverables-Task 2 The products of this phase of work include: A GIS point shapefile depicting geographic location and number of future secondary residential buildings up to build-out, including the following attribute information: a. Build date b. Number of dwelling units c. Building footprint area d. Number of floors e. Building use (single family or multiple family) f. Land use designation (zoning) g. Source jurisdiction (by town or county) 2. A PowerPoint presentation summarizing methods and results for Task 1 and Task 2 Fees-Task 2 The work in this phase will cost approximately $3,200 Client responsibilities-Task 2 In order to move forward with the work detailed in this task the Client will provide the following data and information to the Consultant: Quantitative information for anticipated future secondary home demand for each jurisdiction in the Study Area If the requested data and/or expertise are unavailable to the Consultant it may jeopardize the project timeline and budget and cause inaccuracies in the model results, all of which are beyond the Consultant's control. In the event that the Consultant is required to spend extra time on tasks that should otherwise be provided by the Client, extra fees may be charged to the Client at $100/hour. Task 3: Existing commercial floor area inventory Existing commercial floor space will be mapped for the Study Area and provide the baseline for the commercial floor space build-out analysis (task 4). Deliverables-Task 3 The products of this phase of work include: 1. A GIS polygon shapefile depicting existing conditions with the following attribute information: a. Commercial floor area in square feet b. Source jurisdiction (by town or county) Fees-Task 3 The work in this phase will cost approximately $3,200 Client responsibilities-Task 3 In order to move forward with the work detailed in this scope of services the Client will provide the following data and information to the Consultant: 1. The most current assessor dataset with linkage to the county parcel shapefile including the following assessor data fields a. Heated floor area b. Total floor area If the requested data and/or expertise are unavailable to the Consultant it may jeopardize the project timeline and budget and cause inaccuracies in the model results, all of which are beyond the Consultant's control. In the event that the Consultant is required to spend extra time on tasks that should otherwise be provided by the Client, extra fees may be charged to the Client at $100/hour. Task 4: Commercial build-out analysis In this task the total potential future commercial floor area will be mapped for the Study Area. Deliverables-Task 4 The products of this phase of work include: 1. Polygon shapefile with existing, additional and total commercial floor area for each jurisdiction in the Study Area 2. A PowerPoint presentation summarizing methods and results for Task 3 and Task 4 Fees Task 4 The work in this phase will cost approximately $6,400 Client responsibilities-Task 4 In order to move forward with the work detailed in this scope of services Eagle County will provide the following data and information to the Consultant: 1. GIS polygon shapefiles depicting commercial future land use designations for each jurisdiction in the Study Area 2. Completed build-out worksheets (provided by the Consultant) or each jurisdiction in the Study Area If the requested data and/or expertise are unavailable to the Consultant it may jeopardize the project timeline and budget and cause inaccuracies in the model results, all of which are beyond the Consultant's control. In the event that the Consultant is required to spend extra time on tasks that should otherwise be provided by the Client, extra fees may be charged to the Client at $100/hour. Task 5: Existing lobs Analysis/Inventory In this task existing jobs will be mapped via the integration of assessors data and census data. Deliverables-Task 5 The products of this phase of work include: 1. Point shapefile of future jobs by type 2. PowerPoint presentation and ArcGIS animation files for job allocation animation over time Fees-Task 5 The work in this phase will cost approximately $4,800 Client responsibilities-Task 5 In order to move forward with the work detailed in this scope of services Eagle County will provide the following data and information to the Consultant: 1. Completed job type worksheets (provided by Terra Cognito GIS) or each jurisdiction in the Study Area 2. Most current census shapefiles the block level for jobs and population If the requested data and/or expertise are unavailable to the Consultant it may jeopardize the project timeline and budget and cause inaccuracies in the model results, all of which are beyond the Consultant's control. In the event that the Consultant is required to spend extra time on tasks that should otherwise be provided by the Client, extra fees may be charged to the Client at $100/hour. Task 6: Future lobs Allocation In this task the total potential future jobs will be mapped and animated through time over the Study Area. Deliverables-Task 6 The products of this phase of work include: 3. Point shapefile of future jobs by type 4. PowerPoint presentation and ArcGIS animation files for job allocation animation over time Fees-Task 6 The work in this phase will cost approximately $6,400 Client responsibilities-Task 6 In order to move forward with the work detailed in this scope of services Eagle County will provide the following data and information to the Consultant: 3. Completed job type worksheets (provided by Terra Cognito GIS) or each jurisdiction in the Study Area If the requested data and/or expertise are unavailable to the Consultant it may jeopardize the project timeline and budget and cause inaccuracies in the model results, all of which are beyond the Consultant's control. In the event that the Consultant is required to spend extra time on tasks that should otherwise be provided by the Client, extra fees may be charged to the Client at $100/hour. Task 7: Economic Impact Analysis In this task, indicators such jobs-to-housing ratio, jobs related to secondary homes and average commuting travel times will be reported in the form of graphs, charts and tables. Deliverables-Task 7 The products of this phase of work include: 1. A PowerPoint presentation summarizing methods and results for Task 6 including a. Existing jobs-to-housing ratios b. Jobs related to secondary homes c.
