THIS AGREEMENT TO VACATE PLATTED SEWER EASEMENT AND GRANT ~/
OF SEWER EASEMENT is made this ~O day of _~pye,,,~8,~(Z , 2008, by and
between PARTNERSHIP FOR EDUCATION, whose addresses are c/o Eagle County Attorney, ~`
P.O. Box 850, Eagle, CO 81631 and c/o Eagle County School District RE SOJ, P.O. Box 740,
Eagle, CO 81631 (hereinafter referred to as "Grantor"), its successors and assigns, and EAGLE
RIVER WATER & SANITATION DISTRICT, whose address is 846 Forest Road, Vail, CO
81657, aquasi-municipal corporation of the State of Colorado within the County of Eagle,
(hereinafter referred to as "District").
RECITALS
A. The Final Plat of the Berry Creek/Miller Ranch Planned Unit Development (the
"Berry Creek/Miller Ranch PUD") was duly approved by the Board of County Commissioners
of Eagle County, Colorado and recorded in the office of the Eagle County Clerlc and Recorder on
June 25, 2002 as Reception No. 799649 (the "Berry Creek/Miller Ranch Final Plat").
B. Tract A of the Berry Creek/Miller Ranch PUD, as established by the Berry
Creek/Miller Ranch Final Plat, was conveyed by Eagle County, Colorado and Eagle County
School District RE-SOJ to the Partnership for Education, a separate legal entity formed pursuant
to C.R.S. Section 29-1-203, by Warranty Deed recorded in the office of the Eagle County Clerk
and Recorder on August 23, 2002 as Reception No. 805189.
C. The Partnership for Education leased Tract A of the Berry Creek/Miller Ranch
PUD to Colorado Mountain Junior College District ("CMC") pursuant to Colorado Mountain
College Ground Lease recorded in the office of the Eagle County Clerk and Recorder on
September 26, 2002 as Reception No. 808445 (the "CMC Ground Lease").
D. The Final Plat of Colorado Mountain College at Berry Creek, a resubdivision of
Tract A, of the Berry Creek/Miller Ranch Planned Unit Development, was duly approved by the
Board of County Commissioners of Eagle County, Colorado and recorded in the Office of the
Eagle County Clerk and Recorder on April 3, 2007 as Reception No. 200708590 (the "CMC
Final Plat"). The CMC Final Plat created Lot 1 and Lot 2. The Partnership conveyed Lot 1 to
CMC. The Partnership for Education continues to own Lot 2, subject to CMC's rights as Lessee
under the CMC Ground Lease.
E. The Berry Creek/Miller Ranch Final Plat created an easement over and across a
portion of Tract A of the Berry Creek/Miller Ranch PUD as identified on Sheet 3 of 7 of said
plat as "ERW&SD Sewer Easement (Created by this Plat) (See Sheet 5, Detail D)" [the "Platted
Sewer Easement"]. The Platted Sewer Easement is depicted on Sheet 3 of 4 of the CMC Final
Plat as " 30' ERW&SD Sewer Easement per Reception Number 799649."
F. A sewer line has been constructed for use by the District in the vicinity of, but not
entirely within, the Platted Sewer Easement.
G. The District desires to obtain an easement for the sewer line as actually
constructed, and to vacate the Platted Sewer Easement in connection therewith. The easement to
be granted for the sewer line as actually constructed is generally depicted as "New ERW&SD
Sewer Easement for As-Built Sewer Line (Cross-Hatched)" on Exhibit A attached hereto for
illustrative purposes, as more fully described and established below. The Platted Sewer
Easement to be vacated is generally depicted as " 30' Wide ERW&SD Sewer Easement per
Reception Number 799649" on Exhibit A attached hereto for illustrative purposes. The Platted
Sewer Easement to be vacated is specifically depicted and highlighted on page 3 of 4 of the
CMC Final Plat attached hereto as Exhibit B and incorporated herein by this reference.
NOW, THEREFORE, in consideration of the terms of this Agreement, the parties hereto
agree as follows:
AGREEMENT TO VACATE PLATTED SEWER EASEMENT
The Platted Sewer Easement, as identified in Recital E above, is hereby vacated, and
shall be of no further force or effect for any purposes. The portions of the Platted Sewer
Easement that are not a part of the new easement granted by this Agreement shall not be an
encumbrance on Lot 2 according to the CMC Final Plat as to any future use of said portions of
Lot 2. This Agreement shall not affect any easements of record other than the Platted Sewer
Easement.
GRANT OF SEWER EASEMENT
WITNESSETH, that for and in consideration of the sum of One Dollar ($1.00) and other
good and valuable consideration paid by the District to Grantor, the receipt of which is hereby
acknowledged, the Grantor does hereby grant, convey and transfer unto the District, its
successors and assigns, a perpetual easement and right to construct, install, remove, replace, add
to, maintain, repair, operate, change or alter underground sewer lines and all underground and
surface appurtenances related thereto such as lift stations and manholes (hereinafter "sewer
lines"), together with any and all sewer lines situate therein, all necessary rights-of--way for
convenient ingress and egress thereto and therefrom, and the right to occupy and use, from time
to time, as much of the adjoining land of the Grantor as may be reasonably necessary for any of
the aforesaid purposes, over, under and across the following described premises, situate in the
County of Eagle ,State of Colorado, to-wit:
See EXHIBIT C attached hereto and incorporated herein by reference.
Grantor warrants that the Grantor has the lawful right to grant and convey such easement,
rights-of--way, and sewer lines. Further, Grantor warrants that the sewer lines are free and clear
of all liens and encumbrances.

Grantor will at no time permit, place or construct any permanent structure, building or
improvement of any kind on any part of the above-described premises, other than shrubs, plants,
sidewalks, driveways or parking areas, the placement of any of which shall be subject to the
terms of this Sewer Easement. Any structure, building or improvement located on the above-
described premises as of the date of this Easement, may be removed by the District without
liability for damages arising therefrom.
Following the completion of the purpose of any entry by the District upon such easement
for any of the aforesaid objects, the District shall restore the premises to substantially the same
condition existing at the time of the entry thereon, except for shrubs, plants, sidewalks,
driveways or parking areas thereon located or damaged thereby.
All provisions of the Easement, including all benefits and burdens, shall run with the land
and shall be binding upon and inure to the benefit of the successors and assigns of the parties
hereto, subject to the provisions hereof.
