Ulster Street, Suite 880 Denver, Colorado 80237 280820]3 _'"°:`" •' ~' 11/19/2008 IIB~Iwulul~~u~I~RI~nIIInhInul~N~l~lnl E k i `~ WEST END TEMPORARY ACCESS AGREEMENT THIS,T~ MPO Y ACCE S AGREEMENT (this "Agreement") is made and entered into this ,~ ~ day of 'L~-, t ~r~~ , 2008, by and among EAGLE COUNTY, a governmental entity and political subdivision of the State of Colorado, whose address is 500 Broadway, Eagle, Colorado 81631-0850 (the "County"), and BCP-MIDTOWN INVESTMENTS II, LLC, a Delaware limited liability company, its successors and assigns, whose address is 2601 Blake Street, Suite 300, Denver, Colorado 80205 ("BCP"). The County and BCP shall collectively be referred to as "Parties." Recitals A. BCP is the fee simple owner of the real property legally described on Exhibit A, attached hereto and incorporated herein by this reference (the "BCP Property"); B. BCP desires to develop the BCP Property into amixed-use project known as "The West End" in accordance with plans submitted to and approved by the County; C. The County is the fee simple owner of the real property legally described on Exhibit B attached hereto and incorporated herein by this reference, which property is commonly known as the Eagle River Preserve (the "Eagle River Preserve"); and D. Irl connection with the development of the BCP Property, the County agrees to grant BCP, its successors and assigns, a temporary right of access upon, over and across that portion of the Eagle River Preserve legally described and depicted on Exhibit C attached hereto and incorporated herein by this reference (the "Temporary Construction Area") for the purposes described in this Agreement. Agreement 1. Grant of Temporary Right. The County does hereby grant and convey unto BCP, its successors and assigns, a temporary right of access (the "Temporary Right") upon, over, and across the Temporary Construction Area in order to conduct the following activities: (i) install grading improvements on the Temporary Construction Area, (ii) stock pile fill dirt on the Temporary Construction Area, (iii) drive vehicles on the Temporary Construction Area solely for the purposes of installing grading improvements and stock piling fill dirt on the Temporary Construction Area, and (iv) perform all other activities reasonably and directly related to installing grading improvements and stock piling fill dirt on the Temporary Construction Area. The Temporary Right shall include all necessary rights-of-way for convenient ingress and egress thereto and therefrom as may be reasonably necessary for any of the aforesaid purposes for a period from the date hereof until November 30, 2009. The Temporary Right shall include the right of BCP, its successors or assigns, at its expense, to erect a temporary fence on the Temporary Construction Area during construction of improvements on the BCP Property. 2. Terms and Conditions. The Parties agree that the Temporary Right is made and shall remain subject to the following terms and conditions for so long as such interests may exist: 2.1 Improvements Within Temporary Construction Area. The County agrees, for itself and its successors and assigns, while reserving the right to use the Temporary Construction Area for all purposes not inconsistent with the rights herein granted to BCP, that for the term of the Temporary Right, that no structure shall be erected on the Temporary Construction Area and that the Temporary Construction Area shall not be used by the County in any manner which will interfere with the activities conducted by BCP as described above. 2.2 Restoration. BCP shall restore the Temporary Construction Area and surface of any ground it may disturb in the course of exercising any of its rights under this Agreement to substantially the same condition that existed prior to such use by BCP. 2.3 Ownership of Temporary Construction Area. The County covenants that it is the owner of the Temporary Construction Area and that it is free to enter into this Agreement. 3. Miscellaneous. 3.1 The terms of this Agreement and all rights granted hereunder shall constitute covenants running with the land and shall inure to the benefit of and be binding upon the signatories hereto and their respective legal representatives, heirs, executors, administrators, permitted successors and assigns. 3.2 Other than that certain Maintenance Agreement, First Amendment to Easement, and Easement Agreement being entered into by the parties hereto and/or recorded concurrently herewith, this Agreement constitutes the entire agreement between the Parties relating to the subject matter hereof and supersedes all prior or contemporaneous agreements, negotiations, discussions and understandings, oral or written. This Agreement may be modified by written amendment, only, executed by the Parties. Without limiting the generality of the foregoing, the conduct of any of the Parties shall not be deemed a waiver or modification of this Agreement. 3.3 The laws of the State of Colorado, without regard to conflicts of laws principles, shall govern this Agreement. 2 3.4 If a term, provision, covenant, agreement or condition of this Agreement is held by a court of competent jurisdiction to be void, invalid, or unenforceable, the same shall not affect any other portion of this Agreement and the remainder shall be effective as though such term, provision, covenant, agreement, or condition had not been contained herein. 3.5 Any Party's failure to insist upon strict compliance with any provision hereof or its failure to enforce any rights or remedies in any instance shall not constitute or be deemed a waiver of any such provision, right or remedy in the absence of a signed writing by such Party agreeing to such waiver. 3.6 In the event that Grantee is unable to commence or complete the phase of such development facilitated by this Agreement within the time limits set forth herein, then the parties will meet to discuss in good faith whether to amend this Agreement to extend such time limits so as to accommodate the reason for such inability, provided that such amendment shall be consistent with the terms of the Conservation Easement as it may then exist or as EVLT and Grantor may agree to amend such Conservation Easement. 4. Assignment. BCP may, upon notice to but without the consent of the County, assign some or all of BCP's rights and responsibilities under this Agreement to an owner's association for The West End and/or to subsequent owners of all or part of the BCP Property, who shall assume the same. Once assigned and assumed by any owner's association or subsequent owners, BCP shall be automatically released and forever discharged with respect to the rights and responsibilities so assigned.
