WEST END MAINTENANCE AGREEMENT
~, THIS D~IAINTENANCE AGREEMENT (this "Agreement") is made as of
'' Y ~-~r~f~-~ % ~ , 2008, by and among EAGLE COUNTY, a governmental entity and
political subdivision of the State of Colorado whose address is 500 Broadway, Eagle, Colorado
81631-0850, hereinafter referred to as the "County", and BCP-MIDTOWN INVESTMENTS
II, LLC, a Delaware limited liability company, its successors and assigns, hereinafter referred to
as "BCP," whose address is 2601 Blake Street, Suite 300, Denver, Colorado 80205. The County
and BCP shall collectively be referred to as "Parties."
Recitals
A. BCP is the fee simple owner of the real property legally described on Exhibit A,
attached hereto and incorporated herein by this reference (the "BCP Property").
B. BCP desires to develop the BCP Property into amixed-use project known as "The
West End" in accordance with plans submitted to and approved by the County.
C. The County is the fee simple owner of the real property legally described on
Exhibit B attached hereto and incorporated herein by this reference, which property is
commonly known as the Eagle River Preserve (the "Eagle River Preserve"); and
D. In connection with the development of the BCP Property and in part consideration
of approval thereof, BCP agrees: (i) to be responsible for keeping that portion of the Eagle River
Preserve legally described and depicted on Exhibit C attached hereto and incorporated herein by
this reference (the "Maintenance Area") free and clear of debris and other non-natural
containments; (ii) to donate up to a maximum amount of $25,000.00 to the County to pay for a
portion of the cost of periodic inspections and monitoring of the Eagle River Preserve in order to
minimize the impact on the Eagle River Preserve of construction of the West End project on the
BCP Property.
Agreement
NOW THEREFORE, for good and valuable consideration, the receipt, adequacy and
sufficiency of which is hereby acknowledged, the Parties hereto agree as follows:
1. BCP's Obligations to Maintain Maintenance Area. BCP, or its successors or
assigns, including, but not limited to, any homeowners' or other association formed in
connection with the BCP Property shall, in perpetuity, use its reasonable, good faith efforts to
keep the Maintenance Area free of debris, trash, dog feces and other non-natural containments;
provided, however, that such obligations shall not include keeping the Maintenance Area free of
toxic or other environmentally hazardous materials not caused or placed on the Maintenance
Area by BCP, its successors or assigns.
2. Enforcement of Maintenance Obligations. If BCP, or its successors or assigns,
fails to maintain the aforementioned Maintenance Area to the reasonable satisfaction of the
County, BCP, its successors or assigns, will be subject to liquidated damages of $200 per day for
non-compliance. Before imposition of any liquidated damages, the County must provide written
notice to BCP at the address provided for in the Notice section below and provide fifteen (15)

days to cure; provided, however, that if the failure cannot be remedied within such fifteen (15)
day period, BCP must commence to cure the failure within said fifteen (15) days and thereafter
diligently pursue to cure the failure to completion but in no event more than ninety (90) days
following the notice to cure. Such notice shall state with specificity with exact nature of the
failure to maintain the landscaping improvements. It is the responsibility of BCP, its successors,
or assigns to provide notice of any change of address. Liquidated damages begin to run if cure is
not effected within fifteen (15) days; provided, however, that if the failure cannot be remedied
within such fifteen (15) day period and BCP has commenced to cure the failure within said
fifteen (15) days and thereafter diligently pursues to cure the failure to completion, but not to
exceed ninety (90) days, liquidated damages will not be assessed.
3. Donation for Periodic Monitoring of Eagle River Preserve. During
construction of the improvements on the BCP Property, BCP agrees to reimburse the County for
the cost of periodic inspections and monitoring of the Eagle River Preserve in order to minimize
the impact on the Eagle River Preserve. Upon completion of the improvements on the BCP
Property, BCP agrees to donate to the County up to a maximum amount of $25,000.00, less the
amount previously paid to the County for inspection and monitoring costs during construction,
with the balance to be used for future inspection and monitoring costs.
4. Assignment. BCP may, upon notice to but without the consent of the County,
assign some or all of BCP's rights and responsibilities under this Agreement to an owner's
association for The West End and/or to subsequent owners of all or part of the BCP Property,
who shall assume the same. Once assigned and assumed by any owner's association or
subsequent owners, BCP shall be automatically released and forever discharged with respect to
the rights and responsibilities so assigned. This Agreement may not be assigned by the County
without the prior written consent of BCP.
5. Notices. All communications required or permitted to be given under this
Agreement shall be in writing, shall be deemed received upon: hand delivery; email notification
with confirmation of delivery; one (1) day after being deposited with an over night courier; or three
(3) days after being deposited in a United States Post Office, registered or certified mail, postage
prepaid, return receipt requested, and shall be addressed as follows:

Either party may change its address by giving notice to the other in accordance with this Section 5.
6. Miscellaneous
6.1 The terms of this Agreement and all rights granted hereunder shall
constitute covenants running with the land and shall inure to the benefit of and be binding upon
the signatories hereto and their respective legal representatives, heirs, executors, administrators,
permitted successors and assigns.
6.2 Other than that certain Temporary Access Agreement, First Amendment to
Easement, and Easement Agreement being entered into by the parties hereto and/or recorded
concurrently herewith, this Agreement constitutes the entire agreement between the parties
relating to the subject matter hereof and supersedes all prior or contemporaneous agreements,
negotiations, discussions and understandings, oral or written, unless otherwise provided herein.
This Agreement may be modified by written amendment, only, executed by all parties hereto.
Without limiting the generality of the foregoing, the conduct of any of the Parties shall not be
deemed a waiver or modification of this Agreement.
6.3 The laws of the State of Colorado, without regard to conflicts of laws
principles, shall govern this Agreement.
6.4 If a term, provision, covenant, agreement or condition of this Agreement is
held by a court of competent jurisdiction to be void, invalid, or unenforceable, the same shall not
affect any other portion of this Agreement and the remainder shall be effective as though such
term, provision, covenant, agreement, or condition had not been contained herein.
6.5 Any Party's failure to insist upon strict compliance with any provision
hereof or its failure to enforce any rights or remedies in any instance shall not constitute or be
deemed a waiver of any such provision, right or remedy in the absence of a signed writing by
such Party agreeing to such waiver.
6.6 If any civil action, arbitration or other legal proceeding is brought for the
enforcement of this Agreement, or because of an alleged dispute, breach, default or
misrepresentation in connection with any provision of this Agreement, the successful or
prevailing party or parties shall be entitled to recover reasonable attorneys' fees, court costs,
sales and use taxes and all expenses even if not taxable as court costs (including, without
limitation, all such fees, taxes, costs and expenses incident to arbitration, appellate, bankruptcy
and post judgment proceedings), incurred in that proceeding, in addition to any other relief to
which such party or parties may be entitled. Attorneys' fees shall include, without limitation,
paralegal fees, investigative fees, administrative costs, sales and use taxes and all other charges
billed by the attorney to the prevailing party (including any fees and costs associated with
collecting such amounts).
