ENERGY PERFORMANCE CONTRACT
ENNOVATE CORPORATION'
This Energy Performance Contract (the "Contract ") is made and entered into as of this 15th day of
September, 2008, by and between County of Eagle, State of Colorado, a body corporate and politic, by
and through its Board of County Commissioners, ( "Eagle County ") and Ennovate Corporation
( "Ennovate "), having its principal offices at 10650 East Bethany Drive, Suite A, Aurora, CO 80014, a
Colorado corporation doing business in Colorado (the "State ").
WITNESSETH:
WHEREAS, Eagle County is a political subdivision of the State of Colorado, and is authorized and
empowered under the laws of the State, particularly Colorado Revised Statute §29 -12.5 -102, to enter
into this Contract for the purpose of the sale and installation of certain energy and water saving
equipment, and provision of other services designed to save energy and reduce related costs as per the
guarantee described herein for certain property and buildings owned by the Eagle County; and
WHEREAS, authority exists in the Colorado law and sufficient funds have been budgeted,
appropriated and otherwise made available and a sufficient unencumbered balance thereof remains
available for encumbering and subsequent payment of this Contract; and
WHEREAS, Eagle County has been authorized to enter into an agreement for all professional
services, construction/improvements, project contingencies, reimbursable expenses and miscellaneous
expenses for the purchase and installation of energy and water conservation measures, collectively
referred to as the Work(as herein after defined); and
WHEREAS, required approval, clearance, and coordination has been accomplished from and with
appropriate agencies; and
WHEREAS, Ennovate has developed or become knowledgeable about certain procedures for
controlling energy and water consumption through services provided and equipment installed and
maintained at facilities similar in scope and scale of Eagle County; and
WHEREAS, Ennovate was selected after a determination that its proposal was the most advantageous
to Eagle County pursuant to a Request for Proposal and contract for the Technical Energy Audit
Contract(as hereinafter defined); and
WHEREAS, Ennovate has made an assessment of the utility consumption characteristics of facilities,
which was delivered to Eagle County as a Technical Energy Audit which Eagle County has approved;
and
WHEREAS, Eagle County owns and operates the Premises (as hereinafter defined); and
WHEREAS, Eagle County desires to retain Ennovate to sell to it, install and service certain energy
efficiency equipment of the type or class described herein and to provide other services for the purpose
of achieving utility cost reductions within Premises; and

"WHEREAS, Ennovate has selected the Equipment (as hereinafter defined) on the basis of competitive
quality, compliance with Ennovate's specifications, and price;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and
intending to be legally bound hereby, Eagle County and Ennovate hereto covenant and agree that the
following Schedules, Exhibits and Appendices are attached hereto (or will be, as provided in this
Contract) and are made a part of this Contract by reference.
ARTICLE 1: DEFINITIONS, SCHEDULES, EXHIBITS AND APPENDICES
Section 1.1. Definitions.
Certificate of Acceptance: The certificate substantially in the form provided in Exhibit III (ii).
Contract: This Energy Performance Contract and all Schedules and Exhibits attached hereto.
Contract Sum: The sum of all materials, labor, auditing, design, engineering, project construction
management fees, overhead, profit, contingency, outside services, and bidding and construction
contingencies related to the project.
Energy and Water Cost Savings: The savings as provided in Schedule C.
Energy and Cost Savings Guarantee: The guarantee that is achieved as a result of the installation and
operation of the Equipment and provision of services provided for in this Contract as specified in
Schedule C and in accordance with the Savings Calculation Formula as set forth in Schedule F.
Equipment: The goods enumerated on Schedule A that is now or hereafter from time to time become
attached hereto and incorporated herein by reference, together and with any and all additions,
modifications, attachments, replacements and parts thereof.
Event of Default: Those events described in Section 17.1 and Section 17.2 hereof.
Interim Period: The period from contract execution until the Performance Commencement Date.
Monitoring Fee: An annual fee according to Schedule D for monitoring the Energy and Cost Savings
Performance Commencement Date: The date described in Section 4.2.
Premises: The facilities of Eagle County that are in need of energy and water saving equipment and
services designed to reduce consumption and associated costs at said Premises
Professional Services: Architecture, engineering, project/construction management related to the
Contract.
Work: Collectively, the Equipment, Professional Services and project construction related to the
project. Work, as defined herein, does not include the monitoring and maintenance services that will
be provided by Ennovate in accordance with schedule D.
Utility: A provider of Electricity, Natural Gas, Water, or other such commodity to Eagle County.

Utility Award Payments: Rebates or other incentives available from the Electric, Natural Gas, Water
or other Utility providing service to Eagle County.

ARTICLE 2: PAYMENTS
Section 2.1: Purchase and Sale
Eagle County agrees to provide a capital contribution or obtain funding for the purchase of the
Equipment. Through the capital contribution or funding, Eagle County will purchase the Equipment
from Ennovate. Ennovate agrees to provide the Equipment, together with installation, maintenance
and other services as provided herein, as in Schedule A. .
The agreed to Contract Sum for the Work is a Guaranteed Maximum Price of Nine Hundred and Eight
Thousand Four Hundred and Three dollars ($908,403). Payment terms are described in Schedule O
and in Section 2.2 of this Agreement.

Ennovate will provide the Work and all related services identified on Schedule A and the services
detailed on Schedule D. Ennovate shall supervise and direct the Work and shall be solely responsible
for all construction means, methods, techniques, sequences, and procedures and for coordinating all
portions of the Work under this Contract. Ennovate shall be responsible to pay for all labor, materials,
equipment, tools, construction equipment and machinery, transportation and other facilities and
services necessary for the proper execution and completion of the Work.
Section 2.2. Ennovate Compensation — Interim Period.
Eagle County shall pay Ennovate the Contract Sum in accordance with Schedule O. Payments will be
made on a progress basis in accordance with CRS 24 -91 -103, for Work completed and authorized by
Eagle County during the Interim Period.
Ennovate shall invoice Eagle County for completed work on a monthly basis. Ennovate shall submit a
line -item invoice showing each Schedule of Values scope item, percent completion, and monthly
amount billed. Within 30 days of receipt of an accurate and proper invoice, Eagle County shall make
monthly progress payments on account of the Contract Sum on the basis of Ennovate's applications for
payment as follows:
• Prior to final completion of Services and Equipment to be provided during the Interim Period,
progress payments will be in an amount equal to:
• 90% of the work completed until fifty percent (50 %) of the work is performed and fifty percent
(50 %) of the equipment has been installed, after which no additional retainage shall be
withheld, and
• Upon final completion and acceptance in accordance with Section 4.2 Eagle County shall pay
the remainder of the Contract Sum. The final payment shall not be made until after final
settlement of this contract has been duly advertised at least ten days prior to such final payment
by publication of notice thereof at least twice in a public newspaper of general circulation
published in Eagle County, and Board of County Commissioners has held a public hearing,
thereupon and complied with the Revised Statutes 1973, Section 38 -26 -107 as amended. Final
payment shall be made in accordance with the requirements of aforesaid statute.
The Schedule of Values and Anticipated Progress Payment Schedule are described in Schedule O.
Section 2.3. Energy and Cost Savings Guarantee.
Subsequent to the Performance Commencement Date and throughout the term of this Contract,
Ennovate hereby guarantees the level of Energy and Cost Savings as detailed in Schedule C.
Ennovate shall provide the guarantee and monitoring as defined in Schedule D, for every year of the
contract term as legislated by C.R.S.29- 12.5- 101(3)(c), or until such time that Eagle County issues a
notice to terminate the guarantee and monitoring service. Eagle County may terminate the Energy and
Cost Savings Guarantee and related Monitoring Fee, as set forth in Section 2.9 and defined in
Schedule D, at any time, in which case, this Contract shall terminate and Ennovate shall no further
obligations hereunder. Pursuant to C.R.S. 29- 12.5- 101(3)(c), Ennovate must continue to guarantee the
utility cost savings and operation and maintenance costs for each year for three years, unless this
Agreement is terminated earlier.
This Energy and Cost Savings Guarantee is achieved as a result of the installation and operation of the
Equipment and provision of services provided for in this Contract as specified in Schedule A and in
accordance with the Savings Calculation Formula as set forth in Schedule F. The Annual Energy and

Cost Savings Guarantee per Schedule C shall not be reduced even in the event of a Material Change
per Section 14.1, except as the parties may mutually agree to such a reduction and act in good faith in
determining such an agreement. In the event this Contract is terminated due to an uncured Event of
Default, as defined in Section 17.1, by Eagle County, the Energy and Cost Savings Guarantee shall be
cancelled and Ennovate shall have no further obligations hereunder, except to guarantee Eagle County
the prorated portion of the annual Energy and Cost Savings Guarantee. The prorated portion shall
include all Guaranteed Savings incurred prior to the termination date except that such portion should
only go up until the Event of Default if the Event is related to the non - payment or other violations
impacting the Energy and Cost Savings including but not limited to providing utility bills and access to
the Equipment.
Section 2.4. Allowable Payment Sources.
Not Applicable.
Section 2.5. Capital Contribution from Eagle County.
Eagle County may elect to make an initial capital contribution or provide funding to pay for the initial
cost as described in Schedule O.
Section 2.6. Independent Monitoring
Eagle County will hire, with consultation of Ennovate and paid for with guaranteed savings, an
independent third party monitor to review the Ennovate's monitoring and verification reports and
advise Eagle County of compliance in monitoring and verifying savings. The independent monitor's
responsibilities could also include verifying the prorated share of Guaranteed Savings in the Event of
Contract Termination. Compliance checks will relate to the established baseline Schedule E, baseline
adjustments monitoring and verification plan and savings calculations of Schedule F. The
independent third party fee shall not exceed 2% of the auditable Guaranteed Savings.
Section 2.7. Annual Review and Reimbursement/Reconciliation.
Energy- related cost savings shall be measured and /or calculated as specified in Schedule E and
Schedule F and a report provided within ninety (90) days of receipt of all Needed Data (as defined in
Schedule D hereof for the previous year for each anniversary of the Performance Commencement
Date. Ennovate has developed the measurement and verification procedures specified in Schedule F
which is based on the International Performance Measurement and Verification Protocol 2002.
In the event the Energy and Cost Savings achieved during such Contract Year is less than the
Guaranteed Energy and Cost Savings (as defined in Schedule C hereof), set forth for such year during
the years the guarantee is in effect, Ennovate shall pay the Eagle County an amount equal to the
deficiency.
If during the Contract Year the Energy and Cost Savings achieved are greater than the Guaranteed
Energy and Cost Savings, such excess Energy and Cost Savings shall be retained by the Eagle County.

'Section 2.8. Monitoring Information Procedure.
Energy and Cost Savings shall be calculated annually in the following manner:
(i) Each month, by the 10th day after receipt, Eagle County shall provide Ennovate with
copies of all relevant energy bills received for the preceding month;
(ii) Reporting to Eagle County is outlined in Schedule D.
Section 2.9. Monitoring Fee.
Throughout the Term of this Contract, or until the Ennovate Monitoring Agreement is cancelled by
Eagle County, Eagle County shall pay Ennovate an annual fee according to Schedule D for monitoring
the Energy and Cost Savings. Annual guaranteed energy and cost savings achieved shall be sufficient
to cover any and all fees to be paid to Ennovate pursuant to the provisions of Schedule D.
Notwithstanding the below provisions in Section(s) 4.1, 4.2 and 4.3 hereof„ Eagle County shall not be
required to begin any Monitoring Fee payments to Ennovate under this Contract unless and until all
equipment installation is completed by Ennovate in accordance with the provisions of Article 6 and
Article 9, Schedule H and Schedule L, and accepted by Eagle County as evidenced by the signed
Notice of Substantial Completion as set forth in Exhibit III (ii), and unless and until said equipment is
fully and properly functioning in accordance with Schedule A and related details and specifications.
Section 2.10. Late Payment.
Payment during construction will be in accordance with Schedule O.
ARTICLE 3: UTILITY AWARD PAYMENTS
Section 3.1. Utility Award Payments
Ennovate shall assist Eagle County in securing available Utility Award Payments that might be
available as a result of the completion of the Work provided under this Contract.
ARTICLE 4: TIME FOR COMPLETION; COMMENCEMENT DATE; TERM OF
CONTRACT
Section 4.1. Construction Commencement Date and Time for Completion of Work.
Work must commence within thirty (30) days of execution of this Contract and shall be completed as
set forth in Schedule G. The Time for Completion of Work is of the essence of this Contract. By
executing this Contract, the parties hereto confirm the Time of Completion of Work is a reasonable
period for performing the Work. Except for obligation to make payments of money, Ennovate shall
not be responsible for any failure to fulfill, or any delay in fulfilling, its obligations hereunder, if such
failure or delay is beyond the reasonable ability of such party to control, avoid or mitigate and is due to
storm, flood, or other Act of God, or to fire, war, rebellion, scarcity of water, insurrection, riots, strikes
(other than strikes directed at subcontractor) or is the result of some order, rule or regulation of any
federal, state, municipal, or other governmental agency that could not have been reasonably anticipated
or that was not scheduled to take effect. Time for Completion of the Work and the costs related thereto
shall be extended and modified only by Change Order signed by the Eagle County Board of County
Commissioners, or if additional funds necessary for the execution of such Change Order have already
been budgeted and appropriated, by its designee, for such reasonable time and amount as the parties
hereto may determine. Change Orders in excess of contingency funds and/or completion date shall not
be allowed unless mutually re- negotiated by both parties.

Section 4.2. Performance Commencement Date.
The Performance Commencement Date shall be the first day of the month after the month in which all
schedules are in final form and accepted by Eagle County and when Ennovate shall have delivered a
Notice to Eagle County that it has installed and commenced operating all of the Equipment specified in
Schedule A and in accordance with the provisions of Article 6 and Schedule H, Eagle County has
inspected and accepted said installation and operation as evidenced by the Notice of Substantial
Completion as set forth in Exhibit III (ii) . Notwithstanding anything to the contrary in Article 2 and
Article 4 the Performance Commencement Date shall not occur and the Eagle County shall not be
required to accept the work under this Contract unless and until: all Equipment installation for the
subject Premises is completed by Ennovate in accordance with the terms and conditions of this
Contract. Eagle County shall have fifteen (15) days after notification by the Ennovate to inspect and
accept the Equipment. Eagle County reserves the right to reject the Equipment if installation fails to
meet reasonable standards of workmanship, does not comply with applicable building codes, or is
otherwise not in compliance with this Contract. Ennovate shall not be paid in full, including retainage,
until the Notice of Acceptance and Notice of Ennovate's Settlement have been issued after the punch
list is worked down to less than ten items. The retainage will be released after punch list is completed
and Ennovate has satisfied any and all claims for labor and materials. The anticipated Performance
Commencement Date within two hundred seventy (270) days of execution of this Contract.
Section 4.3. Performance Term of Contract.
Unless otherwise terminated pursuant to the terms of this Contract, the Performance Term of this
Contract shall begin with the Performance Commencement Date and continue year to year, unless
otherwise terminated by Eagle County in accordance with this Agreement. This Contract shall be
effective and binding upon the parties immediately upon its execution. All energy savings achieved
during the Interim Period shall not be applicable to the Guaranteed Savings after the Performance
Commencement Date.
ARTICLE 5: ENERGY USAGE RECORDS AND DATA
Section 5.1 Energy Usage Records and Data
Eagle County has furnished and shall continue to furnish (or authorize its energy suppliers to furnish)
during the Term of this Contract to Ennovate or its designee, upon its request, all of its records and
complete data concerning energy and water usage and related maintenance for the Premises.
ARTICLE 6: CONSTRUCTION AND INSTALLATION BY ENNOVATE
Section 6.1. Permits and Approvals.
Eagle County shall use its best efforts to assist Ennovate in obtaining all necessary permits and
approvals for installation of the Equipment. In no event shall Eagle County, however, be responsible
for direct payment of any permit or license fee or the delay of any such permit or license fee.
As directed by Eagle County, design documentation will be submitted to Eagle County for review. As
deemed necessary by Eagle County, design documentation will be forwarded by Eagle County to the
appropriate code review Authority for review. Eagle County agrees that the Eagle County's review
process at each phase will not be longer than 14 calendar days, not including code review. All costs of
code review will be borne by Eagle County.
Section 6.2. Ennovate's Duty of Proper Installation.

All services called for by this Contract which constitute the "practice of architecture" or the "practice
of engineering ", as those terms are defined in Title 12, Colorado Revised Statutes, as amended
(C.R.S.), shall be performed by properly qualified and licensed professionals employed by Ennovate
and shall be performed in accordance with applicable law. Ennovate shall perform all tasks /phases
under this Contract, including construction, and shall install the Equipment in such a manner so as not
to harm the structural integrity of the buildings or their operating systems and so as to conform to the
standards set forth in Schedule I and Schedule G.
Section 6.3. Use of Stated Markups.
In establishing the Contract Sum Ennovate has used the markups for overhead and profit as disclosed
in the Ennovate Contract for Technical Energy Audit. It has also provided a contingency equal to a
percentage of the labor, material and direct cost budget. The Contract Sum shall be adjusted based on
the actual costs of labor and materials to Ennovate multiplied by the markups agreed to by Ennovate,
but in no event shall the Contract Sum be increased. In the event it is possible to reduce the Contract
Sum because the actual labor and material costs are less than budgeted, Eagle County can, at its sole
option, increase the Work to include additional equipment such that the original Contract Sum is
reached. If Eagle County declines to increase the Work, at its sole option, the Contract Sum shall be
reduced to an amount consistent with the pricing using the stated markups.
Section 6.4. Open Book Pricing.
Open book pricing will be required, such that Ennovate will fully disclose all costs. Ennovate will
maintain cost accounting records on authorized work performed under actual costs for labor and material,
or other basis requiring accounting records. Ennovate will afford Eagle County access to these records
and preserve them for a period of three (3) years after final payment. Costs will be evaluated through
price analysis to compare costs with reasonable criteria such as established catalog and market prices or
historical prices. The pricing methodology and individual cost markups disclosed during preliminary
contract negotiations will be expected to be applied, providing the scope and size of the project remain the
same as assumed when markups were disclosed.
Section 6.5. Administration.

ARTICLE 7: ENVIRONMENTAL REQUIREMENTS
ENNOVATE CORPORATION;
Section 7.1. Excluded Material and Activities.
Eagle County recognizes that in connection with the installation and/or service or maintenance of
Equipment at Eagle County's Premises, Ennovate may encounter, but is not responsible for, any work
relating to (i) asbestos, materials containing asbestos, or the existence, use, detection, removal,
containment or treatment thereof, or (ii) pollutants, hazardous wastes, hazardous materials,
contaminants other than those described in this Section below (collectively "Hazardous Materials "), or
the storage, handling, use, transportation, treatment, or the disposal, discharge, leakage, detection,
removal, or containment thereof. The materials and activities listed in the foregoing sentence are
referred to as "Excluded Materials and Activities ". Eagle County agrees that if performance of work
involves any Excluded Materials and Activities, Eagle County will perform or arrange for the
performance of such work and shall bear the sole risk and responsibility therefore. In the event
Ennovate discovers Hazardous or Excluded Materials, Ennovate shall immediately cease work, remove
all Ennovate personnel or subcontractors from the site, and notify Eagle County. Eagle County shall
be responsible to handle such Materials at its expense. Ennovate shall undertake no further work on
the Premises except as authorized by the Eagle County in writing. Notwithstanding anything in this
Contract to the contrary, any such event of discovery or remediation by Eagle County shall not
constitute a default by Eagle County. In the event of such stoppage of work by Ennovate, the Time for
Completion of Work will be automatically extended by the amount of time of the work stoppage and
any additional costs incurred by Ennovate as a result will be added by Change Order.
Ennovate shall be responsible for any hazardous or other materials, including, without limitation, those
listed in this Section 7.1 that it may bring to the Premises.
Section 7.2. Polychlorinated Biphenyl (PCB) Ballasts; Mercury Lamps.
Ennovate will enter into an agreement with an approved PCB ballast disposal Ennovate who will
provide an informational packet, packing receptacles and instructions, labels and shipping materials,
transportation, and recycling or incineration services for PCB ballasts. All capacitors and asphalt
potting compound materials removed from Eagle County's PCB ballasts will be incinerated in a
federally approved facility. After proper disposal, a Certificate of Destruction will be provided by the
approved facility to Eagle County. Ennovate's responsibility shall be for the proper and legal
management of any of Eagle County's PCB ballasts removed as a result of the installation of the
Equipment and shall be limited only until said PCB ballasts are loaded onto an approved PCB ballast
disposal Ennovate's vehicle for transportation.
Ennovate will enter into an agreement with an approved lamp disposal Ennovate who will provide
approved containers, materials required to label, transportation, recycling or incineration in accordance
with EPA requirements, and a copy of the manifest.
Eagle County agrees to sign manifests of ownership for all PCB ballasts and mercury lamps removed
from the Premises.

-ARTICLE 8: ACCEPTANCE TESTING

Section8.1. Modification of Schedules.
To ensure this Contract properly accounts for as- installed conditions, which conditions may vary from
the pre - installation analyses, the Ennovate shall re- validate or modify Schedule A and Schedule H
prior to System Start-Up, as described in Section 8.2.
Section 8.2. Systems Startup and Equipment Commissioning.
Ennovate shall conduct a thorough and systematic performance test of each element and total system
of the installed Equipment in accordance with the procedures specified in Schedule H and prior to
acceptance of the project by Eagle County as specified in Exhibit III (ii). Testing shall be designed to
determine if the Equipment is functioning in accordance with both its published specifications and the
Schedules to this Contract, and to determine if modified building systems, subsystems or components
are functioning properly within the new integrated environment. Ennovate shall provide notice to
Eagle County of the scheduled test(s) and Eagle County and/or its designees shall have the right to be
present at any or all such tests conducted by Ennovate and/or manufacturers of the Equipment.
Ennovate shall be responsible for correcting and/or adjusting all deficiencies in the Equipment
operation that may be observed during system commissioning procedures of Schedule H. Ennovate
shall be responsible for correcting and /or adjusting all deficiencies in Equipment operation that may be
observed during system testing procedures. Prior to Eagle County acceptance Ennovate shall also
provide Eagle County with reasonably satisfactory documentary evidence that the Equipment installed
is the Equipment specified in Schedule A.
ARTICLE 9: MAINTENANCE/MONITORING
Section 9.1. Ownership of Certain Proprietary Property Rights.
Eagle County shall not, by virtue of this Contract, acquire any ownership interest in any formulas,
patterns, devices, secret inventions or processes, copyrights, patents, other intellectual or proprietary
rights, or similar items of property which are or may be used in connection with the Equipment. Eagle
County shall, however, have a nonexclusive license to utilize all such intellectual or proprietary rights
obtained by Ennovate related to Equipment in connection with its use of the Equipment under this
Contract. Ennovate hereby grants to Eagle County a perpetual, irrevocable, royalty -free license to any
and all software or other intellectual property or proprietary rights it obtains from Equipment
manufacturers necessary for Eagle County to continue to operate, maintain, and repair the Equipment
in a manner that will yield maximal energy consumption reductions. This license shall continue
subsequent to any termination or expiration of this Contract other than Eagle County's failure to pay
Ennovate in accordance with the terms of this Agreement.
Section 9.2. Ownership of Documents.
(a) Instruments of Service Drawings, specifications and other documents, including those in
electronic form, prepared by the Architect/Engineer and the Architect/Engineer's consultants are
Instruments of Service for use solely with respect to this Project. The Architect/Engineer and the
Architect/Engineer's consultants shall be deemed the authors and owners of their respective instruments
of service and shall retain all common law, statutory and other reserved rights, including copyrights.
Upon execution of this Contract, the Architect/Engineer hereby grants to Eagle County a perpetual
nonexclusive license to reproduce and use, and permit others to reproduce and use for Eagle County, the
Architect/Engineer's Instruments of Service solely for purposes of constructing, using and maintaining the

Project or for future alterations, or additions to the Project. The Architect/Engineer shall obtain similary
nonexclusive licenses from the Architect/Engineer's consultants consistent with this Contract. If, and
upon the date the Architect/Engineer is adjudged in default of this Contract, the foregoing license shall be
deemed terminated and replaced by a second, nonexclusive license permitting Eagle County to authorize
other similarly credentialed design professionals to reproduce and, where permitted by law, to make
changes, corrections or additions to the Instruments of Service solely for purposes of completing, using
and maintaining the Project, or for future alterations, or additions to the Project.
Any unilateral use by Eagle County of the Instruments of Service for completing, using, maintaining,
adding to or altering the Project or facilities shall be at Eagle County's sole risk and without liability to the
Architect/Engineer and the Architect/Engineer's consultants; provided, however, that if Eagle County's
unilateral use occurs for completing, using or maintaining the Project as a result of the
Architect/Engineer's breach of this Contract, nothing in this Article shall be deemed to relieve the
Architect/Engineer of liability for its own acts or omissions or breach of this Contract.
(b) As -Built Drawings/Record Drawings The Architect/Engineer and its consultants shall,
upon completion of the Construction Phase receive redline As -Built Drawings from Ennovate. These
redline changes shall describe the built condition of the Project. This information and all of the
incorporated changes directed by Bidding Addenda, Change Order /Amendment or Architect/Engineer's
Supplementary Instructions shall be incorporated by the Architect/Engineer and its consultants into a
Record Drawings document provided to the Principal Representative in the form of an electro -media
format and a reproducible format as agreed between the parties. The Architect/Engineer shall also provide
the Principal Representative with the As -built Drawings received from Ennovate.
Section 9.3. Ownership of Existing Equipment.
Ownership of the equipment and materials existing at the Premises at the time of execution of this
Contract shall remain the property of Eagle County even if it is replaced or its operation made
unnecessary by work performed by Ennovate pursuant to this Contract. If applicable, Ennovate shall
advise Eagle County in writing of all equipment and materials to be replaced at the Premises and Eagle
County shall within fifteen (15) days designate in writing to Ennovate which equipment and materials
should not be disposed of off -site by Ennovate. It is understood and agreed to by both Parties that
Eagle County shall be responsible for and designate the location and storage for any equipment and
materials that should not be disposed of off -site. Except as may be otherwise provided in this
Contract, Ennovate shall be responsible for the disposal of all equipment and materials designated by
Eagle County as disposable off -site in accordance with all applicable laws and regulations regarding
such disposal. Except as indicated in Section 7.1 and Section 7.2„ under no circumstance shall
Ennovate be obligated to dispose of or take responsibility for any materials identified in Section 7.1 or
Section 7.2 of this Contract.
Section 9.4. Ownership of Measurement and Verification Equipment.
Eagle County agrees to own the equipment required to provide the ongoing measurement of energy
and water savings (the "Metering Equipment "). If required, Eagle County shall provide and maintain a
non - dedicated telephone line to facilitate remote monitoring of the Equipment.

.ARTICLE 10: STANDARDS OF COMFORT

Section 10.1 Standards of Comfort.
Ennovate will design and install the Equipment so that it is able to provide the standards of heating,
cooling, ventilation, hot water supply, lighting quality and levels described in Schedule I. During the
term of this Contract, Ennovate and Eagle County will maintain, according to Schedule D, Schedule J
and Schedule K, and operate the Equipment in a manner that will provide the standards of comfort and
levels of operation as described in Schedule 1.
ARTICLE 11: EQUIPMENT WARRANTIES
Section 11.1 Equipment Warranties.
Ennovate warrants that all equipment provided and installed as part of this Contract is new, unless
otherwise agreed, will be materially free from defects in materials or workmanship, will be installed
properly in a good and workmanlike manner, and will function properly for a period of one (1) year
from the date of the Substantial Completion for the particular energy conservation measure if operated
and maintained in accordance with the procedures established per building. Substantial Completion
shall be defined as the stage in the progress of the Work where the Work is sufficiently complete in
accordance with the Contract Documents so that Eagle County can utilize and take beneficial use of
the Work for its intended use or purpose. Substantial Completion does not occur until the Equipment
or system has been commissioned, accepted, and the "Substantial Completion" form fully executed.
After the warranty period, Ennovate shall have no responsibility for performing maintenance, repairs,
or making manufacturer warranty claims relating to the Equipment, except as provided in Schedule D
and Schedule J. Ennovate further agrees to assign to Eagle County all available manufacturer's
warranties relating to the Equipment and to deliver such written warranties and which shall be attached
and set forth as Exhibit IV; pursue rights and remedies against the manufacturers under the warranties
in the event of Equipment malfunction or improper or defective function, and defects in parts,
workmanship and performance. Ennovate shall, during the warranty period, notify Eagle County
whenever defects in Equipment parts or performance occur which give rise to such rights and remedies
and those rights and remedies are exercised by Ennovate. During this period, the cost of any risk of
damage or damage to the Equipment and its performance, including damage to property and equipment
of Eagle County or the Premises, due to Ennovate's failure to exercise its warranty rights shall be
borne solely by Ennovate.
All warranties, to the extent transferable, shall be transferable and extend to the Eagle County. The
warranties shall specify that only new, not reconditioned, parts may be used and installed when repair
is necessitated by malfunction.
Notwithstanding the above, nothing in this Section shall be construed to alleviate /relieve the Ennovate
from complying with its obligations to perform under all terms and conditions of this Contract and as
set forth in all attached Schedules.
Section 11.2 Actions by Ennovate.

Section 11.3. Malfunctions and Emergencies.
Eagle County shall use its best efforts to notify Ennovate or its designated subcontractor within
twenty -four (24) hours after Eagle County's actual knowledge and occurrence o£ (i) any malfunction
in the operation of the Equipment or any preexisting energy related equipment that might materially
impact upon the Energy Savings or Energy Savings Guarantee, (ii) any interruption or alteration to the
energy supply to the Premises, or (iii) any alteration or modification in any energy- related equipment
or its operation.
Where Eagle County exercises due diligence in attempting to assess the existence of a malfunction,
interruption, or alteration it shall be deemed not at fault in failing to correctly identify any such
conditions as having a material impact upon the savings. Eagle County shall notify Ennovate within
twenty -four (24) hours upon its having actual knowledge of any emergency condition affecting the
Equipment. If such malfunction, interruption, or alteration occurs during the Warranty Period,
Ennovate shall respond to any such notice within twenty -four (24) hours for non - critical equipment,
and eight (8) hours for critical equipment, and shall promptly thereafter proceed with corrective
measures. Any telephonic notice of such conditions by Eagle County shall be followed within three
business days by written notice to Ennovate from Eagle County. If Eagle County unreasonably delays
in so notifying Ennovate of a malfunction or emergency, and the malfunction or emergency is not
otherwise corrected or remedied, Ennovate may charge Eagle County for its loss, due to the delay,
associated with the guaranteed savings under this Contract for the particular time period, provided that
Ennovate is able to show the direct causal connection between the delay and the loss.
Ennovate will provide a written record of all service work performed. This record will indicate the
reason for the service, description of the problem and the corrective action performed.
Section 11.4 Actions by Eagle County.
During the term of this Contract, Eagle County shall not move, remove, modify, alter, or change in any
way the Equipment or any part thereof without the written notification to Ennovate except as set forth
in Schedule K. Notwithstanding the foregoing, Eagle County may take reasonable steps to protect the
Equipment if, due to an emergency, it is not possible or reasonable to notify Ennovate before taking
any such actions. In the event of such an emergency, Eagle County shall take reasonable steps to
protect the Equipment from damage or injury. Eagle County agrees to maintain the Premises in good
repair and to protect and preserve all portions thereof, which may in any way affect the operation or
maintenance of the Equipment, all in accordance with the same standard of care Eagle County applies
to the Premises generally, that of a reasonably prudent government owner.
ARTICLE 12: MODIFICATION, UPGRADE OR ALTERATION OF EQUIPMENT
Section 12.1. Modification of Equipment.
During the Term of this Contract, Eagle County will not, without the prior written consent of
Ennovate, affix or install any accessory Equipment or device on any of the Equipment if such addition
will change or impair the originally intended functions, value or use of the Equipment without
Ennovate's prior written approval, which shall not be unreasonably withheld.
Section 12.2. Upgrade or Alteration of Equipment.
Ennovate shall at all times have the right, subject to Eagle County's prior written approval, which
approval shall not be unreasonably withheld, to change the Equipment, revise any procedures for the

`operation of the Equipment or implement other energy saving actions in the Premises, provided that:
(i) Ennovate complies with the standards of comfort and services set forth in Schedule I herein; (ii)
such modifications or additions to, or replacement of the Equipment, and any operational changes, or
new procedures are necessary to enable Ennovate to achieve greater energy and cost savings at the
Premises and; (iii) any cost incurred relative to such modifications, additions or replacement of the
Equipment, or operational changes or new procedures shall be the responsibility of Ennovate.
All modifications, additions or replacements of the Equipment or revisions to operating or other
procedures shall be described in a supplemental Schedule(s) to be provided to Eagle County for
approval, which shall not be unreasonably withheld, provided that any replacement of the Equipment
shall, unless otherwise agreed, be new and have equal or better potential to reduce energy consumption
at the Premises than the Equipment being replaced. Ennovate shall update any and all software
necessary for the operation of the Equipment in accordance with the provisions of Section 9.1. All
replacements of and alterations or additions to the Equipment shall become part the Equipment
described in Schedule A and shall be covered by the provisions and terms of Article 6 and Article 8.
ARTICLE 13: LOCATION AND ACCESS
Section 13.1. Ennovate Access.
Ennovate acknowledges that there exists sufficient space on the Premises for the installation and
operation of the Equipment. Eagle County shall take reasonable steps to protect such Equipment from
harm, theft and misuse during the term of this Contract. Eagle County shall provide access to the
Premises for Ennovate to perform any function related to this Contract during regular business hours,
or such other reasonable hours as may be requested by Ennovate and acceptable to Eagle County.
Ennovate shall be granted immediate access during normal business hours and reasonable access
during non - business hours to make emergency repairs or corrections as it may, in its discretion,
determine are needed. Ennovate's access to the Premises to make emergency repairs or corrections as
it may determine are needed shall not be unreasonably restricted by Eagle County. Ennovate shall
immediately notify Eagle County when emergency action is taken and follow up with written notice
with three (3) business days specifying the action taken, the reasons therefore, and the impact upon the
Premises, if any.
Section 13.2. Utility Access.
If a Utility Award Payment is made as described in Section 3 (Utility Award Payments), the
following applies. Upon request by the Utility (or its agent) and with prior consent of Eagle County
which consent shall not be unreasonably withheld, Eagle County shall agree to allow Utility to
interview Eagle County and to enter the Premises at reasonable times throughout the life of the
installed equipment to install metering equipment, perform energy audits or inspect the facilities and
any equipment installed. Eagle County also agrees to cooperate with the Utility or its agent upon
request and with prior consent of Eagle County, in conducting such activities and/or in analyzing
energy savings. At all times a representative of Eagle County (or its agent) shall be present during
such inspections.

ARTICLE 14: MATERIAL CHANGES
Section 14.1. Material Change Defined.
A Material Change shall include any change or cumulative changes in or to the Premises, whether
structural, operational or otherwise in nature which reasonably could be expected, in the judgment of
Eagle County, to increase or decrease annual energy consumption in accordance with the provisions
and procedures set forth in Schedule E and Schedule F after adjustments for climatic variations and
provided a correlation exists between usage and Material Change.
A Material Change include but are not limited to the following: (i) manner of use of the Premises by
Eagle County; or (ii) hours of operation for the Premises or for any equipment or energy using systems
operating at the Premises; or (iii) permanent changes in the comfort and service parameters set forth in
Schedule I; or (iv) occupancy of the Premises that is inconsistent with normal patterns of occupancy;
or (v) alteration of the structure of the Premises; or (vi) excessive types and quantities of equipment
used at the Premises or (vii) modification, renovation or construction at the Premises; or (viii) the
Eagle County's failure to provide maintenance of and repairs to the Equipment in accordance with
Schedule K; or (ix) casualty or Eagle County condemnation of the Premises or Equipment, or (x)
changes in utility provider or utility rate classification instituted by Eagle County, or (xi) any other
conditions other than climate affecting energy or water use at the Premises.
Section 14.2. Reported Material Changes; Notice by Eagle County
Eagle County shall use its best efforts to deliver to Ennovate a written notice describing all actual or
proposed Material Changes in the Premises or in the operations of the Premises at least 14 days before
any actual or proposed Material Change is implemented or as soon as is practicable after an emergency
or other unplanned event. Notice to Ennovate of Material Changes which result because of a bona fide
emergency or other situation which precludes advance notification shall be deemed sufficient if given
by Eagle County within five (5) business days after having actual knowledge that the event
constituting the Material Change occurred or was discovered by Eagle County to have occurred.
Section 14.3. Other Adiustments.
As agreed in Section 16.1 Eagle County will alert Ennovate of materials changes as known. Both
parties have a vested interest in meeting the guaranteed savings of the Contract. As such, the Ennovate
will work with Eagle County to investigate, identify and correct any changes that prevent the
guaranteed savings from being realized. As a result of such investigation, Ennovate and Eagle County
shall determine what, if any, adjustments to the baseline will be made in accordance with the
provisions set forth in Schedule F and Schedule E.

ARTICLE 15: TRAINING AND FOLLOW -UP ACTIVITIES BY ENNOVATE
Section 15.1. Training.
Ennovate shall conduct the training program described in Schedule M. Appropriate training must be
completed prior to acceptance of the Equipment installation. Ennovate shall provide ongoing training
whenever needed with respect to updated or altered Equipment, including upgraded software. Such
training shall be provided at no charge to Eagle County when such training occurs during the semi-
annual ongoing support site visits as described in Schedule M. Training shall be provided either on an
individual or group basis to Eagle County's Facilities Management Department personnel as deemed
appropriate and mutually agreed to by Eagle County and Ennovate for Equipment described in
Schedule A. Training shall occur with thirty (30) days of the installation of the Equipment.
Section 15.2. Application for Energy Star
Ennovate shall conduct an Energy Star benchmarking study for each facility and apply for an Energy
Star Label on behalf of Eagle County for all buildings that meet or exceed the necessary requirements
for the Energy Star Label.
Section 15.3 Emissions Reductions Documentation and Reporting.
Ennovate shall include emissions reductions quantities in each annual report and advise Eagle County
on opportunities to achieve monetary benefit from such credits.
ARTICLE 16: GENERAL CONTRACTUAL PROVISIONS
Section 16.1 Additional Insurance Requirements- Professional Liability Insurance.
Ennovate promises and agrees to maintain in full force and effect an Errors and Omissions
Professional Liability Insurance Policy in the amounts indicated in the following table as minimum
coverage. The policy, including claims made forms, shall remain in effect for the duration of the
Interim Period and for at least three years beyond the completion and acceptance of the Equipment.
Ennovate shall be responsible for all claims, damages, losses or expenses, including attorney fees,
arising out of or resulting from the performance of professional services contemplated in this Contract.
This indemnification shall not apply to claims by third parties against Eagle County o the extent that
Eagle County is liable so such third party for such claim without regard to the involvement of
Ennovate. Ennovate shall submit a Certificate of Insurance verifying said coverage at the signing of
this Contract and also any notices of renewals of Renewals of the said policy as they occur.

ARTICLE 17: EVENTS OF DEFAULT
Section 17.1. Events of Default by Eagle County.
Each of the following events or conditions shall constitute an "Event of Default" by Eagle County:
(i) any failure by Eagle County to pay Ennovate any sum due that is not in dispute,
hereunder for a service and maintenance period of more than thirty (30) days after
written notification by Ennovate that Eagle County is delinquent in making payment;
(ii) any other mutually determined material failure by Eagle County to perform or
comply with the terms and conditions of this Contract, including breach of any covenant
contained herein, provided that such failure continues for thirty (30) days after notice to
Eagle County demanding that such mutually determined failures to perform be cured or
if such cure cannot be effected in such forty -five (45) days, Eagle County shall be
deemed to have cured default upon the commencement of a cure within such forty -five
(45) days and diligent subsequent completion thereof,
any representation or warranty furnished by Eagle County in this Contract that
was false or misleading in any material respect when made.
Section 17.2. Events of Default by Ennovate.
Each of the following events or conditions shall constitute an "Event of Default" by Ennovate:
(i) the standards of comfort and service set forth in Schedule I are not provided due
to failure of Ennovate to properly design, install, maintain, repair or adjust the
Equipment except that such failure, if corrected or cured within twenty -one (2 1) days
after written notice by Eagle County to Ennovate demanding that such failure be cured,
shall be deemed cured for purposes of this Contract.
any representation or warranty furnished by Ennovate in this Contract is false or
misleading in any material respect when made;
(iii) provided that the operation of the facility is not adversely affected and provided
that the Standards of Comfort in Schedule I are maintained, any failure by Ennovate to
perform or comply with the terms and conditions of this Contract, including breach of
any covenant contained herein except that such failure, if corrected or cured within
thirty (30) days after written notice to Ennovate demanding that such failure to perform
be cured, shall be deemed cured for purposes of this Contract;
(iv) any lien or encumbrance upon the equipment by any subcontractor, laborer or
materialman of Ennovate which is not released in thirty days after notice of said filing;
(v) the filing of a bankruptcy petition whether by Ennovate or its creditors against
Ennovate which proceeding shall not have been dismissed within 90 days of its filing,
or an involuntary assignment for the benefit of all creditors or the liquidation of
Ennovate.

(vi) failure by Ennovate to pay any amount due that is not in dispute, or perform any
material obligation under the terms of this Contract, unless such amount due or failure
to perform is excused pursuant to the provisions of this Contract.
ARTICLE 18: ASSIGNMENT
Section 18.1. Assignment by Ennovate.
Ennovate acknowledges that Eagle County is induced to enter into this Contract by, among other
things, the professional qualifications of Ennovate. Ennovate agrees that except as set forth below,
neither this Contract nor any right or obligations hereunder may be assigned in whole or in part to
another firm, without the prior written approval of Eagle County.
(i) Ennovate agrees that except as provided below, neither this Contract nor any right of
obligations hereunder may be assigned in whole or in part to another firm, without the
prior written approval of Eagle County.
(ii) The assignment of this Contract, in whole or in part, within the Enterprise of which
Ennovate is a part does not require the consent of the other party.
Section 18.2. Assignment by Eagle County.
Eagle County may transfer or assign this Contract and its rights and obligations herein to a successor
or purchaser of the Premises or an interest therein with the consent of Ennovate, which shall not be
unreasonably withheld. The lack of financial qualification of the new owner shall be grounds for
withholding such consent.
ARTICLE 19: REPRESENTATIONS AND WARRANTIES
Section 19.1. Representations and Warranties.
Each party warrants and represents to the other that:
(i) it has all requisite power, authority, licenses, permits, and franchises, corporate or
otherwise, to execute and deliver this Contract and perform its obligations hereunder;
(ii) its execution, delivery, and performance of this Contract will not result in a breach or
violation of, or constitute a default under any Contract, lease or instrument to which it is
a party or by which it or its properties may be bound or affected; or
ARTICLE 20. ADDITIONAL REPRESENTATIONS OF THE PARTIES.
Section 20.1. By Eagle County.
Eagle County hereby warrants, represents and promises that:
(i) Eagle County is authorized under the Constitution and laws of the State of
Colorado to enter into this Contract, each transaction contemplated hereby, and to
perform all of its obligations under this Contract.
(ii) Subject to the provisions contained herein, Eagle County has provided or shall
provide timely to Ennovate, all records relating to energy and water usage and energy-
related maintenance of Premises requested by Ennovate and the information set forth
therein is, and all information in other records to be subsequently provided pursuant to
this Contract will be true and accurate in all material respects and Ennovate shall be
entitled to rely thereon; and

(iii) Eagle County has not entered into any prior leases, contracts or agreements with
other persons or entities regarding the leasing or acquisition of water or energy
efficiency equipment or the provision of energy management services for the Premises
or with regard to servicing any of the Equipment located in the Premises that would
encroach upon the scope of this Contract. Eagle County shall provide Ennovate with
copies of any successor or additional leases of energy efficiency equipment and
contracts for management or servicing of preexisting equipment at Premises that may be
executed from time to time hereafter within seven days after execution thereof.
Section 20.2. By Ennovate.
Ennovate hereby warrants, represents and promises that:
(i) before commencing performance of this Contract:
(a) Ennovate shall have become licensed or otherwise
permitted to do business in the State of Colorado
(b) Ennovate shall have provided proof and documentation
of all required insurance and bonds pursuant to this Contract.
(i) Ennovate shall make available, upon reasonable request, documents
relating to its performance under this Contract, including contracts and subcontracts it
shall enter into;
Ennovate shall use subcontractors who are qualified, licensed and
bonded in this State to perform the work so subcontracted pursuant to the terms hereof,
Ennovate has all requisite authority to license the use of proprietary
property, both tangible and intangible, contemplated by this Contract;
(iv) The Equipment will meet or exceed the Acceptance Testing Standards
set forth in this Contract.
(v) The Equipment is or will be compatible with all other Premises
mechanical and electrical systems, subsystems, or components with which the Equipment
interacts, and that, as installed, neither the Equipment nor such other systems, subsystems, or
components will materially adversely affect each other as a direct or indirect result of
Equipment installation or operation;
(v) That Ennovate is financially solvent, able to pay its debts as they mature
and possessed of sufficient working capital to complete the Installation and perform its
obligations under this Contract.
ARTICLE 21: MISCELLANEOUS DOCUMENTATION PROVISIONS.
Section 21.1. Waiver of Liens, Performance Bonds, Labor and Material Payment Bonds.
Such executed bonds are incorporated herein by reference as Exhibit I (Performance Bond) and
Exhibit II (Labor and Material Payment Bond).

Section 21.2. Further Documents
The parties shall execute and deliver all documents and perform all further acts that may be reasonably
necessary to effectuate the provisions of this Contract.
Section 21.3 Eagle County's Responsibilities.
(a) Methods of Operation by Eagle County
The parties acknowledge and agree that said Energy and Cost Savings would not likely be obtained
unless certain procedures and methods of operation designed for energy and water conservation shall
be implemented, and followed by Eagle County on a regular and continuous basis.
(b) Eagle County Maintenance Responsibilities
Eagle County agrees that it shall adhere to, follow and implement the maintenance procedures and
methods of operation to be set forth on Schedule K, to be attached hereto and made a part hereof after
Eagle County's approval, such approval not to be unreasonably withheld, conditioned or delayed.
(c) Inspection of Premises
Eagle County agrees that Ennovate shall have the right once a month, with prior notice and at mutually
agreeable time, to inspect Premises to determine if Eagle County is complying, and shall have
complied with its obligations as set forth in Section 21.3(b). For the purpose of determining Eagle
County's said compliance, the checklist to be set forth at Schedule L as completed and recorded by
Ennovate during its monthly inspections, shall be used to measure and record Eagle County's said
compliance. Eagle County shall make the Premises available to Ennovate for and during each monthly
inspection, and shall have the right to witness each inspection and Ennovate's recordation on the
checklist. Eagle County may complete its own checklist at the same time. Ennovate agrees to not
interfere with the Eagle County operations during any monthly inspection.
ARTICLE 22: CONFLICTS OF INTEREST
Section 22.1 Conflicts of Interest.
Conflicts of interest relating to this Contract are strictly prohibited. Except as otherwise expressly
provided herein, neither party hereto nor any director, employee or agent of any party hereto shall give
to or receive from any director, employee or agent of any other party hereto any gift, entertainment or
other favor of significant value, or any commission, fee or rebate in connection with this Contract.
Likewise, neither party hereto nor any director, employee or agent of either party hereto, shall without
prior notification thereof to the other party enter into any business relationship with any director,
employee or agent of the other party or of any affiliate of the other party, unless such person is acting
for and on behalf of the other party or any such affiliate. A party shall promptly notify the other party
of any violation of this section and any consideration received as a result of such violation shall be paid
over or credited to the party against whom it was charged. Any representative of any party, authorized
by that party, may audit the records of the other party related to this Contract, upon reasonable notice
and during regular business hours including the expense records of the party's employees involved in
this Contract, upon reasonable notice and during regular business hours, for the sole purpose of
determining whether there has been compliance with this section.

ARTICLE 23: CONTRACT DOCUMENTS

Section 23.1. Plan Details.
Ennovate prepared a complete Technical Energy Audit which has been approved and accepted by
Eagle County as set forth in Exhibit III (i) (Notice of Acceptance — Technical Energy Audit and
Monitoring and Verification Plan.
Section 23.2. General Conditions.
The Eagle County, Colorado, General Conditions Articles summarized below and attached hereto as
Schedule N shall be incorporated and made a part hereof as follows.
(a) Contract or SC6.21: shall be defined to be this Energy Performance Contract and all related
Schedules, Exhibits and Appendices.
(b) Architect/Engineer: shall be defined to be Ennovate where services are required to be
performed by this Contract.
(c) Overhead /Profit /Commission: amounts shall be as specified in Ennovate's Technical Energy
Audit proposal.
Section 23.3. Order of Precedence.
The provisions of this Contract and the attached Schedules, Exhibits and Appendices shall govern in
the event of any inconsistencies between the Technical Energy Audit and the provisions of this
Contract.
In the event of conflicts or inconsistencies between this Contract and its Schedules, Exhibits or
Appendices, such conflicts or inconsistencies shall be resolved by reference to the documents in the
following order of priority: a) Contract body, b) Schedule, c) Schedules /Exhibits /Appendices, d) Eagle
County RFP, e) Ennovate Proposal.
In the event of any conflicts between Schedule C and other parts of this Contract regarding Energy
and Water Cost Savings calculations or measurement of the guarantee, Schedule C shall govern.
Section 23.4. Facsimile Signatures.
Parties agree that facsimile signatures shall be accepted as originals.
Section 24.1. Non - appropriation of Funds.
Notwithstanding anything to the contrary contained in this Contract, Eagle County shall have no
obligations under this Contract after, nor shall any payments be made to Ennovate in respect of any
period after December 31, 2008 without an appropriation therefore by Eagle County in accordance
with a budget adopted by the Board of County Commissioners in compliance with Article 25, Title 30
of the Colorado Revised Statutes, the Local Government Budget Law (C.R.S. 29 -1 -101 et. seq.) and
the TABOR Amendment (Colorado Constitution, Article X, Sec. 20).
Section 25.1. Employment or Contract with Illegal Aliens.
Ennovate shall not knowingly employ or contract with an illegal alien to perform work under the
public contract for services; or enter into a contract with a subcontractor that fails to certify to

Ennovate that the subcontractor shall not knowingly employ or contract with an illegal alien to perform
work under the public contract for services.
Ennovate shall verify or attempt to verify through participation in the Basic Pilot Verification program,
as administered by the United States Department of Homeland Security, that Ennovate does not
employ any illegal aliens. If Ennovate is not accepted into the Basic Pilot Verification Program prior
to entering into a public contract for services, the contractor shall apply to participate in the Program
every three months until the contractor is accepted or the public contract for services has been
completed, whichever is earlier. Information on applying for the Basic Pilot Verification Program can

Ennovate shall not `use the Basic Pilot = Verification Program procedures to undertake pre - employment
screening of jofi applicants while the public contract for services is being performed.
If Ennovate obtains actual knowledge that a Subcontractor performing work under the public contract
for services knowingly employs or contracts with an illegal alien, Ennovate shall be required to:
(a) Notify the Subcontractor and Eagle County within three days that Ennovate has actual
knowledge that the Subcontractor is employing or contracting with an illegal alien; and
(b)Terminate the Subcontract with the Subcontractor if within three days of receiving the notice
required pursuant to subparagraph (i) of the paragraph (d) the Subcontractor does not stop
employing or contracting with the illegal alien; except that Ennovate shall not terminate the
contract with the Subcontractor if during such three days the Subcontractor provides
information to establish that the Subcontractor has not knowingly employed or contracted with
an illegal alien.
Ennovate shall comply with any reasonable request by the Department of Labor and Employment
made in the course of an investigation that the department is undertaking pursuant to its authority.
If Ennovate violates these prohibitions, Eagle County may terminate the contract for a breach of the
contract. If the contract is so terminated specifically for a breach of this provision, Ennovate shall be
liable for actual and consequential damages to Eagle County.
Section 26.1. Jurisdiction and Venue.
This Contract shall be interpreted in accordance with the laws of the State of Colorado and the parties
hereby agree to submit to the jurisdiction of the courts thereof. Venue shall be in the Fifth Judicial
District for the State of Colorado.

VENDINGMISER MACHINE SENSORS
Ennovate will install energy- saving controllers to all vending machines.
The controller turns the machine off unless the infrared sensor detects activity in the
vicinity of the vending machine. After fifteen minutes of inactivity, the controller returns
the vending machine to its powered down state. Controls for refrigerated vending
machines are programmed to cycle the compressor at the minimum required to insure
that the products are kept at the desired temperature.
The following table summarizes the number of vending machines in each building and
the proposed power reduction devices to be installed under this agreement.
DOOR SWITCHES
Ennovate will add door switches to the bay doors at the Maintenance Center.
The door switch would temporarily disable heating units while the bay door is open, to
reduce the amount of heat wasted to the outside. Once the doors are closed the
heating until will be enabled to maintain the specified setpoint.

LIGHTING RETROFIT AND OCCUPANCY SENSORS
Ennovate will install a custom lighting retrofit throughout EAGLE COUNTY facilities.
Notable modifications would include retrofitting T -12 lamps and magnetic ballast with
more efficient T -8 lamps and electronic ballast.
In addition, the metal halide lights in the Airport Terminal and Maintenance Complex will
be replaced. Existing 1000W metal halide fixtures will be replaced with new 450W
pulse start metal halide lamps with a dimming feature. Retrofits for each location are
described in the following tables.

B. DESCRIPTION OF PREMISES,
EQUIPMENT INVENTORY
AIRPORT TERMINAL
General Information
PRE - EXISTING
The Airport Terminal facility is 62,900 square feet. This building was originally built in
1996 and has undergone several additions and remodels. There are as many as 150
employees during the peak season and it is occupied from 4 am to 12 am. The number
of flights arriving and departing from the airport varies from 4 to 8 flights per day in the
summer to more than 32 flights per day during the winter.
Building Envelope
The Eagle County Airport Terminal is a single -story building constructed of stucco and
concrete block with a sloped metal roof. The windows are comprised of double pane
glass with aluminum frames. Insulation U- Values used in the calculations are as
follows:
Boiler Plant
The heating plant consists of four Patterson - Kelley Thermific Boilers each with an input
capacity of 2,060,000 BTUH. The maximum output is 1,700,000 BTUH /boiler and the
minimum output is 1,140,000 BTUH /boiler. Hot water is distributed throughout the
building by a pair of 7.5 hp circulation pumps. In addition to providing heat for the
building, the boilers and hot water pumps are used to heat the domestic hot water
supply for the airport. This requires the boiler and pumps to operate year round. The
boilers are controlled according to an outside air reset schedule but maintain a minimum
supply temperature of 130 °F.
Chiller Plant
Cooling is provided to the Airport Terminal by a 70 -ton Trane Air - cooled Rotary Chiller.
Chilled water is distributed to the Air - Handling Units by a pair of 5 hp circulation pumps.
According to the data logs, the chiller is enabled when the outside air temperature rises
above 65 °F. Chilled water supply set point is set at 40 °F. Chilled water reset schedule
does not appear to be utilized.

Fan Systems
The Airport Terminal is conditioned by six larger Air - Handling Units and Fan Coil Units
with chilled water coils and hot water coils. These units have return air dampers and
outside air dampers for providing ventilation air.
Ventilation
Ventilation is provided to the Terminal by the Air - Handling Units and Fan Coil Units
described above. All of the individual units are ducted to outside air intake louvers for
ventilation air.
Control Systems
The Airport Terminal is currently using a Johnson Controls Metasys® NCM controller.
The current controller and user interface are outdated by today's standards. The
software is not windows based and the existing controller does not allow for trending
data or remote access. The system controllers, sensors, valves and actuators for the
chiller, boilers and larger Air - Handling Units (AC -1 through AC -6) are less than 10 years
old.
Lighting Systems
Ennovate surveyed the lighting fixtures at the Airport Terminal. Approximately, 300
fixtures are recommended for retrofit or replacement with high efficiency fixtures. The
remaining lighting fixtures in this building are `energy- efficient' by today's standards,
retrofitting them was not recommended.
Domestic Hot Water
Domestic hot water is provided to the Airport Terminal by a 100 gallon storage that is
heated by the Patterson Kelley building hot water boilers. Because domestic hot water
is required year round, at least one of the four building hot water boilers is required to
operate year round along with one of the 7.5 horsepower circulation pumps. Hot water
is supplied from the boilers to the storage tank at a minimum temperature of 130 °F.

ADMINISTRATION COMPLEX
General Information
The Main Administration building was built in 1991, the Facilities Maintenance building
in 1992 and the Old Courthouse in 1932. The hours of operation for the Administration
Complex are from Monday through Friday from 8 am to 5 pm. The total square footage
for the complex is 89,000 square feet.
Building Envelope
The Main Administration Building is a two -story, with a garden level, brick building with a
sloped metal and slate roof. The Facilities Maintenance building is a two story brick
building with a sloped metal roof. The Old Courthouse is a two story, with a garden
level, brick building with flat roof. The windows are comprised of double -pane glass
with metal frames.
Boiler Plant
The heating plant consists of two Burnham Boilers each with an input capacity of
1,944,000 BTUH. The boilers are non - condensing which means that the return water
entering the boilers must be kept above 140 °F to prevent condensate from forming in
the heat exchanger. This make the boilers inefficient when employing a hot water reset
schedule and can result in excessive cycling. Hot water is distributed throughout the
building by a pair of 3 hp circulation pumps. The boilers are controlled according to an
outside air reset schedule but maintain a minimum supply temperature of 150 °F.

Chiller Plant
Cooling is provided to the Administration complex via a 150 -ton Trane Rotary Water -
cooled chiller. Heat is rejected by a closed circuit cooled tower with a variable speed
driven fan. The chilled water system was designed with tower free bypass that allows
the cooling tower to provide chilled water when outside air temperatures are less than
65 °F. This allows chilled water to be provided to the Air - Handling Units without needing
to energize the chiller. Chilled water is distributed to the Air - Handling Units by a pair of
7.5 hp circulation pumps.

Handling Units. All Air - Handling Units have chilled water coils and hot water coils.
AHU M -1, M -9, M -10, M -11 and M -12 are variable air volume units with Inlet Guide
Vanes for airflow modulation. AHU M -19 is a variable air volume unit with a variable
speed drive for airflow modulation. AHU -2 is a constant volume air - handling unit. The
server room of the Administration Complex is cooled by a pair of 5 ton (60,000 BTUH)
water source heat pumps. The heat pumps reject heat to the chilled water loop but
have the ability to operate using the domestic cold water supply when the chilled water
loop is not cool enough, not flowing or in an emergency.

The Administration Building is controlled by a Trane Tracer® Energy Management
Control System. This is a Windows® based program that is capable of remote access,
monitoring and trending. The control system employees moderate night setback
strategies and makes adequate use of the tower free cooling capability of the chiller -
tower system. The control system has little available capacity to accommodate the
addition of new control points.

ANIMAL SHELTER
General Information
Eagle County Animal Shelter was built in 1998. There are typically 8 employees and
the shelter houses 1,100 animals per year on average. The shelter hours of operation
are Monday through Saturday 9am to 5pm. On Tuesday the shelter is open from 9 am
to 6:30 pm. The square footage of the Animal Shelter is 5,030 square feet.
Building Envelope
The Animal Shelter is a one story building constructed of composite blocks with a
sloped metal roof. Windows are comprised double -pane glass with aluminum frame.
HVAC Systems
Office /Entry/Viewing Area:
The entry, viewing, and office areas of the Animal Shelter are served by a pair of
furnace split systems with mechanical cooling. Each furnace has a gas input capacity
of 140,000 BTUH and an output capacity of 112,000 BTUH. The nominal heating
efficiency of these units is 80 %. A combustion analysis test was not conducted as part
of this study and therefore the current operating efficiency was not verified. The
condensing units have a nominal cooling capacity of 48,000 BTUH. The fans are sized
to deliver 1,700 cfm each and have 3% horsepower supply fan motors.
Canine Kennel Area:
The indoor canine kennel area is heated by ceiling mounted gas fired infrared radiant
tube heaters. These radiant tube heaters have a nominal heating efficiency of 80 %.
Ventilation air is provided to the indoor kennel area by an outdoor mounted Make -up Air
Unit with gas heat and evaporative cooling. A ceiling mounted exhaust fan at the
opposite end of the building exhausts air from the indoor kennel area. This system also
supplies the kennel area with a form of free - cooling during the summer time. The
nominal heating efficiency of the Make -up Air Unit is 80 %. A combustion analysis of the
radiant heaters and Make -up Air Units was not conducted as part of this study and
therefore the current operating efficiencies were not verified.
Ventilation
Ventilation is provided by the ventilating units described above. All of the individual
heating - ventilation units are ducted to an outside air intake.

Ennovate surveyed approximately 100 lighting fixtures at the Animal Shelter. Roughly,
10% of the fixtures are considered energy efficient. The remainder of the building has
inefficient lighting.

Domestic hot water is provided by a tank style gas fired hot water heater. A combustion
analysis test was performed on this unit and yielded an efficiency of 80.5%
EXHIBITION HALL
General Information
Eagle County Exhibition Hall was built in 1965. The Exhibition Hall is used regularly by
the public for various events such as weddings and birthday parties. The square
footage of the Exhibition Hall is 6,200 square feet.
Building Envelope
Eagle County Exhibition Hall is one story building constructed from a metal frame with
metal panels with a sloped metal roof. Windows are comprised of single -pane glass
with a wood frame.
HVAC Systems
The only HVAC systems serving the Exhibition Hall are two gas fired unit heaters. The
unit heaters are controlled by wall mounted programmable thermostats.
Ventilation
There is no means of mechanical ventilation in the Exhibition Hall.
Domestic Hot Water
Domestic hot water is provided by a 30 gallon, 37,000 BTUH input, tank style gas fired
hot water heater. A combustion analysis test was not performed on this unit but the
estimated efficiency of the heater is 75 %.
Controls
The gas fired unit heaters in the Exhibition Hall are controlled by wall mounted
programmable thermostats.
Lighting
Lighting at this facility was not audited due to the scheduled remodel.

EAGLE RIVER CENTER
General Information
The Eagle River Center was built in 2006. It consists of a large indoor riding arena with
storage, wash areas, restrooms and two small offices. The square footage of the Eagle
River Center is approximately 45,000 square feet. It hosts many equestrian events,
trade shows, fairs and is open to the public as an indoor riding facility.
Building Envelope
Eagle County River Center is a one -story building constructed of a metal frame with
steel siding and composite block, and a sloped metal roof. Windows are comprised of
double -pane glass with aluminum frame.
HVAC Systems
The indoor arena, wash area and storage area are served by gas fired unit heaters.
The Restrooms are served by a gas fired furnace. A combustion analysis of these
items was not conducted but the nominal gas heating efficiency of these units is 80 %.
The offices are served by through- the -wall Packaged Terminal Heat Pumps. These are
air - cooled heat pumps that can provide year round heating and cooling for the offices.
Ventilation
The Eagle River Center does not utilize a year round automatic mechanical ventilation
system. There are 12 exhaust fans interlocked with 12 fresh air intakes, all are
controlled manually. Typically, only utilized when any gas powered vehicles or
equipment are being used in the arena.
Control Systems
The unit heaters, furnace and packaged terminal heat pumps are all controlled by non
programmable thermostats. The exhaust fans in the arena are manually controlled and
are interlocked with outside air louvers.
Lighting systems
Ennovate surveyed over one hundred lighting fixtures at the Eagle River Center. There
are approximately 50% lighting fixtures in this building that are energy- efficient or new
enough that retrofit was not recommended. The remainder of the building has
inefficient lighting.

MAINTENANCE CENTER
The Maintenance Center consists of multiple buildings. The general, building envelope,
heating, ventilation and air conditioning (HVAC), lighting,

The Administration Building was built in 2000 and is 8,891 square feet in area. This is
an office type building that houses the administrative personnel for the Maintenance
Center. The current occupancy of this building is approximately 35 employees and it
operates from 8 am to 5pm, Monday through Friday.
Building B - Operations:
The Operations Building was built in 2000 and is 6,523 square feet in area. This is an
office type building that houses the operations personnel for the Maintenance Center.
The current occupancy of this building is approximately 20 employees and typically it
operates from 8 am to 5 pm, Monday through Friday.
Building C - Fleet Maintenance:
The Fleet Maintenance Building was built in 2000 and is 28,039 square feet in area.
This is a large maintenance area with multiple overhead doors, a paint booth and the
equipment required to repair and service busses, County maintenance vehicles, and
road and bridge equipment. The current occupancy of this building is approximately 15
employees and it operates from 8 am to 5 pm, Monday through Friday.
Building D — Bus Storage:
The Bus Storage Building was built in 2000 and is 20,700 square feet in area. This
building houses the busses that provide public transportation to Eagle County. This
building operates seven days a week.
Building E —Car Wash:
The Car Wash Building was built in 2000 and is 1,740 square feet in area. It houses the
vehicle wash equipment. It is typically only used Monday through Friday.

The Road & Bridge Storage Building was built in 2000 and is 13,484 square feet in
area. This building houses the equipment used by the Road and Bridge department. It
typically operates Monday through Friday.

roofing system. Windows are double pane with metal frames.
Building B:
One story building constructed of composite blocks with a ballasted single -ply EPDM

roofing system. This is a high ceiling facility with many large overhead doors required to

roofing system. This is a high ceiling facility with many large overhead doors required to
accommodate the entry and exit of the public transportation busses.
Building E:

roofing system. This is a high ceiling facility with two large overhead doors required to

heaters. The nominal heating efficiency of the radiant heaters and gas fired unit heaters
is 80 %. There is not a cooling system for this building. Ventilation is provided by
exhaust fans used in conjunction with outside air intakes.
Building E:
Building E is heated by gas -fired infrared radiant tube heaters. The nominal heating
efficiency of the radiant heaters is 80 %. There are no cooling systems for this building.
Building G:
Building G is heated by gas -fired unit heaters. The nominal heating efficiency of the
gas -fired unit heaters is 80 %. There are no cooling systems for this building.
Ventilation is provided by exhaust fans used in conjunction with outside air intakes.
Control Systems
Maintenance Buildings A, B, and C are controlled by a Trane Tracer® direct digital
control system. This is a windows based program that is capable of remote access,
monitoring and trending. The gas heat equipment in buildings D, E and G have stand
alone controls but are partially monitored by the Tracer system.
Lighting systems
Building A:
Ennovate surveyed almost two hundred lighting fixtures at the Maintenance Bldg A.
Approximately 75% of the lighting fixtures in this building that are energy- efficient T -8
fluorescent fixtures or are very new and a retrofit was not recommended. The
remaining 25% of the building has inefficient lighting and should be retrofitted.

approximately one hundred lighting fixtures in this building that are energy- efficient T -8
fluorescent fixtures or are very new and a retrofit was not recommended. The
remaining 20% of the building has inefficient lighting and should be retrofitted.
Building C:
Ennovate surveyed approximately 200 lighting fixtures at the Maintenance Bldg C.
There are approximately 75 lighting fixtures in this building that are energy- efficient T -8
fluorescent fixtures or are very new and a retrofit was not recommended. The
remainder of the building has inefficient lighting.
Building D:
Ennovate surveyed over one hundred lighting fixtures at the Maintenance Building D. A
majority of the lighting fixtures in this building that are energy- efficient T -8 fluorescent
fixtures or are very new and a retrofit was not recommended. Approximately 20 lighting
fixtures are inefficient and recommended for retrofit.
Building E:
Ennovate surveyed a total of 12 lighting fixtures at the Maintenance Bldg E. There are
11 lighting fixtures in this building that are energy- efficient T -8 fluorescent fixtures or are
very new and a retrofit was not recommended. It is suggested the single fixture be
retrofitted or upgraded to a more efficient unit.
Building G:
Ennovate surveyed a total of 35 lighting fixtures at the Maintenance Bldg G. There are
24 lighting fixtures in this building that are energy- efficient T -8 fluorescent fixtures or are
very new and a retrofit was not recommended. The remainder of the building has
inefficient lighting and should be retrofitted.
Domestic Hot Water
Domestic hot water is provided to buildings A, B and C by high efficiency, condensing,
gas- fired, tank -style domestic hot water heaters. The domestic hot water heaters in
Building A and B have storage capacities of 60 gallons each and gas heat capacities of
125,000 Btuh each. The domestic hot water heater in building C has a storage capacity
of 100 gallons and a gas heat capacity of 125,000 Btuh.

SCHEDULE C
C. ENERGY AND COST SAVINGS GAURANTEE
Ennovate guarantees to Eagle County that Energy Cost Savings shall be equal to or
greater than $114,216 (i.e., the annual lease payment plus the ongoing support
services had the project been leased). Ennovate shall measure and report to Eagle
County on an annual basis the realization of the Energy Cost Savings based on current
utility rates shown in the tables below. Energy Cost Savings shall be defined as a
reduction in costs from the Baseline. Both parties agree that utility rates used to
calculate Energy Cost Savings shall be escalated at a rate of 5.0% per year
(Department of Commerce Energy Price Indices 2007 — Nominal Rate). The table
below shows the Baseline Costs and Units of energy, the calculated Energy Cost
Savings and the Baseline Year energy rates.

Each year following the Commencement Date of the project, Ennovate shall report to
Eagle County on the performance of the Energy Cost Savings. This report shall identify
how much Energy Cost Savings have resulted from installation of equipment in this
contract. Each year the Baseline Year energy consumption shall be adjusted to reflect
changes in: 1) Weather; 2) Building Hours of Use; 3) Installation of new equipment; or
4) Any other factor effecting energy use beyond Ennovate's direct control. After such
adjustments to the Baseline Year are complete, the Actual Energy Cost is subtracted
from the Adjusted Baseline Year Energy Cost resulting in the Actual Energy Cost
Savings. If the cumulative Actual Energy Cost Savings up to the Audit Date are less
than the cumulative Guaranteed Energy Cost Savings, then Ennovate shall remit
payment to Eagle County for this difference subject to the following provisions:
1) If either party terminates this contract, this Energy Guarantee is no longer legally
binding.
2) If Eagle County cancels Monitoring Services, this Energy Guarantee is no longer
legally binding.
3) If equipment or FACILITIES are substantively damaged by an Act of God, this
Energy Guarantee is no longer legally binding.

The total annual Cost Savings attributed to this project is calculated to be $124,626 per
year (i.e., Base Year or Year 0). The Cost Savings is comprised of three components:
1) AUDITABLE UTILITY COST SAVINGS — Cost savings that are Measured
and Verified (M &V) by Ennovate on an annual basis to reconcile guaranteed
energy savings using the M &V Protocols described in Schedule F. This
category of cost savings will be the only category that is audited and
reconciled at the end of each Audit Year. Savings validated through M &V
Protocol Option A shall be measured at the end of the installation period and
stipulated over the term of the agreement.
2) OPERATIONAL COST SAVINGS — Defined as costs for parts, maintenance
contracts and other consumable items used to maintain existing equipment
that will be reduced upon installation of new equipment. The total operational
cost avoidance for Eagle County is summarized in the table below.
3) ANNUALIZED CAPITAL COST AVOIDANCE — Defined as the annualized
monies that would have been spent by Eagle County as a result of necessary
capital projects or planned facility improvements with or without
implementation of this project. Since Ennovate's Performance Contract will

AGREEMENT
AND SERVICE
Ennovate shall collect utility data on a monthly basis from the installed Energy
Information Network (EIN) system on the Administration Complex and collect from
Eagle County monthly utility bills for all Facilities covered by the Agreement. This
information will be reviewed periodically to ensure that energy savings objectives will be
met for each Audit Year. If discrepancies are noticed in utility consumption or
equipment operation, such discrepancies will be communicated by Ennovate to Eagle
County within one week of discovery of such discrepancies.
Ennovate shall submit a formal report to Eagle County each Audit Year to report
Auditable Utility Savings. This report shall be used to enforce conditions set forth by the
Energy Guarantee set forth in Schedule C. In addition, Ennovate will provide Eagle
County with an informal letter at least every six months to indicate status of energy
savings.
Ennovate is not providing a maintenance or service contract for equipment installed
under this Agreement. However, Ennovate will provide suggestions and guidance to
designated Eagle County personnel committed to maintaining existing and new
equipment provide under this Agreement.
Ennovate will receive an annual monitoring fee of $5,640.00 in monthly installments of
$470.00 from Eagle County. The monitoring fee shall be escalated by the local
consumer price index on an annual basis to account for normal service cost inflation.

E. BASELINE ENERGY CONSUMPTION
Baselines were established in this project in two distinct ways that reflect the type of
Measurement & Verification protocol that is anticipated for each group of measures.
Energy savings will be verified according to two methodologies:
1) Measurement and Verification Option C of the International Performance
Monitoring and Verification protocol was used for the Administration Complex.
All Energy Conservation Measures for the Administration Complex shall be
calculated using a single computer simulation, calibrated to utility bills.
2) Measurement and Verification Option A of the International Performance
Monitoring and Verification protocol shall be used for Energy Conservation
Measures in the Airport Terminal, Animal Shelter, Exhibition Hall, Eagle River
Center and Maintenance Center buildings. Measures in these buildings will be
verified by individual measurements for each measure. Measures include:

Energy Matching Algorithms
During Ennovate's energy modeling experience it has been determined that energy
consumption corresponds to two primary factors: 1) Occupancy Profile and 2) Outside
Air Temperature. Therefore we develop equations to predict electrical demand (kW),
electricity usage (kWh) and natural gas usage (CCF) based on occupancy and outside
air temperature. These algorithms are then automatically updated with the Energy
Information Network (EIN) system and a dynamic adjusted baseline is established and
compared with actual metered readings to determine energy savings on an hourly
basis. These charts are then updated on the EIN to represent live energy guarantee
savings performance.

Engineering Calculations
Energy management and control systems (EMCS) can result in both gas and electricity
savings.
Gas consumption is calculated by multiplying the airflow, temperature difference of
outside and indoor air, conversion factor, unit run time, and unit efficiency. Control
systems reduce the required indoor air temperature during unoccupied periods,
reducing overall gas consumption.
Electricity consumption is calculated using the fan motor horse power, converting it to
kilo -watts and multiplying it by runtime and unit efficiency. An EMCS can reduce the
amount of time a fan is running during unoccupied periods.

SCHEDULE H
H. SYSTEMS START -UP AND COMMISSIONING; OPERATING
PARAMETERS OF INSTALLED EQUIPMENT
Ennovate plans to commission newly installed all equipment and systems to ensure that
they in good working order and operates as intended. Eagle County shall be notified of
and have the right to be present during commissioning procedures. Ennovate shall
further document Eagle County's attendance and acceptance of Ennovate's testing and
certification that tests have met or exceeded expected results.
The following paragraphs describe the commissioning procedure for each installed
measure:
EMCS Upgrades
The Commissioning procedure for EMCS upgrades is as follows:
1. Ennovate Commissioning Agent shall visually inspect system and check that
wiring and equipment installation conforms to design specifications.
2. Ennovate Commissioning Agent shall witness the point -to -point checks of EMCS
system to verify that control system graphics and labeling accurately represents
equipment conditions.
3. Ennovate Commissioning Agent shall verify that programs, schedules, and
setpoints are properly configured and utilize trend data to verify that systems and
equipment are being controlled to schedules and setpoints.
Network Computer Power Reduction
The Commissioning procedure for Network Computer Power reduction is as follows:
1. Ennovate Commissioning Agent shall visually inspect and verify the correct
number of computers have power reduction software installed.
2. Ennovate Commissioning Agent shall sample computers with installed software
and verify that the software operates the computer as designed and power
consumption is reduced as expected.
Replace IGVs with VSDs
The Commissioning procedure for VSD replacements are as follows:
1. Ennovate Commissioning Agent shall verify that inlet guide vanes are removed
and number and type of installed VFDs are in agreement with original design and
specifications.

2. With the static pressure set at its design set point, the Ennovate Commissioning
Agent shall command each VAV box in the system from the full closed to the full
open position one at a time. Once all VAV boxes have been modulated full open,
the VAV boxes shall be modulated to full closed. If the discharge static pressure
is within the static pressure set point by +/- 10%, the test is passed.
High Efficiency Condensing Boilers
The following tests will be performed to verify proper operation of condensing boilers:
After the Ennovate Commissioning Agent verifies that specified boiler is properly
installed, factory startup shall be performed according to the manufacturer's instructions
in the presence of the Ennovate Commissioning Agent. In addition to or at least in
conjunction with the factory startup the following tests shall be performed:
Mechanical Contractor shall provide manufacturer's installation instructions, operations
and maintenance manuals, and technical data (efficiency curve) to the Ennovate
Commissioning Agent. Documentation shall be complete such that proper installation
and operating efficiencies of boiler and systems can be verified by the Ennovate
Commissioning Agent.
During startup, Mechanical Contractor shall perform and record combustion efficiency
tests to verify combustion efficiency at part and full load. Such efficiency tests shall be
witnessed by the Ennovate Commissioning Agent and may take additional
measurements to verify efficiencies through a range of return water temperatures and
boiler loadings. In addition to efficiency readings, carbon monoxide levels shall be
within manufacturer's advertised levels during any and all tests. Based on combustion
efficiency test results, the Ennovate Commissioning Agent shall advise Mechanical
Contractor of deficiencies, however, the Mechanical Contractor shall be responsible to
meet efficiency and carbon monoxide levels.
The boiler shall be fired at full fire rate to test the full capacity of the boiler. Factors
affecting boiler capacity include: 1) Medium Temperature; 2) Combustion Air
Temperature; and 3) Altitude. The Mechanical Contractor shall fire the boiler at full fire
rate without overheating the discharge water temperature. The Ennovate
Commissioning Agent shall measure and record the inlet water temperature and the
outlet water temperature during this test. Once the differential temperature between
these two values has reached a steady-state during this test, this differential
temperature will be used to calculate the heating output of the boiler as follows:
Measured Heat Capacity = Differential Temperature X 0.935 X 500 X GPM; where the
GPM shall be obtained from the balancing report obtained in ECV#1. The Ennovate
Commissioning Agent shall adjust the Measured Heat Capacity based on the three
factors described above to compare to the designed heat output of the boiler.

The controls interface to the boiler shall be tested for functionality. At a minimum, the
control system shall be able to set the discharge temperature set point and shall be able
to enable and disable the boiler.
The Ennovate Commissioning Agent shall witness and verify proper sequencing of
boilers in accordance with the specified sequence of operations. Functional test
protocols shall be developed to validate expected boiler system operations.
Lighting Retrofit with Occupancy Sensors
The following tests will be performed to verify proper operation of lighting and sensors:
The Ennovate Commissioning Agent shall verify that the number and type of installed
light fixtures, lamps, ballasts, and occupancy sensors are in agreement with original
design and specifications.
The Ennovate Commissioning Agent shall take amperage and voltage readings of all
fixture types to verify energy consumption of the fixtures are within design
specifications.
The Ennovate Commissioning Agent shall perform light level readings in all rooms that
were measured during the TEA to ensure that light quality has not diminished.
The Ennovate Commissioning Agent shall verify occupancy sensor activation and
timeout periods areas agree with design specifications.
VendingMisers
The following tests will be performed to verify proper operation of Vending Mizers:
The Ennovate Commissioning Agent shall verify that the number and type of installed
vending misers are in agreement with original design and specifications.
The Ennovate Commissioning Agent shall take amperage and voltage readings of a
sample of installed equipment to verify energy consumption is within design
specifications.
Retro- Commissioning
Although similar to EMCS Upgrades measure, Retro- Commissioning presumes the use
of existing equipment to change programs, setpoints, and schedules to optimize
equipment and system energy efficiency. The following tests will be performed to verify
revised operations:
The Ennovate Commissioning Agent shall verify that revised programs, schedules, and
setpoints are properly configured and shall utilize trend data to verify that systems and
equipment are being controlled to revised programs, schedules, and setpoints.

Negotiate Natural Gas Rates
As no equipment is installed, no commissioning activity is necessary for this ECM.
Demand Based Ventilation
The following tests will be performed to verify proper operation of CO2 Sensors:
The Ennovate Commissioning Agent shall verify that number and type of installed CO2
sensors are in agreement with original design and specifications.
The Ennovate Commissioning Agent shall witness and verify that the CO2 sensors are
tested with a calibration natural gas that has been certified to be 350 ppm and also with
a calibration natural gas that has been certified to be greater than 1,500 ppm. These
two calibration natural gasses will be used to establish the zero and span of the CO2
sensors.
To verify proper damper operation, the Ennovate Commissioning Agent shall override
CO2 sensor readings to al level greater than 800ppm. The outside air dampers should
modulate open.
The Ennovate Commissioning Agent then overrides CO2 sensor reading to a value
below 700 ppm. The outside air damper shall modulate full closed.
Door Switches for Heat
The following tests will be performed to verify proper installation and operation of door
switches:
The Ennovate Commissioning Agent shall verify that the number and type of installed
door switches are in agreement with original design and specifications.
The Ennovate Commissioning Agent shall override temperature settings to start unit
heaters. The Ennovate Commissioning Agent shall then operate doors to verify that
unit heaters turn off when doors are open and restart when doors are closed.
Energy Information Network (EIN)
For this measure, Ennovate will check the EIN system to ensure that it can perform the
following functions:
Electricity KWH and natural gas CCF values can be totalized and logged at a frequency
of one hour and stored for at least one year before downloading to Ennovate's
computer.
Ennovate will test each control strategy to ensure proper operation in accordance with
specifications outlined in the TEA.

1. STANDARD OF COMFORT
A Standard of Comfort for space temperature shall be 70 °F for heating and 74 °F for
cooling during the occupied periods; and 55 °F for heating and 90 °F for cooling during
the unoccupied periods. A Standard of Comfort for lighting levels shall be the lesser of
pre- retrofit conditions or IES standards.

J. CONTRACTOR'S MAINTENANCE RESPONSIBILITIES
As Eagle County has a fully functional and qualified Maintenance Staff and the Energy
Conversation Measures included under the Agreement to not add to Eagle County's
maintenance requirements, Ennovate does not have any maintenance responsibilities
under this Agreement. As part of Ennovate's on -going support services, Ennovate will
provide continued maintenance recommendations during the semi - annual site visits
provided under this Agreement.
