EAGLE COUNTY, COLORADO
AND
WILLIAM AND MARY STEPHENS
THIS AGREEMENT, made this ~ day of August, 2008, between Eagle County
("County") and William and Mary Stephens (:"the Stephens"),
WITNESSETH:
WHEREAS, the Gypsum 4-H Barn located on Cooley Mesa Road and owned by County
has been condemned for use; and
WHEREAS, the Stephens are ready and willing to disassemble the barn and remove the
lumber from the site for use on their property in Sweetwater; and
WHEREAS, such disassembly and removal by the Stephens is in the best interest of the
health, safety and welfare of the people of Eagle County and consistent with the County's desire
to encourage conservation and re-use of resources such as lumber,
NOW, THEREFORE, in consideration of the foregoing premises and the following
promises, County and the Williams agree as follows::
County authorize the Stephens to enter upon the Cooley Mesa Road property and
disassemble and remove at their sole expense the existing barn from that location for re-use on
their property in Sweetwater, and hereby grants and conveys title and ownership of such lumber
to the Stephens upon its disassembly and removal from the County property, but such grant and
conveyance shall not be deemed to constitute any warranty whatsoever as to the fitness of such
lumber for the purposes intended by the Stephens.
The Stephens agree, at their sole risk, to expeditiously and completely remove the barn
from the property and to restore the site of the barn, so far as practicable, to its condition prior to
construction of the barn. The Stephens shall give the County Facilities Management Director
advance notice of the commencement of such disassembly removal process and of its
completion.
The Stephens agree to indemnify and hold harmless County, its officers, agents and
employees, against any and all liability arising from the Stephens' disassembly and removal of
the barn from the property.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date
first set forth above.
