Authorization, effective August 8, 2008, is granted by Board of County Commissioners on behalf of Eagle
County, whose mailing address is PO Box 850, Eagle, CO 81631, hereinafter referred to as Licensor, to the Eagle
River Watershed Council Inc., whose mailing address is P.O. Box 7688, Avon, Colorado 81620, hereinafter referred
to as Licensee.
Inconsideration of the mutual promises contained in this authorization, the parties agree that the Eagle
River Watershed Council, Inc. is given license by the Licensor, (adjacent owner to Licensee's Edwards Eagle River
Restoration Project) as follows:
Grant of authorization (license) and description of premises
Licensor hereby grants to Licensee a limited license to come upon and use the following described land:
Eagle County Parcels ID # 194136402005, and # 194136402006.
Limitation to described purpose
The above described land may be come upon and used by Licensee for work performed in conjunction
with the Edwards Eagle River Restoration Project per the attached "June 2008 Site Plan" and chart called
"Construction Activity Categorization for Access and Easement Considerations" only. This parcel will benefit from
Tier Aand/or Tier B activities consisting of the following:
Tier A -installation of permanent features including stream work, as per the attached plans. Licensor
herein agrees that it will not disturb work performed in perpetuity; and will allow Licensee (or its assigns) to
protect restoration work performed.
Tier B -trail work along the river's edge, as per the attached plans. Licensor herein agrees that it will not
disturb work performed in perpetuity; and will allow Licensee (or its assigns) to protect trail work performed.
County records documentation
Licensor asserts that it is record owner of the aforementioned parcel, but that said parcel may be subject
to prior liens and or encumbrances (such as a mortgage) and that should the Licensee request Licensor to execute
an easement in proper format for recording at the Eagle County Clerks & Recorder's office, that Licensor will
execute same, so long as it does not exceed the scope of this authority and that all fees for preparation and
recording will be paid by Licensee.
Responsibility for work performed
Licensee agrees that it will hold harmless Licensor from any claims for damages due to accident or injury
associated with its Edwards Eagle River Restoration Project; be responsible for the work performed; that it will not
damage the Licensor's property; and to the extent Licensor's property is disturbed by the proposed construction
activities in a way not anticipated by the attached construction activity Tiers and plans, Licensee agrees to restore
same to the premises pre- construction state.
Governing law
It is agreed that this authorization shall be governed by, construed, and enforced in accordance with the
laws of the State of Colorado.
Dispute venue
Venue for any action arising out of any dispute pertaining to this Agreement shall be in the State of Colorado 5cn
Judicial District Court in and for Eagle County, Colorado.

Entire agreement
This authorization shall constitute the entire agreement to date between parties and any prior
understanding or representation of any kind preceding the date of this authorization shall not be binding upon
either party except to the extent incorporated and or referenced in this authorization. The "Construction Activity
Categorization for Access and Easement Considerations" chart (also labeled Exhibit "A") and three plan pages
labeled Walsh Environmental and Engineers, LLC "June 2008 Site Plan" (also labeled Exhibit "B") attached are
incorporated by reference herein.
Modification of authorization
Any modification of this authorization or additional obligation assumed by either party in connection with
this authorization shall be binding only if evidenced in writing signed by each party or an authorized representative
of each party.
In witness whereof, Licensor, by duly authorized signer, has caused this authorization to be executed at
the place and on the date indicated below.
