EAGLE COUNTY
AND
ALL VALLEY WOMEN'S CARE
This First Amendment to the Agreement between Eagle County and All Valley Women's Care
dated this ~~'day of July, 2008, is between Eagle County, Colorado ("County") and All Valley
Women's Care ("Contractor").
WITNESSETH:
WHEREAS, on the St" day of February, 2008, the County and Contractor entered into an
agreement for the provision of prenatal health care services to low-income, uninsured individuals
with incomes below 133% of the federal poverty level who are residents of Eagle County
("Agreement"); and
WHEREAS, the County and the Contractor wish to modify the terms of that Agreement.
NOW, THEREFORE, in consideration of the terms and conditions of the original Agreement
and the amendments herein, the sufficiency of which is hereby acknowledged, the County and the
Consultant agree that the terms of the Agreement shall be modified as follows:
1. Section III A, COMPENSATION, shall be amended to read as follows:
Eagle County will reimburse the Contractor $425 per prenatal client (who may be examined by
Contractor between one and twelve times during a pregnancy) and $100 per ultrasound (up to
two ultrasounds per client as is the clinical standard). The maximum amount of payment
under this agreement is $26,250. The contractor will be reimbursed monthly based on the
number of prenatal clients referred for service by the County. Eagle County will pay directly for
routine and authorized lab costs associated with the prenatal care.
2. County and Contractor agree that, except as expressly altered, modified and changed in
this First Amendment, all terms and provisions of the original Agreement shall remain in full
force and effect, and hereby are ratified and confirmed in all respects as of the date hereof.
In Witness Whereof, County and Contractor have executed this First Amendment in triplicate on
the date set forth above. Two counterparts have been delivered to County and one to Contractor.
