GLOBAL SPECTRUM FOR THE PROVISION OF CONSULTING SERVICES
This Consulting Agreement ("Agreement") dated this ~ day of July, 2008, is between the
County of Eagle, State of Colorado, a body corporate and politic, by and through its Board of County
Commissioners ("County"), and Global Spectrum, L.P., a Delaware limited partnership having its
principal place of business in Philadelphia, Pennsylvania, with a mailing address of 3601 South
Broad Street, Philadelphia, PA 19148 ("Consultant").
WHEREAS, County desires to hire a consultant to provide recommendations and services
that will improve the County's event booking operations, marketing operations, staffing and general
fairground operations at the Eagle County Fairgrounds; and
WHEREAS, the Consultant is a consulting firm that has represented that it has extensive
experience in providing such services and is willing to provide the tasks and services described in
Section 1.1. hereunder; and
WHEREAS, County wishes to hire Consultant to perform the tasks associated with such
Consulting Services; and
WHEREAS, County and Consultant intend by this Agreement to set forth the scope of the
responsibilities of the Consultant in connection with the services to be provided and related terms
and conditions to govern the relationship between Consultant and County in connection with the
those services.
NOW, THEREFORE, in consideration of the premises and the mutual covenants and
agreements set forth herein, the parties agree as follows:
1. Services Provided:
1.1 The Consultant agrees to provide the Consulting Services to Eagle County in as set forth
more fully in Exhibit "A" hereto (which the parties acknowledge are generally based on the
terms in Consultant's proposal letters dated January 19, 2008 and April 16, 2008), both of
which are attached hereto and by this reference made part of the agreement as Exhibit "B"
(hereinafter referred to as "Consulting Services"). The Consultant agrees that Consultant
will not enter into any consulting arrangements with third parties that will have a material
negative impact on the provision of the Consulting Services.
1.2 The Consultant will provide the Consulting Services in Eagle, Colorado or elsewhere as may
be mutually agreed. Except as specifically provided in this Agreement, Consultant shall
provide and pay for labor, materials, equipment, transportation, and other services necessary
for proper execution and completion of the Consulting Services.
1.3 Consultant shall supervise and direct the Consulting Services and shall be solely responsible
for coordinating all portions of the Consulting Services.
2. Term of Agreement:
2.1 This Agreement shall commence effective as of July 1, 2008, and unless terminated earlier
pursuant to the terms herein, shall continue in full force and effect until December 31, 2008.
This Agreement shall then automatically renew for one full calendar year, subj ect to Section
4.5 herein, at a fee of Thirty Thousand Dollars ($30,000) for such year, unless otherwise
terminated in accordance with this Agreement. If either party decides not to renew this
Agreement, that party shall provide the other with notice of its intent not to renew at least
thirty (30) days prior to the expiration of its initial term of this Agreement.
2.2 During the renewal term of this Agreement, the County may terminate the Agreement at any
time and for any reason or no reason upon written notice to Contractor specifying the date of
termination, which date shall be not less than thirty (30) days from the date of the notice.
2.3 Contractor may terminate this Agreement by providing thirty (30) days written notice to
County.
2.4 Upon any such early termination, County shall be liable only for Work satisfactorily
completed pursuant the consultant timeline set forth in Exhibit "B". Upon termination,
Contractor shall deliver to County all reports drawings, illustrations, text, data, and other
documents entirely or partially completed for purposes of satisfying its obligations under this
Agreement, together will all materials supplied to Contractor by County. Final payment will
be due within thirty (30) days after Contractor has delivered the last of the documents or
records due the County.
3. Independent Contractor:
3.1 With respect to the provision of the Consulting Services hereunder, Consultant acknowledges
that Consultant is an independent contractor providing Consulting Services to County.
Nothing in this Agreement shall be deemed to make Consultant or its employee or
subcontractor an agent, employee, partner or representative of County. Moreover, this
Agreement creates no entitlement to participate in any of the Employee Benefit Plans of
County including insurance, paid vacation and recognized holidays.
3.2 The Consultant shall not have the authority to, and will not make, any commitments or enter
into any agreement with any party on behalf of County without the written consent of the
County's representative hereunder.
3.3 The Consultant will maintain liability, unemployment and workman's compensation
insurance on its own behalf, as necessary.

4. Remuneration:
4.1 In consideration of its performance of the Consulting Services provided hereunder for year
2008, County shall pay Consultant for the services as outlined in Exhibits "A" and "B" the
aggregate amount of Seventeen Thousand Five Hundred Dollars ($17,500) (to be paid in
equal monthly installments as described below). Consultant shall also be reimbursed for pre-
approvedtravel expenses, including airfare, ground transportation and meals (including any
pre-approved travel conducted prior to the Effective Date in connection with Consultant's
services hereunder). The fee for calendar year 2009 shall be as set forth in Section 2.1 above.
4.2 Consultant shall submit to County a progressive invoice no more than once monthly during
the course of performing the Consulting Services. Such invoices shall describe the particular
tasks performed to date. Upon request, the Consultant shall provide County with such other
supporting information as County may request. The first invoice provided by Consultant
shall cover the period from the effective date through July 31.
4.3 All invoices to County shall reference "Fairground Consulting Project" and shall be delivered
to the Eagle County Communications Department. Proper invoice(s) shall be due and
payable within thirty (30) days of their receipt. All payments by County to the Consultant
pursuant to this Agreement shall be delivered to the Consultant at the address set forth in the
provision on Notices set forth herein.
4.4 County will not withhold any taxes from monies paid to the Consultant hereunder and
Consultant agrees to be solely responsible for the accurate reporting and payment of any
taxes related to payments made pursuant to the terms of this Agreement.
4.5 Notwithstanding anything to the contrary contained in this Agreement, County shall have no
obligations under this Agreement after, nor shall any payments be made to Consultant in
respect of any period after December 31, 2008 without an appropriation therefore by County
in accordance with a budget adopted by the Board of County Commissioners incompliance
with Article 25, Title 30 of the Colorado Revised Statutes, the Local Government Budget
Law (C.R.S. §29-1-101 et.seq.) and the TABOR Amendment (Colorado Constitution, Article
X, Sec. 20).
5. Indemnification:
5.1 Within the limits allowed by law, Consultant shall indemnify County for, and hold and
defend the County and its officials, boards, officers, principals and employees harmless from,
all costs, claims and expenses, including reasonable attorney's fees, arising from claims of
any nature whatsoever made by any person in connection with the acts or omissions of, or
presentations by, the Consultant in the performance of this Agreement. This indemnification
shall not apply to claims by third parties against the County to the extent that the County is
liable to such third party for such claim without regard to the involvement of the Consultant.

6. Consultant's Professional Level of Care:
6.1 Consultant shall be responsible for the completeness and accuracy of the Consulting
Services, including all supporting data and other documents prepared or compiled in
performance of the Services, and shall correct, at its sole expense, all significant errors and
omissions therein. The fact that the County has accepted or approved the Consulting
Services shall not relieve Consultant of any of its responsibilities. Consultant shall perform
the Consulting Services in a skillful, professional and competent manner and in accordance
with the standard of care, skill and diligence applicable to consultants, with respect to similar
services, in this area at this time.

Notices:
Any notice to be given by any party to the other shall be in writing and shall be deemed to
have been duly given if delivered personally, by facsimile transmission or if sent by prepaid
first class mail, and for the purposes aforesaid, the addresses of the parties are as follows

Notices shall be deemed given on the date of delivery; on the date a FAX is transmitted and
confirmed received or, if transmitted after normal business hours, on the next business day
after transmission, provided that a paper copy is mailed the same date; or three days after the
date of deposit, first class postage prepaid, in an official depositary of the U.S. Postal
Service.
8. Jurisdiction and Confidentiality:

8.1 This Agreement shall be interpreted in accordance with the laws of the State of Colorado and
the parties hereby agree to submit to the jurisdiction of the courts thereof. Venue shall be in
the Fifth Judicial District for the State of Colorado.
8.2 The Consultant and County acknowledge that, during the term of this Agreement and in the
course of the Consultant rendering the Consulting Services, the Consultant may acquire
knowledge of the business operations of County to the point that the general method of doing
business, the pricing of products, the lists of customers and other aspects of the business
affairs of County will become generally known and the Consultant shall not disclose, use,
publish or otherwise reveal (except in the course of properly satisfying Consultant's duties
hereunder), either directly or through another, to any person, firm or corporation, any
knowledge, information or facts concerning any of the past or then business operations,
pricing or sales data of County and shall retain all knowledge and information which he has
acquired as the result of this Agreement in trust in a fiduciary capacity for the sole benefit of
County, its successors and assigns during the term of this Agreement, and for a period of five
(5) years following termination of this Agreement.
9. Provision Mandated by House Bi111343: Prohibitions on Public Contracts for Services.
9.1 The Consultant shall not knowingly employ or contract with an illegal alien to perform work
under the public contract for services; or enter into a contract with a subcontractor that fails
to certify to the Consultant that the subcontractor shall not knowingly employ or contract
with an illegal alien to perform work under the public contract for services.
9.2 The Consultant shall verify or attempt to verify through participation in the Basic Pilot
Verification program, as administered by the United States Department of Homeland
Security, that the Consultant does not employ any illegal aliens. If the Consultant is not
accepted into the Basic Pilot Verification Program prior to entering into a public contract for
services, the contractor shall apply to participate in the Program every three months until the
contractor is accepted or the public contract for services has been completed, whichever is
earlier. Information on applying for the Basic Pilot Verification Program can be found at:

9.3 The Consultant shall not use the Basic Pilot Verification Program procedures to undertake
pre-employment screening of job applicants while the public contract for services is being
performed.
9.4 If the Consultant obtains actual knowledge that a Subcontractor performing work under the
public contract for services knowingly employs or contracts with an illegal alien, the
Consultant shall be required to:
Notify the Subcontractor and the County within three days that the Consultant has
actual knowledge that the Subcontractor is employing or contracting with an illegal
alien; and

EXHIBIT A
CONSULTANT'S SCOPE OF SERVICES
Consultant shall complete an operational analysis/overview of the Eagle County Fairgrounds as a
result of its trip to the Fairgrounds on May 12 and 13, 2008. The results of that trip will be used
by Consultant to create a report (the "Report") that provides findings, suggestions and
improvement opportunities in the following areas of the Fairgrounds operation:
(i) Commercial Rights;
(ii) Marketing;
(iii) Public Relations;
(iv) Event Booking;
(v) Operations;
(vi) Finance; and
(vii) Ticketing.
The Report will be delivered to the County on or about the week of June 10, 2008.
From the Report, Consultant will provide assistance to the County in the implementation of those
findings, and on-going support, until the end of the 2008 calendar year on an as-requested/needed
basis. Such assistance and support, as well as elements of the Report, are more fully described as
follows:
Commercial Rights
The Report will outline the available inventory and its value. It will include:
A catalog/evaluation of current sponsors
Discovery of new signage and sponsorship opportunities
Naming rights opportunity evaluation
Support of organizational methods and best practices with regard to servicing and renewing
sponsors
Access to Front Row/Global Spectrum personnel for additional consultation.
Event Booking:
Rick Hontz, Consultant's General Manager at the Budweiser Events Center and Regional VP,
along with John Page, Chief Operating Officer, will assist Eagle County in making contact with
various event promoters and agents for events at the Fairgrounds. Rick will work on behalf of the
County to refer any potential events and help to negotiate competitive deals for the facility. He
will assist in developing a promoters Guide for the facility (but it is NOT a deliverable to be
provided by Consultant)
Marketing and PR:
The Report will provide analysis in the following areas:
Group Sales
Ad Sales
Media Buying
Print, Radio & Television Production
Electronic Media Production
Premium Seating Sales
Graphic Services
Promotions
Staff recruiting &training
Revenue Creation
Database Marketing
Grassroots Marketing
Venue Awareness & Exposure
Community Outreach

Establish Key Media Relationships

Ticket Sales
Marketing consultants will provide on-going assistance to the County to incorporate various
ideas related to Marketing and PR.
Ticketing:
Consultant will assist with and advise the County on ticketing issues, and coordinate the services
of New Era Tickets at Budweiser Events Center to aid Eagle County for the purpose of
improving ticket access for the County Fair and possibly other Fairgrounds events.
Operations:
Global-Spectrum operations consultants will evaluate the current state of employees (ie:
housekeeping, operations and conversions crews) utilities, and daily and event operations with
regard to management at the Fairgrounds. Best practices and recommendations for streamlining
these elements will be shared; Fairgrounds employees will be encouraged to participate in
Global-Spectrum operations calls, and will be given access to other professionals within the
company. Operations will also evaluate the limitations and functionality of existing buildings
and the potential event possibilities for those buildings.
Finance:
Global-Spectrum finance and operations consultants will evaluate the current state of the
Fairground's financial records, event settlements, sponsorship records etc, and will advise on
new organizational systems through which more effective and efficient record keeping may better
emphasize the strengths and weakness in the Fairground's revenue generation.

Consultant Timeline (note: dates are estimates only; Consultant shall not be bound to
perform each individual task by the dates given):
May 12 & 13: Initial Fact-Find Directors Visit
The following Global-Spectrum Directors will visit the Eagle County Fairgrounds for "fact
finding" and information gathering meetings.
General Manager, Budweiser Events Center: Rick Hontz
Discussion of Event Booking & Operations.
Director of Events/ AGM, Budweiser Events Center: Shane Cadwell
Discussion of Event Booking & Operations.
Director of Operations, Budweiser Events Center: Thom Jones
Discussion of Event and Day to Day Operations; and event/part time/ changeover staff
management.
Director of Corporate Sales, Budweiser Events Center: Sonja Schuh
Discussion of current sponsors and identification signage opportunities, potential sponsors and
printing partners.
Director of Marketing, Budweiser Events Center: Lara Toscani
Discussion of current media partners, current annual media agreements and `cattle call' meeting
with local and regional media.
Week of June 10: Finding and Recommendations
Directors will submit their findings, observations, and recommendations to Consultant and the
Fairgrounds with regard to the current status of Corporate Sales, Event Booking, Marketing,
Operations, and Finance. Consultant will review and assessment and offer additional
recommendations and national support.
June 17: Implementation Stage
Directors will make an additional visit for on-site meetings and further questions and
consultation prior to action plan implementation.
Week of July 14:
Necessary Directors will make an additional visit for evaluation of implementation stage;
including: on-site meetings, changeover, new signage placement, and any additional consultation
necessary.
July 26 -August 2: Eagle County Fair
Directors will be made available throughout the week for visits, consultation and assistance in
Corporate Sales, Marketing, Operations, Finance, Ticketing, etc.
Week of August 11: Post Event (Fair) Evaluation Meeting
TBD Directors will meet with Eagle County Fairground Management to recap summer events
and efficiency and effectiveness of implemented strategies. Consultant will continue to make

themselves available to Eagle County on an ongoing consulting until the end of the 2008
calendar year. Consultant will continue to look for potential event opportunities for Eagle
County throughout the year, but are not required to provide and/or book any events under this
Agreement

have addressed all of your specific needs.
We believe Global Spectrum can add immediate value to Eagle County by making available a
variety of services; management, marketing and operational, that would have us actively
supporting the Fairgrounds in the following areas:
• Enhancement of Eagle County Fair and Rodeo
• Event Booking Assistance
• Marketing Assistance (of the Fairgrounds itself, as well as the advertising and promotion
of events)
• Staff Training and Support
Further, based on our significant and effective presence in Larimer County (Budweiser Events
Center), coupled with our corporate support staff nationally, which includes other Comcast-
Spectacor companies (Front Row Marketing Services, New Era Tickets and Ovations Food
Services), we bring the resources, commitment, and "energy" to achieve the results you and the
County expect.
The County would continue to manage the facility and the Fair in its entirety, while still having
access to the network and corporate support of Global Spectrum/Comcast-Spectacor's
operating expertise to maximize utilization of the facilities.
The significant business terms of this Consulting Agreement Proposal are outlined on the following
pages. Further, for your reference, we have also attached a sample Consulting Agreement.

Proposed Consulting Agreement
1. Term
^ February 1, 2008 through December 31, 2008.
^ This Agreement will automatically renew for one (1) full calendar year if the
Fairgrounds does not notify Global Spectrum by November l5r of any contract year
that it will no longer require Global Spectrum's services.
2. Scope of Consulting

^ "Think Tank" session(s) to review all aspects and details of the Eagle County
Fairgrounds and Eagle County Fair and Rodeo.
^ Analysis of the Operational Requirements including but not limited to:
- Show organizer requirements
- Patron services and amenities
- Food, beverage and catering services
- Parking and drop-off
- Traffic management including examining traffic flow to ensure easy
entrance and egress for patrons
- Security services and public safety
- Information technology requirements
- Event staging/set-up requirements
- Utility consumption and control
- Revenue opportunities including signage, food and beverage,
merchandising,
- parking, ticketing
- Community usage expectations
- Operational efficiencies with regard to housekeeping and maintenance
- Communications systems including alarm systems
- Medical/first aid services
- TV/Media broadcasting and facility hook-ups services
BookingBooking Su~~ort
^ Rick Hontz, our General Manager at the Budweiser Events Center and Regional VP,
along with John Page, Chief Operating Officer, will leverage Global Spectrum's
event booking network in making contact with various event promoters and agents
for events at the Fairgrounds. Rick will work on behalf of the County to refer any
potential events and help to negotiate competitive deals for the facility.
Specifically, Rick would assist in securing talent for the annual Eagle County Fair,
saving the County expenses normally paid to booking agencies.
^ Inclusion of Eagle County Fairgrounds staff on our bi-weekly booking calls with all
Global Spectrum General Manager's.

corporate marketing department that support our marketing team in Loveland and
throughout all of our managed venues. We would actively advise and support Eagle

calls among all of our venues share ideas, concepts and techniques to maximize
attendance at events.
3. Project Coordination
What We Will Do Immediately
1. Operational Review as noted above in Scope-of Services (Operations).
2. Make agent, artist and promoter contacts as described above in Booking Support.
3. Assist in evaluating the use of our Comcast relationship related to advertising.
4. Evaluate budget for other revenue enhancing or expense reductions.
5. Evaluate Fair and Non-Fair Sponsor packages for Fair and non-Fair revenues.

6. As needed, Global Spectrum will coordinate the support services of our subsidiary
companies, Front Row Marketing, New Era Tickets and Ovations Food Services. If desired,
these entities can provide separate Proposals to the County for a specific scope of work.
Specifically regarding the sale of commercial rights including naming and pouring rights,
advertising signage, sponsorships, premium seating, memorial gifts and branding
relationships etc, as part of this Proposal, an initial evaluation would be made using our
subsidiary, Front Row Marketing Services.
We would also explore opportunities to utilize the services of our ticketing company, New
Era Tickets. Again, that would be done as part of our initial Proposal, with a further scope
of work possibly defined in a separate agreement.
^ Two Thousand five hundred dollars ($2,500) per month; or Twenty-Seven Thousand Five
Hundred Dollars ($27,500) for 2008; and
^ Thirty Thousand dollars ($30,000) per year for each full contract renewal year
thereafter.

Dear Justin and Laurie,
It was a pleasure to meet with you both last month to discuss growth opportunities for
the Eagle County Fair Grounds and the relationship between Global-Spectrum and
Eagle County. My apologies for the delay in getting this to you, but we wanted to be
sure of our ability to provide the value we discussed.
Listed below are our thoughts in which Global-Spectrum can offer assistance in
generating revenue and decreasing expenses:
Sponsorship: Front Row Marketing
• Front Row Marketing consultants will conduct a Sponsorship and Ad Sales
assessment of the Fairgrounds. This will include acatalog/evaluation of current
sponsors, discovery of new signage and sponsorship opportunities, discussion of
organizational methods and best practices with regard to servicing and
renewing sponsors, and access to all Front Row personnel for additional
consultation.

Event Booking:
• Global-Spectrum will provide name recognition, with artists and other agent
representatives, and use our experience to secure confidence and reputation in
booking shows and special events. Global-Spectrum will also provide leads on
potential events based on experience with other Global-Spectrum facilities;
includes the Budweiser Events Center and Lorimer County Fairgrounds.
o Estimated Revenue Generated: $10,000.00 +
Marketing:
AGlobal-Spectrum marketing consultant will conduct a full market-study to
assess the efficiency of current partners (media and promotional) and research
and develop new promotional contacts. The media "cattle call" meetings will
he be held over the course of two days to evaluate and communicate the level
of promotional support expected and required for involvement with the Eagle
County Fairgrounds and the events there held.
• Marketing consultants will also aggressively approach local and regional sign
companies for more competitive rates and trade (tickets or signage
opportunities) for sponsor sign production.
o Estimated Savings: $15,000.00
Ticketing: New Era Ticketing
• The implementation of the New Era ticketing system and technology will take the
Eagle County Fairgrounds into the next level of professional ticketing and its
capabilities, including: Data capture, naming rights/sponsorship revenue,
collection of additional fees, and 24-hour sales outlets (call centers, on-line
ticketing etc).
o Estimated Revenue Generated: $15,000.00
Operations:
• Global-Spectrum operations consultants will evaluate the current state of
employees (ie: housekeeping, operations and conversions crews) utilities, and
daily and event operations with regard to management at the Eagle County
Fairgrounds. Best practices and recommendations for streamlining these
elements will be shared; Fairgrounds employees will be encouraged to
participate in Global-Spectrum operations calls, and will be given complete
access to other professionals within the company.
o Estimated Savings: To be projected upon site evaluation.
Finance:
• Global-Spectrum finance and operations consultants will evaluate the current
state of the Fairground's financial records, event settlements, sponsorship records
etc, and will advise and implement new organizational systems through which
more effective and efficient record keeping may better emphasize the strengths
and weakness in the Fairground's revenue generation.
o Estimated Value: $7,500.00
As previously stated, this is merely a preliminary estimate of the savings and revenue
generation that you may expect.
We are eager to begin this consulting process in light of your annual Fair event starting
in late July.
Below is a timeline which reflects the consultant process and availability over the next
few months.

• The following Global-Spectrum Directors will visit the Eagle County Fairgrounds for
"fact finding" and information gathering meetings.

• Discussion of current sponsors and identification signage
opportunities, potential sponsors and printing partners.
o Director of Marketing, Budweiser Events Center: Lara Toscani

agreements and `cattle call' meeting with local and regional
media.
Week of May 19: Finding and Recommendations
• Directors will submit their findings, observations, and recommendations to
Global-Spectrum and the Eagle County Fairgrounds with regard to the current
status of Corporate Sales, Event Booking, Marketing, Operations, and Finance.
Global-Spectrum Corp. will review and assessment and offer additional
recommendations and national support.
June 10 or 11: Implementation Stage
• All Directors will make an additional visit for on-site meetings and further
questions and consultation prior to action plan implementation.
Week of July 14:
• Necessary Directors will make an additional visit for evaluation of implementation
stage; including: on-site meetings, changeover, new signage placement, and
any additional consultation necessary.
July 26 -August 2: Eagle County Fair
• All Directors will be made available throughout the week for visits, consultation
and assistance in Corporate Sales, Marketing, Operations, Finance, Ticketing,
etc.
Week of August 11: Post Event Evaluation Meeting
• TBD Directors will meet with Eagle County Fairground Management to recap
summer events and efficiency and effectiveness of implemented strategies.
Please note that the aforementioned visits will include pre-approved expenses incurred
with travel (mileage from Loveland), hotel and meals. We look forward to these future
