SUBLEASE AMENDMENT
THIS SUBLEASE AMENDMENT is made and entered into thisa/ day of ,. ~ ,
2008, between Eagle County, by and through its Board of County Commissio ers (hereinafter
referred to as "County") and Mountain Valley Developmental Services, a Colorado non-profit
corporation (hereinafter referred to as "Sublessee").
County and Sublessee entered into a Sublease Agreement dated November 13, 2007 ("Original
Sublease") in the Edwards Annex Building. The term of the Original Sublease was from
September 1, 2007 though December 31, 2008.
County and Sublessee now desire to make additional space available to Sublessee and revise the
term to coincide with the County's lease of the Property from the Eagle River Water and
Sanitation District.
In consideration of the terms and conditions of the Original Sublease, the sufficiency of which is
hereby acknowledged, and for the additional rental sum as set forth hereunder, County and
Sublessee agree that this Amendment shall replace and supersede those sections of the Original
Sublease as follows:
Article 1-Demise, shall be deleted in its entirety and replaced with the following effective upon
execution of this Amendment:
"l. Demise. County hereby leases to Sublessee a portion of the Property designated as
Room 101, Room 102, and one-half of Room 103 as shown on the map attached hereto as
Exhibit "B" and incorporated by reference (hereinafter "Leased Premises").
Article 2 -Term, shall be deleted in its entirety and replaced with the following effective upon
execution of this Amendment:
"2. Term. The term of this Sublease Agreement shall commence September 1, 2007 and
expire on August 31, 2008. Notwithstanding the aforementioned term, County may
terminate this Sublease Agreement, at any time, with or without cause, upon thirty (30)
days written notice to Sublessee. After the initial lease term, Sublessee may make written
request to Sublessor for a renewal of this Sublease Agreement. Such request shall be made
at least three (3) months prior to the expiration of the current term. Upon expiration of
termination of this Sublease Agreement for any reason, Sublessee shall promptly surrender
possession of the Lease premises to Sublessor."
Article 3 -Rent, shall be deleted in its entirety and replaced with the following effective upon
execution of this Amendment:
" 3. Rent. Sublessee agrees to pay Count as rent for the Leased Premises the sum of $580.81
per month, payable in advance. Sublessee agrees to pay a 28.78% share of all common

area maintenance costs incurred by the County for utilities, cleaning, trash removal, and
general building maintenance."
County and Sublessee agree that, except as expressly altered, modified and changed in this
Amendment, all terms and provisions of the Original Sublease shall remain in full force and
hereby are ratified and confirmed in all respects as of the date hereof.
If any conflict exists between the provisions of this Amendment and the Original Sublease, the
provisions of this Amendment shall control.
This Amendment shall be binding on the parties hereto, their heirs, executors, successors, and
assigns.
