WITNESSFTTi: THAT, in consi~lcrrtion of the mutual promises, covenants and conditions contained herein, the parties hereto agree hereby as follows: 1. SCOPE: The County does hereby agree to perform maintenance services for Lhe Eagle Fire located within the County of Eagle, State of Colorado. Said maintenance services shall be limited to the following unless approved in writing by the County' See allachcd 1GA bate Schedule for Service 2. PEKiUD OT AGREL+'MENT: The term of this agreement shall commence the 17 rH day of March, 2008, shall expire on thel st day of April 2008; however, this Agreement shall automatically renew on an annual basis, each April 13` unless terminated in accordance with tlvs Agreement. 3. xEMUNERATiON: e A. That Eagle Fire agrees to pay the County a rate of ~SS.UU per hour for mechanic's time pertor•rning the above maintenance services. Such rntc is subject tc~ amendment and modification by mutual agreement of the parties upon each renew<<I period or at a time otherwise agtecd to by the parties. Tn the event the county agrees to perform additional services to those outlined in Paragraph 1, the hourly rate shall be negotiated by the Eagle sleet Supervisor prior to the County performing any additional maintenance services. 3-17-08;10:42AM C 970 328 3549 ;# 3 8. The County shall bill the La€lc Firc for maintenance services on the first of every month. Payment by Eagle Fire is due and owing to the County by the 30°1 of the month. Any payments made by Eagle Fire to the county must be made out to the Eagle County Fleet Services Fund. 4. iNDF.MNTFiCAT>(ON/HOLl) HA12:~V1'LL+'SS: To the extent allowed by law Eagle F+i.re shall hold the County hirtrilcss from all claims by Eagle Fire or by third parties asserted against the County arising out of the County's mainl~nance service of F.agle Fire vehicles. 5. MISCFI.irANF.UUS: A. Eagle)~ire recognizes that the County is merely providing a service for Eagle Fire and that County vehicles are the number one priority of the Eagle County Fleet Mechanics. B. Either parry may terminate this Agreement with or without cause upon thirty (30) days' notice in writing to the other party. O .Box 961 Eagle, CO 81631 D. The provisions of this agreement shall extend to and be binding uron the respective parties hereto, their successors and assigns. Notwithstanding the foregoing, financial obligations of Eagle Fire and the County, respectively, payable after the current fiscal year, arc contingent upon funds for the purpusc;s act fort}i in this Agreement being appropriated, budgeted and otherwise made available. F,. No modification or waiver of this Agreement or of any coven:~nt, condition, ur provision herein contained shall be valid unless in writing and duly executed by the party to be charged therewith. F. G. All agreements and covenants herein are severable, and in the event that any of them shall be held invalid by a court of competent jurisdiction, this Agreement shall bc; interpreted as if such invalid agreement or covenant were not containal herein. H. Eagle Fire has represented to the County and, likewise, the t ;aunty h;is represented to Eagle Fire that it possesses the legal ability to enter into this Agreement. !n the event that a court of competent jurisdiction determines that either of the parties hereto did not possess the legal ability to enter info this agreement, this Agreement shall be considered null and void as of the date of such court determination. The shop rate for all other mechanical repairs is $85.00 per hour and is based on actual hours.
