HomeMy WebLinkAboutC08-013PROFESSIONAL SERVICES AND EQUIPMENT PURCHASE AGREEMENT THIS AGREEMENT is made and entered into this 14th day of January, 2008, by and between the Board of County Commissioners, Eagle County, Colorado, hereinafter referred to as "County", and ISC Corporation, aWyoming-based Company, with offices at 8668 Concord Drive Englewood, CO, 80112, hereinafter referred to as "ISC." RECITALS: WHEREAS, County desires to implement a new IP communications system in all County facilities through the procurement of new communications equipment and professional installation and training services; and WHEREAS, ISC is a provider of advanced technology solutions, and a distributor of Cisco Unified Communications infrastructure and equipment, who specializes in design, development, installation, training for use of, and ongoing management of those solutions for governmental entities; and WHEREAS, County wishes to purchase certain Cisco Unified Communications equipment from ISC as provided in Exhibit "A" attached hereto and incorporated herein by this reference ("Equipment") and to hire ISC to perform the installation and training tasks associated with the provision of Equipment and professional services; and WHEREAS, County and Consultant intend by this Agreement to set forth the scope of the responsibilities ofISC in connection with its sale of Equipment, the provision of services under this agreement, as well as related terms and conditions to govern the relationship between ISC and County in connection with the Equipment and professional services to be provided. NOW, THEREFORE, in consideration of the premises and the mutual covenants and agreements set forth herein, the parties agree as follows: Agreement THEREFORE, based upon the representations byISC set forth in the foregoing recitals, for good and valuable consideration, including the promises set forth herein, the parties agree to the following: 1. Services and Equipment Provided: ISC agrees to provide the Equipment, infrastructure and services as set forth in ISC's Statement of Work for Eagle County, attached hereto as Exhibit "A" and by this reference made part of the agreement ("Provision of Equipment and Services"). ISC agrees that Consultant will not enter into any consulting arrangements with third parties that will conflict in any manner with the Provision of Equipment and Services under this Agreement. 2. Term of Agreement: 2.1 This Agreement shall commence upon execution of the Agreement and, subject to the provisions of Section 2.2 hereof, shall conclude upon complete delivery of all Equipment described in Exhibit "A" and completion of all installation and training services described in Exhibit "A," at which point County will have a fully integrated, converged Cisco IP Telephony solution at the following locations: (1) 500 Broadway; (2) County's El Jebel offices; (3) County's Road & BridgelECO Building; and (4) The Eagle County Justice Center. Eagle County Government will also have received the required Equipment and knowledge to independently migrate their remaining 8 sites to the Cisco IP Telephony solution. ISC will not be responsible for Equipment configuration of the remaining 8 sites or functionality of equipment at these facilities. In the event that ISC engineering services are required to implement equipment and configurations at the remaining 8 sites, ISC will consider this additional work a change order and will follow the procedure for change orders, as outlined in Exhibit "A." Payment for the Provision of Equipment and Services shall be due as provided herein by Section 4. 2.2 This Agreement may be terminated at any time, in whole or in part as determined by County in its sole discretion. County may terminate this agreement for any reason, with or without cause, and without penalty whatsoever therefore. Such termination will be accomplished by delivery of a Notice of Termination to ISC, specifying the extent to which performance of the services under this Agreement shall be terminated and the date upon which such termination date shall become effective. 2.3 In the event of County's termination of this Agreement, ISC shall be compensated for all Equipment delivered and hours of work then completed, plus approved expenses. If contract is terminated after initial service payment by Eagle County, ISC will work with Eagle County Government to mutually determine the percentage of total project completion (based on 100% completion equaling $113,611.31) and adjust invoicing appropriately. In the event the County paid for services not yet completed, ISC shall promptly return any unexpended funds to County 3. Independent Contractor: 3.1 With respect to the Provision of Equipment and Services hereunder, ISC acknowledges that ISC is an independent contractor providing services to County. Nothing in this Agreement shall be deemed to make ISC an agent, employee, partner or representative of County. Moreover, this Agreement creates no entitlement to participate in any of the Employee Benefit Plans of County including insurance, paid vacation and recognized holidays. 2 3.2 ISC shall not have the authority to, and will not make any commitments or enter into any agreement with any party on behalf of County without the written consent of a senior management representative of County. 4. Remuneration: 4.1 Unless authorized in writing by County, total compensation, including expenses, under this Agreement shall not exceed SEVEN HUNDRED FIFTY FIVE THOUSAND, THREE HUNDRED FORTY THREE DOLLARS AND TWENTY NINE CENTS ($755,343.29), as set forth in Exhibit "A," which is attached hereto and by this reference made part of this agreement. ISC acknowledges that County is limited by this sum for the entire project. (a) The total cost for purchase of Equipment under this agreement shall not exceed SIX HUNDRED FORTY ONE THOUSAND, SEVEN HUNDRED THIRTY ONE DOLLARS AND NINETY EIGHT CENTS ($641,731.98). Payment for the hardware component of this agreement shall not become due and owing until all of the hardware materials, as detailed in Section 12 of Exhibit "A" have been delivered and received by County. County will pay ISC for the hardware component of this Agreement within thirty (30) days of County's receipt of a proper and accurate invoice from ISC setting forth a description of each material delivered and received. (b) The total cost for professional services to be provided under this agreement shall not exceed ONE HUNDRED THIRTEEN THOUSAND, SIX HUNDRED ELEVEN DOLLARS AND THIRTY ONE CENTS ($113,611.31). Payment for the professional service component of this Agreement will be made in two separate installments. The first half of the professional service fee will be due at the beginning of the project and shall be made within thirty (30) days of receipt of a proper and accurate invoice from ISC describing the services to be provided during the invoiced period. The second professional services payment will be due at the completion of the implementation project, at which point County will have a fully integrated and operational converged Cisco IP Telephony communication system in all County facilities that will be supportable internally through County's technical staff, and will be paid within thirty (30) days of receipt of a proper and accurate invoice from ISC describing the services that were provided during the invoiced period. Upon request, ISC shall provide County with such other supporting information as County may request. 4.2 Travel expenses will be paid on a per diem basis in the amount of $150 per ISC engineer performing services at an Eagle County location under this Agreement. 4.3 County will not withhold any taxes from monies paid to the ISC hereunder and ISC agrees to be solely responsible for the accurate reporting and payment of any taxes related to payments made pursuant to the terms of this Agreement. 5. Indemnification: 3 5.1 Within the limits allowed by law, ISC shall indemnify County for, and hold and defend the County and its officials, boards, officers, principals and employees harmless from, all costs, claims and expenses, including reasonable attorney's fees, arising from claims of any nature whatsoever made by any person in connection with the acts or omissions of, or presentations by, the ISC in the performance of this Agreement. This indemnification shall not apply to claims by third parties against the County to the extent that the County is liable to such third party for such claim without regard to the involvement of the ISC. 5.2 Notwithstanding anything to the contrary contained in this Agreement, no charges shall be made to the County nor shall any payment be made to the ISC in excess of the amount for any work done without the written approval in accordance with a budget adopted by the Board of County Commissioners in accordance with provisions of the Colorado Revised Statutes. Moreover, the parties agree that the County is a governmental entity and that all obligations beyond the current fiscal year are subject to funds being budgeted and appropriated. 6. ISC's Professional Level of Care: 6.1 ISC shall be responsible for the completeness and accuracy of the professional services to be provided under this agreement, including all supporting data and other documents prepared or compiled in performance of the Services, and shall correct, at its sole expense, all significant errors and omissions therein. The fact that the County has accepted or approved the professional services shall not relieve ISC of any of its responsibilities as they pertain to original implementation or configuration. ISC will not be held responsible for changes made by non-ISC personnel that negatively impact the functionality of the system. ISC shall perform the professional services in a skillful, professional and competent manner and in accordance with the standard of care, skill and diligence applicable to specialists, with respect to similar services, in this area at this time. 7. Notices: 7.1 Any notice to be given by any party to the other shall be in writing and shall be deemed to have been duly given if delivered personally, by facsimile transmission or if sent by prepaid first class mail, and for the purposes aforesaid, the addresses of the parties are as follows: (a) Scott Lingle Eagle County Information and Technology Department 500 Broadway P.O. Jurisdiction and Confidentiality: 8.1 This Agreement shall be interpreted in accordance with the laws of the State of Colorado and the parties hereby agree to submit to the jurisdiction of the courts thereof. Venue shall be in the Fifth Judicial District for the State of Colorado. 8.2 ISC and County acknowledge that, during the term of this Agreement and in the course of the ISC rendering the professional services under this Agreement, ISC may acquire knowledge of the business operations of County to the point that the general method of doing business, the pricing of products, the lists of customers and other aspects of the business affairs of County will become generally known and the ISC shall not disclose, use, publish or otherwise reveal, either directly or through another, to any person, firm or corporation, any knowledge, information or facts concerning any of the past or then business operations, pricing or sales data of County and shall retain all knowledge and information which he has acquired as the result of this Agreement in trust in a fiduciary capacity for the sole benefit of County, its successors and assigns during the term of this Agreement, and for a period of five (5) years following termination of this Agreement. 9 Insurance: 9.1 At all times during the term of this Agreement, ISC shall maintain professional liability insurance with a minimum coverage limit of $1,000,000. 9.2 ISC will maintain general liability, unemployment and workman's compensation insurance on its own behalf, as necessary. 9.3 All insurance required hereby shall be issued by an insurance company or companies authorized to do business in the State of Colorado. 10. Provision Mandated by C.R.S. § 8-17.5-102: Prohibitions on Public Contract for Services: 5 10.1 ISC shall not knowingly employ or contract with an illegal alien to perform work under the public contract for services; or enter into a contract with a subcontractor that fails to certify to ISC that the subcontractor shall not knowingly employ or contract with an illegal alien to perform work under the public contract for services. 10.2 ISC shall verify or attempt to verify through participation in the Basic Pilot Verification program, as administered by the United States Department of Homeland Security, that ISC does not employ any illegal aliens. If ISC is not accepted into the Basic Pilot Verification Program prior to entering into a public contract for services, ISC shall apply to participate in the Program every three months until ISC is accepted or the public contract for services has been completed, whichever is earlier. Information on applying for the Basic Pilot Verification Program can be found at: hops://www.vis-dhs.com\emplo~gistration 10.3 ISC shall not use the Basic Pilot Verification Program procedures to undertake pre- employment screening of job applicants while the public contract for services is being performed. 10.4 If ISC obtains actual knowledge that a Subcontractor performing work under the public contract for services knowingly employs or contracts with an illegal alien, ISC shall be required to: i. Notify the Subcontractor and the County within three days that ISC has actual knowledge that the Subcontractor is employing or contracting with an illegal alien; and ii. Terminate the Subcontract with the Subcontractor if within three days of receiving the notice required pursuant to subparagraph (i) of the paragraph (d) the Subcontractor does not stop employing or contracting with the illegal alien; except that ISC shall not terminate the contract with the Subcontractor if during such three days the Subcontractor provides information to establish that the Subcontractor has not knowingly employed or contracted with an illegal alien. 10.5 ISC shall comply with any reasonable request by the Department of Labor and Employment made in the course of an investigation that the department is undertaking pursuant to its authority. 10.6 If ISC violates these prohibitions, the County may terminate the contract for a breach of the contract. If the contract is terminated specifically for a breach of this Section 10, ISC shall be liable for actual and consequential damages to the County. 11. Miscellaneous: ll.l This Agreement constitutes the entire Agreement between the parties related to its 6 subject matter. It supersedes all prior proposals, agreements and understandings. 11.2 The parties to this Agreement recognize that the services to be provided pursuant to this Agreement are professional in nature and that in entering into the Agreement, County is relying upon the professional services and reputation of ISC. Therefore, this Agreement is personal to the ISC and may not be assigned by ISC. 11.3 This Agreement does not and shall not be deemed to confer upon or grant to any third party any right enforceable at law or equity arising out of any term, covenant, or condition herein or the breach thereof. 114. If any portion of this Agreement is held invalid or unenforceable for any reason by a court of competent jurisdiction, such portion shall be deemed severable and its invalidity or its unenforceabilityshali not affect the remaining provisions; such remaining provision shall be fully severable and this Agreement shall be construed and enforced as if such invalid provision had never been inserted into this Agreement. 11.5 This Agreement may be amended, modified, changed, or terminated in whole or in part only by written agreement duly authorized and executed by both County and ISC. This Agreement represents the full and complete understanding of County and ISC and supersedes any prior agreements, discussions, negotiations, representations or understandings of County and ISC with respect to the subject matter contained herein. 11.6 If any conflict exists between the provisions of this Agreement and Exhibit "A", the provisions of this Agreement shall control. 11.7 All documents (including electronic files) which are obtained during or prepared, partially or wholly, in the performance of the professional service under this agreement are instruments of professional service and shall be delivered to County upon completion of the Provision of Equipment and Services or termination of this Agreement, and in any event, before fmal payment of moneys due to ISC and shall at all times be deemed the property of County, whether or not the professional services under this Agreement are completed. 7 IN WITNESS WHEREOF, the parties hereto have executed this Agreement the day and year first above written. Eagle County Government is in the process of implementing a new IP Communications System in its facilities located throughout the County. The purpose of this project is to deploy a Cisco Unified Communications infrastructure throughout Eagle County Government. This deployment will replace the existing PBX / Voicemail system as well as all the physical phone handsets throughout the County's network. This Statement of Work will cover all tasks and related issues to complete this IP Communications implementation for Eagle County Government. The Eagle County Government implementation will take place over the course of several phases which will be discussed in greater detail in the project scope section of this Statement of Work. This phased approach will give ISC and Eagle County the ability to migrate to Unified Communications in a timely and systematic fashion. This Statement of Work will discuss the implementation plan for the IP Communications infrastructure. As part of the phased project, ISC has agreed to configure the core location at 500 Broadway as well as three remote locations at El Jebel, Road and Bridge / ECO Building offices in Gypsum, and The Eagle County Justice Center. Eagle County Government will be responsible for deploying the remaining eight (8) sites of this project. The goal is to provide the appropriate amount of engineering knowledge transfer to enable Eagle County IT staff to successfully deploy the remaining sites. ISC will also assist Eagle County Government with the migration plan and configuration for the move to the Unified Communications infrastructure. This will include IP Address schemes, naming conventions, and security configuration for the new equipment as well as recommendations surrounding changes to the County's existing networking equipment in relation to this project. 1.2 End State At the end of this project, Eagle County Government will receive a fully integrated, converged Cisco lP Telephony solution at 500 Broadway, the El Jebel offices, Road & Bridge / ECO Building, and The Eagle County Justice Center. Eagle County Government will also receive the required equipment and knowledge to independently migrate their remaining eight (8) sites to the Cisco IP Telephony solution. The end solution will provide a secure business class VoIP infrastructure that will allow Eagle County Government to streamline their business practices, increase manageability, and lower overall costs. The equipment will be further sub-divided based on site requirements in the project scope section of this Statement of Work. In addition, the equipment will be shipped to the appropriate Eagle County Government location in Eagle, CO. The ISC engineering team will work with Eagle County Government to identify the correct configuration parameters for the new IP Communications infrastructure. These features will be a combination of features from the existing PBX as well a new configuration parameters presented as part of the new technology platform. Aforementioned features will include, but not be limited to, the following: o Dialing /Numbering Plan. o Music on Hold Requirements o Call Transfer o Call Forwarding o Call Park o Secondary Dial Tone o Busy Tnneout o Ringing Timeouts o Speed Dials o Called Name and Directory Number Display o Call Pick-Up Groups o Intercom /Paging o Emergency 911 Call Handling o Call Blocking & Class of Service Restrictions o Voicemaillntegration o SRST o Emergency Responder -Physical Location Information o IPsession Recording Options IP Communicatlons Statement of Work for Eagle County Govemment - Exhibit A 4 ISC Proprietary and Confldentlal Informatlon This informatlon is not to be shared with any party outside Eagle County Govemment or ISC without prior written approval from ISC. ~~ Aletworking the Rockies 2.0 Project Management 2.1 Overview ISC will assign a qualified Project Manager (PM) who will be responsible for overseeing Eagle County's IP Communications project. ISC's PM will oversee for all management and project coordination to ensure timelines and requirements are communicated, agreed upon, and complied with. The ISC PM shall identify any issues needing resolution and will work with the client to verify milestone dates essential to meet required in-service dates. The PM will work with Eagle County to clearly define project requirements, plan the project's successful completion, and implement the project. A roadmap or plan to meet the mutually agreed upon objectives will be developed To facilitate the management of this project, Eagle County shall designate an individual to serve as the primary point-of-contact for the project, having the authority to make decisions about project issues and system operations. The ISC PM will conduct a formal project kick-off meeting inviting all major project stakeholders. Prior to this meeting, the PM will confirm Eagle County's business goals and acceptance criteria for this integration project, create the Project Plan, and obtain stakeholder agreement for the provisions of the Project Plan. [SC's approach to managing this project relies on open communication between all involved parties. Once the Project Plan has been established, the ISC PM will be responsible for communication to all team members and for managing project execution against agreed plan. The PM will also monitor the client's satisfaction regarding activities throughout the entire project, confirming acceptance at various points. 2.2 Project Control The ISC PM shall be responsible for the management of the project based on a mutually agreed upon plan and change control process. 2.3 Change Management In the event that it may become necessary to amend this Statement of Work, the following change management process shall apply. 2.3.1 Types of Change Changes to the project may be made for reasons including, but not limited to, the following: Scope of work • Specifications of the deliverables • Non-functioning or non-availability of materials beyond either party's control • Non availability of resources beyond either party's control IP Communications Statement of Work for Eagle County Govemment - Exhibit A 5 ISC Proprietary and Confidential Information This information is not to be shared with any party outside Eagle County Govemment or ISC without prior written approval from ISC. Networking the Rockies Environmental or architectural impediments not previously identified 2.3.2 Change Initiation Either Eagle County or ISC may initiate a change by completing the project's Change Request Form and submitting the completed form to the ISC PM. 3.0 Training 3.1 System Administration Knowledge Transfer Knowledge transfer will occur throughout the implementation phase and Eagle County Government's staff is encouraged to participate as much as possible to maximize learning opportunities. The actual Administrator Training is typically conducted at the end of the implementation phase and typically involves walking the customer through daily tasks and procedures and explaining many of the common features of the system. This training is not formal classroom based training, but rather an overview of administration of the system. ISC will provide Knowledge Transfer and Administrator Training of up to eight (8) hours on the new system with Eagle County Government's assigned Administrator(s) at the end of the project on an `as built' basis. Eagle County Government can request additional Training on a Time & Materials basis. The goal of the Knowledge Transfer and Administrator training is to provide Eagle County Government the required skills to perform daily administrative tasks. If a more detailed understanding of any IP Communications application or network infrastructure component is needed, ISC recommends that Eagle County Govemtment Investigate sending staff members to in-depth off-site training. 3.2 End User IP Phone Training End user training will be conducted in a setting by ISC training personnel. Classroom Training is typically performed in a hands on fashion utilizing the end users actual phone. • Includes up to 20 students (County Employees) for one hour long training sessions, five sessions per day for up to five days. Eagle County Government will be responsible for providing a training facility, and ISC will be responsible for ensuring proper configuration of the IP Phones and switches. In addition to the direct end user training, ISC will also manage a train the trainer program. This will be provided to ensure that a few key employees from the County can act as Subject Matter Experts (SMEs) on the new phones. SMEs will facilitate cascading knowledge out to their respective departments. Networking the Rockies Train the trainer (key liaisons) • Includes 4 sessions and will last for 2 days at Eagle County Government's facility. 4.0 Project Scope 4.1 Implementation Services As part of this deployment service, ISC will accomplish the following required tasks to complete Eagle County Government's IP Communications implementation at the four locations defined in the scope: Eagle County Government, Eagle, CO: Site 1:500 Broadwav Core Location ISC will perform the following tasks to complete Eagle County Government's Redundant Core switch implementation. This project will precede the planned Voice Project and will ensure that the county has Five-Nine's reliability throughout the core of the network. This 6500 switch will augment the existing 6509 core switch. The new dual switch platform will leverage lOgig connectivity and Virtual Switching System (VSS) connectivity. (A VSS is network system virtualization technology that pools multiple Cisco Catalyst 6500 Series Switches into one virtual switch, increasing operational efficiency, boosting nonstop communications, and scaling system bandwidth capacity to 1.4 Tbps. At the initial phase, a VSS will allow two physical Cisco Catalyst 6500 Series Switches to operate as a single logical virtual switch called a virtual switching system 1440.) ISC will unpack and install in rack. Power receptacles and rack will be provided by Eagle County Government. The proposed design for the second 6509 Design would be to provide a redundant core system for Data Center. ISC will assist in installing new WS- S720-1OG-3C supervisor engines within the existing chassis and the new 6500 chassis. ISC will also install new 67XX fiber and 10/100/1000 blades in both the chassis. These two chassis will be dual homed to the existing server farm and eleven (11) IDF Closets. ISC will develop a VSS dual switch configuration. This will be developed with the help of ISC Project Engineering and Eagle County Engineering resources. In addition to the Core Network Configuration, ISC will assist in the configuration and deployment of Eleven (11) Cisco 3560 switches throughout the 500 Broadway location. These switches will replace the existing closet switches and will be configured with similar IP Addresses and Spanning Tree information. In addition to the current configurations, ISC will work with Eagle County Government to develop the appropriate Quality of Service parameters. The aforementioned switches will be franked to the core network via both fiber and copper connections. Upon making such a determination, the ISC engineer will completely document the reasoning behind this determination, and the ISC engineer will present this determination to the Eagle County Government for its review. Upon the Eagle County Government's acceptance of the ISC engineer's determination, the ISC engineer will coordinate the re-configuration of said network infrastructure component. • Additional charges to Eagle County Government will apply for items not specifically provided for in this proposal. Anything required by Eagle County Government outside of the scope of this document must be requested in writing. Fees and timeline adjustments, if any, will be assessed in writing by ISC and the project scope will be modified accordingly by ISC. • ISC is not responsible for the performance or quality of third-party vendors not brought in by ISC. If these vendors affect the project time line, additional fees might be assessed to Eagle County Government. • If the project extends beyond the mutually agreed upon timeline due to delays caused by parties other than ISC, additional charges will be provided to Eagle County Government for acceptance and payment. • ISC will NOT be responsible for any engineering changes on any component of Eagle County Government's entire infrastructure, including any installation or configuration changes, made by Eagle County Government staff or other vendors after project completion. ISC will NOT provide as-configured documentation for hardware or software that is not a part of this project, or any hardware and software configured prior to the start of this project. The ISC provided documentation may include vendor system guides and customized system documents as appropriate for the customer's configuration. • All documentation, whether from the vendor or customized by ISC, will be distributed to the customer in electronics format. This is typically a .PDF file in the Adobe format (a free PDF viewer can be obtained at http://www.adobe.cotnn. Other formats such as Microsoft Word or Excel may be used as appropriate. The typical distribution is through FedEx. 7.0 Project Schedule The Project Schedule will be developed and mutually agreed upon by representatives of ISC and Eagle County Government after contract signing. All Services and meetings, unless otherwise agreed upon by both ISC and Eagle County Government, will be performed during normal business hours (8 A.M. to 5 P.M. Local Time), Monday-Friday. ISC can accommodate requests to work after-hours. S.0 Project Pricing & Terms Note: Eagle County Professional Services and Equipment Purchase Agreement is the governing document for Pricing & Terms. This form will be distributed to all parties during the project kick-off meeting. A change request will include the reason for the requested change, a specific description of the change, and the anticipated impact on the project schedule, deliverables, approach, and pricing. Either party may request a change in scope. ISC will not undertake any changes in scope until the change has been documented, priced, and agreed to by Eagle County Government and ISC. As part of the change control process, a determination will be made as to the impact of the change on the project's budget and schedule. All changes, even those that do not alter the original price, will be documented before being implemented. ISC will assign a single point of contact for change orders. Eagle County Government will designate a single point of contact in conjunction with the acceptance of this proposal. Change orders will be assessed as a per project basis and be billed accordingly. Change order project pricing will be performed at a not to exceed pricing. 10.0 Project Acceptance Upon receipt of the as-configured documentation, Eagle County Government shall have ten (10) business days to review and request changes, if any, and provide written acceptance of the recommendations.
