THIS Third Amendment is made and entered into this 14th day of December, 2007 between the
Board of County Commissioners, County of Eagle, State of Colorado, (hereinafter referred to as
"County") and Legacy Communications, Inc. (hereinafter referred to as "Legacy").
County and Legacy entered into an Agreement dated January 1, 2004 ("Original Agreement") for
the professional repair and maintenance of the County's 800 MHz Smartzone Communications
System.
County and Legacy entered into a First Amendment dated February 17, 2004 ("First
Amendment") to extend the Scope of the Work under the Original Agreement to include annual
preventative maintenance on all portable, mobile, base station and console equipment.
County and Legacy entered into a Second Amendment dated January 16, 2006 ("Second
Amendment") to add an additional year to the term that was to expire on December 31, 2006
(Original Agreement, First Amendment, and Second Amendment collectively referred to as
"Contrast Documents").
County and Legacy now desire to extend the Scope of the Work under the Contract Documents
to include an additional year to the term set to expire December 31, 2007.
In consideration of the terms and conditions of the Contract Documents, the sufficiency of which
is hereby acknowledged, County and Legacy agree that the following shall replace and supersede
the section of the Original Agreement as stated hereunder.
ARTICLE 2 -Time of Performance, shall be deleted in its entirety and replaced with the
following effective January 1, 2008:
" 2. Time of Performance:
Legacy shall begin the services to be performed under this Agreement upon an executed contract
by the County. The term of this Agreement shall be through September 30, 2008 unless
otherwise •terminated sooner as provided herein."
County and Legacy agree that, except as expressly altered, modified and changed in this Third
Amendment, all terms and provisions of the Contract Documents shall remain in full force and
effect, and are hereby ratified and confirmed in all respects as of the date hereof.
If any conflict exists between the provisions of this Third Amendment and the Contract
Documents, the provisions of this Third Amendment shall control.

This Third Amendment shall be binding on the parties hereto, their heirs, executors, successors,
and assigns.
IN WITNESS WHEREOF, the parties have executed this Third Amendment on the day and year
first above written.
