HomeMy WebLinkAboutC07-228 GoGo CreativePROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT is made and entered into this 1-�W day of gz, 2007, by and between the Board of County Commissioners, Eagle County, Colorado, CereAfter referred to as "County", and GoGo Creative, an Austin, Texas Company, with mailing address at P.O. Box 50174 Austin, TX 78763, hereinafter referred to as "Consultant." RECITALS: WHEREAS, County desires to create a new image for Eagle County so as to highlight its strengths and appeal as a community, and to build community awareness by creating a community brand that will resonate with the values of the residents and the community as a whole; and WHEREAS, County desires to communicate the fact that Eagle County is a great place to live, work and play and to improve the County's strong economic development image, attract strong business development and grow the commercial tax base for the community; and WHEREAS, the Consultant is full service design firm that has experience with re- branding cities and counties, and is willing to provide the services described and set forth more fully in Exhibit "A," attached hereto and incorporated herein by this reference (hereinafter the "Consulting Services"); and WHEREAS, County wishes to hire Consultant to perform the tasks associated with such Consulting Services; and WHEREAS, County and Consultant intend by this Agreement to set forth the scope of the responsibilities of the Consultant in connection with the Consulting Services and related terms and conditions to govern the relationship between Consultant and County in connection with the Consulting Services. NOW, THEREFORE, in consideration of the premises and the mutual covenants and agreements set forth herein, the parties agree as follows: I. FORM OF AGREEMENT This Agreement shall consist of the terms and conditions stated in the following numbered paragraphs. No other documentation related to this Agreement or generated as a result of this Agreement shall form a part of this Agreement unless it is expressly referenced and incorporated herein. II. SERVICES TO BE PERFORMED The Consultant agrees to provide the Consulting Services to Eagle County in as set forth more fully in Exhibit "A," attached hereto and by this reference made part of the agreement. The Consultant agrees that Consultant will not 1 enter into any consulting arrangements with third parties that will conflict in any unreasonable manner with the Consulting Services. III. GENERAL CONDITIONS: 1. Consultant shall provide and pay for labor, materials, equipment, tools, utilities, permits, licenses, transportation, and other facilities and services necessary for proper execution and completion of the Consulting Services. 2. Consultant shall be responsible for having taken steps reasonably necessary to ascertain the nature and scope of the services to be performed, and the general and local conditions which can affect the Consulting Services or the cost thereof. Any failure by Consultant to do so will not relieve it from responsibility for successfully performing the services to be performed without additional expense to the County. County assumes no responsibility for any understanding or representations concerning conditions made by any of its officers, employees or agents prior to the execution of this Agreement, unless such understanding or representations are expressly stated in the Agreement. 3. Consultant shall supervise and direct the Consulting Services and shall be solely responsible for coordinating all portions of the Consulting Services. 4. This Agreement shall commence upon execution of this Agreement by both parties, unless terminated earlier pursuant to Section III (5), and shall continue in full force and effect until all tasks and phases detailed in the Scope of Work have been completed. 5. County may terminate this Agreement at any time and for any reason or no reason upon written notice to Consultant specifying the date of termination, which date shall be not less than ten (10) days from the date of the notice. In the event Consultant files for bankruptcy or is declared bankrupt or dissolves, County may declare in writing that this Agreement is terminated, and all rights of Consultant and obligations of County, except for payment of accrued but unpaid fees and expenses, shall terminate immediately. 6. In the event of any termination of this Agreement, Consultant shall be compensated for all hours of work then completed, plus approved expenses. IV. SCOPE OF WORK: The parties hereto agree that the scope of the Consulting Services are fully defined in Exhibit A, attached hereto and incorporated herein by reference, and not anticipated to change. If the Consultant believes that the services to be performed have changed, the Consultant shall immediately notify County of such belief and shall provide a statement of the maximum additional charges for such additional services. The Consultant shall not be entitled to be paid for any such services unless and until County agrees in writing pursuant to Section VIII hereunder. V. OWNERSHIP OF DOCUMENTS AND DELIVERABLES SCHEDULE: All documents (including electronic files), which are obtained or prepared in the performance 2 of the Consulting Services are and shall remain the property of County. Such documents shall be delivered to County before final payment or upon the earlier termination of this Agreement. VI. PROJECT MANAGEMENT: Lisa Mac, Senior Project Manager/Creative Art Director, shall be the Consultant's Project Manager for this assignment. Justin Finestone, Director of the Eagle County Communication Department, is designated as County's Project Manager. All correspondence between the parties hereto regarding this project shall be between and among the Project Managers. VII. NOTICES Notice concerning termination of this Agreement, notice of alleged or actual violation of the terms or provisions of this Agreement, and other notices shall be provided to the parties at the following addresses: If to County: Eagle County Government Attn: Justin Finestone 500 Broadway P.O. Box 50174 Austin, Texas 78763 512.480.0881 (Tel) 512.480.0259 (Fax) Said notices shall be delivered via fax or by pre -paid U.S. Mail and shall be deemed effective three (3) days after deposit with the U.S. Postal Service. The parties may from time to time designate substitute addresses or persons where and to whom such notices are to be mailed or delivered but such substitutions shall be effective until actual receipt of written notification. VIII. CHANGE ORDERS: After execution of the Agreement, major changes in the Consulting Services may be accomplished by Change Order. I. A Change Order shall be a written order to the Consultant signed by County to change the Work. County's Project Manager shall be County's authorized representative to sign Change Orders. 2. Consultant shall carry out such written orders promptly. IX. CONSULTANT'S OBLIGATIONS: I. Consultant shall be responsible for the completeness and accuracy of the Consulting Services, including all supporting data and other documents prepared or compiled in performance of the Services, and shall correct, at its sole expense, all significant errors and omissions therein. The fact that the County has accepted or approved some Consulting Service tasks as shown in Exhibit "A" shall not 3 relieve Consultant of any of its responsibilities with regard to other tasks in Exhibit "A." Consultant shall perform the Consulting Services in a skillful, professional and competent manner and in accordance with the standard of care, skill and diligence applicable to consultants, with respect to similar services, in this area at this time. 2. If Consultant fails to correct an error or omission in its performance under this Agreement, the County may direct the Consultant to stop performance under the Agreement until the correction is made. 3. If Consultant defaults or neglects to carry out the Consulting Services in accord with the Agreement and fails within a seven (7) day period after receipt of written notice from County to correct such default or neglect with diligence and promptness, County may, without prejudice to other remedies, correct such deficiencies. In such case, the Agreement may be terminated by County or a Change Order shall be issued deducting the cost of correction from payments due the Consultant. 4. Consultant shall promptly correct Services to be Performed timely rejected by County as failing to conform to the requirements of the Agreement and Consultant shall bear the cost of correcting such rejected Services to be Performed. X. PAYMENT: 1. In consideration of its performance of the Services provided hereunder, County shall pay Consultant for the services as outlined in Exhibit "A," in an amount not to exceed $36,500.00. 2. Consultant shall submit to County a progressive invoice no more than once monthly during the course of performing the Consulting Services. Such invoices shall describe the particular tasks performed to date. Upon request, the Consultant shall provide County with such other supporting information as County may request. 3. Consultant shall maintain comprehensive, complete and accurate records and accounts of its performance relating to this Agreement for a period of three (3) years following final payment hereunder. 4. All invoices to County shall reference "County Rebranding Project" and shall be delivered to Justin Finestone. Proper invoice(s) shall be due and payable within thirty (30) days of their receipt. All payments by County to the Consultant pursuant to this Agreement shall be delivered to the Consultant at the address set forth in the provision on Notices set forth herein. 5. No travel expenses are anticipated or will be paid for. 0 6. County will not withhold any taxes from monies paid to the Consultant hereunder and Consultant agrees to be solely responsible for the accurate reporting and payment of any taxes related to payments made pursuant to the terms of this Agreement. 7. Notwithstanding anything to the contrary contained in this Agreement, County shall have no obligations under this Agreement after, nor shall any payments be made to Consultant in respect of any period after December 31, 2007 without an appropriation therefore by County in accordance with a budget adopted by the Board of County Commissioners in compliance with Article 25, Title 30 of the Colorado Revised Statutes, the Local Government Budget Law (C.R.S. §29-1-101 et.seq.) and the TABOR Amendment (Colorado Constitution, Article X, Sec. 20). 8. If County causes the delay that prevents the Consulting Services completed prior to December 31, 2007, the parties agree that the term of the agreement may be extended beyond December 31, 2007, so long as funds are so budgeted and appropriated. Nothing shall prevent Consultant from being paid for services satisfactorily completed prior to that time. XI. TERMINATION County may terminate this Agreement, in whole or in part, for any reason, at any time, with or without cause, upon providing ten (10) days notice to Consultant. Upon such termination, County shall be liable for Services satisfactorily completed prior to the notice. Upon termination, the Consultant shall deliver to County all data and other documents entirely or partially completed, together with all material supplied to the Consultant by County. Final payment will be due within thirty (30) days after Consultant has delivered the last of the partially completed documents, together with any records that may be required to determine the amount due. XII. ASSIGNMENT OR SUBCONTRACTING The Consultant agrees not to assign, pledge, transfer, or subcontract its duties and rights in this Agreement, in whole or in part without first obtaining the written consent of County. Consent for any Subcontractor may be granted or denied at the sole and absolute discretion of County if the Consultant is seeking such consent. XIII. PROHIBITIONS ON PUBLIC CONTRACT FOR SERVICES: 1. The Consultant shall not knowingly employ or contract with an illegal alien to perform work under the public contract for services; or enter into a contract with a subcontractor that fails to certify to the Consultant that the subcontractor shall not knowingly employ or contract with an illegal alien to perform work under the public contract for services. 2. The Consultant shall verify or attempt to verify through participation in the Basic Pilot Verification program, as administered by the United States Department of Homeland Security, that the Consultant does not employ any illegal aliens. If the 5 Consultant is not accepted into the Basic Pilot Verification Program prior to entering into a public contract for services, the contractor shall apply to participate in the Program every three months until the contractor is accepted or the public contract for services has been completed, whichever is earlier. The Consultant shall not use the Basic Pilot Verification Program procedures to undertake pre-employment screening of job applicants while the public contract for services is being performed. 4. If the Consultant obtains actual knowledge that a Subcontractor performing work under the public contract for services knowingly employs or contracts with an illegal alien, the Consultant shall be required to: Notify the Subcontractor and the County within three days that the Consultant has actual knowledge that the Subcontractor is employing or contracting with an illegal alien; and ii. Terminate the Subcontract with the Subcontractor if within three days of receiving the notice required pursuant to subparagraph (i) of the paragraph (d) the Subcontractor does not stop employing or contracting with the illegal alien; except that the Contractor shall not terminate the contract with the Subcontractor if during such three days the Subcontractor provides information to establish that the Subcontractor has not knowingly employed or contracted with an illegal alien. iii. The Contractor shall comply with any reasonable request by the Department of Labor and Employment made in the course of an investigation that the department is undertaking pursuant to its authority. 5. If a Contractor violates these prohibitions, the County may terminate the contract for a breach of the contract. If the contract is so terminated, the Contractor shall be liable for actual and consequential damages to the County. XIV. NO WAIVER OF RIGHTS No assent, expressed or implied, to any breach of any one or more covenants, provisions, or conditions of this Agreement shall be construed as a waiver of any succeeding or other breach. XV. INSURANCE. To assure to County that the Consultant is always capable of fulfilling potential liability obligations, the Consultant is required to purchase and maintain insurance of the kind, and in the minimum amount specified below. However, the insurance requirements below shall not be deemed to limit or define the obligations of the Consultant. Consultant is responsible for payment of any deductibles. County reserves the right to request a certified copy of the policy(ies) for review in addition to the In standard Certification of Insurance. The Consultant shall, prior to commencing work under this Agreement, obtain the following minimum insurance. 1. Workers' Compensation and Employer's Liability Insurance: If services are performed within the State of Colorado, the Consultant shall carry Workers' Compensation and employer's liability insurance to cover liability under the laws of the State of Colorado in connection with work performed pursuant to this Agreement. 2. Automobile Insurance: If motor vehicles are required in the performance of services by the Consultant under this Agreement, the Consultant shall carry automobile liability to include owned, non -owned and hired vehicles, and limits of liability no less than $1,000,000.00 per occurrence. County, its elected officials, administrators and employees shall be added to the policy as additional insured with a waiver of subrogation on their behalf. 3. Commercial General Liability Insurance: The Consultant shall carry commercial general liability insurance which shall include blanket contractual liability, with coverage no less than $1,000,000.00 per occurrence and $2,000,000.00 in the aggregate. Defense costs coverage for additional insured must be included and outside the limits of insurance. County, its elected officials, administrators and employees shall be additional insured as respects this Agreement, with a waiver of subrogation in favor of such additional insureds. 4. Professional Liability Insurance: Professional liability insurance at limits of no less than $1,000,000. The Consultant shall provide errors and omissions coverage of no less than $1,000,000 per claim and annual aggregate. 5. Subcontractors: The Consultant shall furnish separate certificates for each subcontractor. 6. Certificates of Insurance: Certificates of insurance or equivalent evidencing the above and identified on their face as to the contract name and date of execution, shall be submitted to County within fifteen (15) days after signing the Agreement. XVI. INDEMNIFICATION Within the limits allowed by law, Consultant shall indemnify County for, and hold and defend the County and its officials, boards, officers, principals and employees harmless from, all costs, claims and expenses, including reasonable attorney's fees, arising from claims of any nature whatsoever made by any person in connection with the acts or omissions of, or presentations by, the Consultant in the performance of this Agreement. This indemnification shall not apply to claims by third parties against the County to the extent that the County is liable to such third party for such claim without regard to the involvement of the Consultant. XVII. OWNERSHIP, CUSTODY AND ACCESS TO RECORDS 7 I . It is understood and agreed that all records other than work papers and billing and time records prepared or utilized by the Consultant in the course of performing its services under this Agreement are not the property of the Consultant and shall remain in the custody of County which shall maintain them for at least ten (10) years, provided however that the Consultant shall have full access to such records through the term of this Agreement for performing its services hereunder and thereafter, shall continue to have access for the purpose of defending a professional liability action or any audit or claim by an insurer, governmental agency or other party. The billing and time records of the Consultant relating to the services rendered to County under this Agreement shall be retained for not less than three (3) years and shall be available to County's auditor for inspection and verification. 2. Consultant shall keep and maintain books, records, accounts and other documents and other documents (hereinafter collectively referred to as "records" that are sufficient to accurately and completely reflect the operations of the Consultant in reference to this Agreement. Such records shall, upon reasonable request of County, be made available for inspection for determining, in accordance with acceptable accounting and auditing standards, compliance with requirements of this Agreement and the law. XVIII. CONFIDENTIALITY The Consultant acknowledges that it may receive confidential information from County for use in connection with its performance of the Consulting Services. Consultant further acknowledges that it may, in the performance of the Consulting Services, develop information, including facts, data, and opinions, which are, or in County's judgment should be, confidential or limited in terms of dissemination. Consultant shall take all precautions necessary to maintain and protect the confidentiality of any such information and to ensure that it shall be used only for the purposes of the Consulting Services. All facts, data, and opinions developed by Consultant in the course of its performance of the Consulting Services shall be deemed to belong to County and no such facts, data, or opinions shall be disseminated to anyone for any purpose without County's express written consent. Upon completion of the Consulting Services, the Consultant shall return to the County all materials it supplied to the Consultant in connection with the performance of Services. XIX. SEVERABILITY In the event that any of the foregoing article(s), sub-article(s), term(s) or provision(s) is deemed illegal by adjudication, or in conflict with any law of the State of Colorado, the validity of the remaining articles of this Agreement shall remain in effect and enforceable as if this Agreement did not contain the invalid article, sub -article or provision. X.X. NO THIRD PARTY BENEFICIARIES It is expressly understood and agreed that enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement shall be strictly reserved to the parties and nothing contained in this Agreement shall give or allow any such claim or right of action by any other or third person. It is the express intention of the parties that any person other than a party to LVA this Agreement receiving services or benefits under this Agreement shall be deemed to be an incidental beneficiary only. XXI. NON DISCRIMINATION IN EMPLOYMENT In connection with the performance of work under this Agreement, the parties agree not to refuse to hire, discharge, promote or demote, or to discriminate in matters of compensation against any person otherwise qualified, solely because of race, color, religion, national origin, gender, age, military status, sexual orientation, marital status, or physical or mental disability; and further agrees to insert the foregoing provision in all subcontracts hereunder. XXII. STATUS OF CONSULTANT With respect to the provision of the Consulting Services hereunder, Consultant acknowledges that Consultant is an independent contractor providing Consulting Services to County. Nothing in this Agreement shall be deemed to make Consultant an agent, employee, partner or representative of County. Moreover, this Agreement creates no entitlement to participate in any of the Employee Benefit Plans of County including insurance, workman's compensation, paid vacation and recognized holidays. XXIV. VENUE, GOVERNING LAW This Agreement shall be construed and enforced in accordance with the laws of the State of Colorado. Venue for any legal action arising under, or in connection with this Agreement shall be exclusive in Eagle County, Colorado. XXV. EXECUTIONS OF AGREEMENT This Agreement is expressly subject to, and shall not be or become effective or binding on any party hereto until it is has been fully executed by all parties hereto. XXVI. BINDING EFFECT. This Agreement shall be binding on all parties, their successors and assigns. XXVII. COUNTERPARTS OF AGREEMENT This Agreement shall be executed in two (2) counterparts, each of which shall be deemed to be an original, and all of which, taken together, shall constitute one and the same instrument. XXVIII. ENTIRE AGREEMENTIAMENDMENT This Agreement reflects the entire Agreement of the parties with respect to the subject matter hereof and supersedes all prior oral or written statements, understandings or correspondence, if any, in respect thereto. This Agreement may be amended only by one or more Amendatory Agreements executed in the same manner as this Agreement. XXIX. CONFLICTS. If any conflict exists between the provisions of this Agreement and the "Exhibit All, the provisions of this Agreement shall control. XXX. MEDIATION In the event of a dispute between the parties, both parties agree they will submit to mediation prior to seeking remedies in law or equity. The scope of work included focus groups, online community / City survey, bi-lingual ads, tag line and new city logo. It was announced as a finalist for the SAVVY Award this year. GoGo Creative had the challenge of branding a city which is often in the shadow of their neighboring city College Station.The new brand both visually and verbally captures the essence of the City as well as highlighting its strengths and appeal both inside and outside the community. The scope of work also incorporates a corporate identity manual that offers the graphic standards for proper presentation of the City of Bryan's visual identity. It should account for everything from the use of the logo on stationery and its use on apparel. In other words, graphic standards will be established for the purpose of print, web, signage and for use on product premiums. We also designed and produced all the marketing and promotional campaign materials to launch the City's new image including a website, radio, print and promotional campaign. It was truly a success! We provided a turn -key solution with design, photography and print to give the best possible piece to the City. It just so happened that our photographer captured a fire in action while he was there and showed the responsiveness of the city at work.The piece was printed digitally to save costs and was produced in about six weeks. The City of Killeen 2003 report received a Savvy Award for the category of Publications —Annual Reports, Population Group 65,000 to 126,OOO.The 2004 report was a winner of the 2004 TAMIO Awards as well. Initially we were asked to create an image for their Annual Report, which led to overwhelming response with I st Prize National Savvy Award and I st Prize Texas Municipal League Award in 2000, while our 2001 Annual Report garnered a nomination for the National Savvy Award and won a TAMIO Award from the Texas Association of Municipal Information Officers. We completed our 2005 Annual Report and have been working on presentations, website, and budget books annually. A particularly buzz -generating project was the City's 150th anniversary, "Sesquicentennial, Celebrating 150 Years of Community." They asked for a simple community mailer to honor the occasion. Previous mailers were not being read much, so we took the opportunity to design this mailer as a tool to build community awareness. We sent packets of wildflower seeds with the Sesquicentennial logo and asked the community to join in beautification efforts by planting the seeds. Our mailer became a piece they could read and keep. Other projects include community mailers, annual budget books, bond and budget presentations, annexation communications, and special projects (both internal) such as a redesign of their quarterly newsletter. This year's annual report we were chartered with the goal to make the book a strong Economic Development tool, and were awarded a reception by the Mayor for the unveiling to City Leaders, and the business community. Once again we have been successful working closely with our city team, and working on-time and on-budget.And as our clients say,"and still recognized for our award winning work." Also relevant to this project is our City of San Marcos Website project.We designed the new look and feel of the website and worked with a committee of 15 on the site structure, graphical interface and content. We coded the templates with cascading style sheets and the 18 sections which are unique to each department.The site is very visual, graphic, and they wanted large photos on each page so we accommodated a highly graphic, look and feel utilizing city photos. County Responsibilities The County will be responsible for the following: • Providing copies of existing research that may assist with the rebranding campaign, including, but not limited to, community demographics, the Strategic Tourism Plan, the Strategic Communications Plan, and any economic development studies. • Identifying community stakeholders to be recruited for focus group or one-on-one interview participation. • Providing suitable space for conducting focus groups and one-on-one interviews and set up 3-4 consecutive days of interviews. • Publicizing the survey effort through communication tools available to the County, including, but not limited to, the resident newsletter, County website and government access cable channel. • Contracting for all printing and print advertising, as needed. • Coordinating distribution of visitor survey with local hotel partners. • Providing the incentives that might be offered as a means of encouraging public or visitor participation in the perception surveys. Eagle County Rebrand Strategy and Campaign Phase 2 - GoGo Tagline It's Your Brand On the Line Phase Two will focus on the creation of a positioning line for the identity. Based on approved goals and community attributes, 12 to 16 positioning lines will be developed and presented to client. Purpose of initial presentation will be to determine two to three possible contenders for final selection. Based on client input, lines will be edited and placed with final logos in successive presentation along with recommendations for final positioning line. A successful tagline should amplify your central marketing message. As an extension of your County's brand, it should say something essential about who you are, what makes you special, and why the world should care. It should express an enduring idea that reveals the crux of your brand message and illustrates the value of doing business with your County. Any services performed by the Service Provider for work outside the scope of the services defined as the Project will constitute additional services and shall not be treated as having been provided for under this Agreement. Such indemnifi- cation of the County by GoGo Creative shall be effective unless such damage or injury results, in whole or in part, from the negligence or willful misconduct, acts or omissions of the County in which case liability shall be apportioned between the parties, without waiving any governmental immunity available to the County under Texas law and without waiving any defenses of the parties under Texas law. The provisions of this paragraph are solely for the benefit of the parties hereto and not intended to create or grant any rights, contractual or otherwise, to any other person or entity. b) To the extent allowed by law and subject to statutory authority, the County shall indemnify, hold harmless and defend GoGo Creative from any and all claims, demands, liabilities, costs and expenses, for any injury to, including the death of persons and any loss of for damage caused by the negligence or willful misconduct of the County during the term of this agreement. Such indemnification of GoGo Creative by the County shall be effective unless such damage or injury results, in whole or in part, from negligence or willful misconduct, acts or omissions of GoGo Creative, its agents, servants, or employees in which case liability shall be apportioned between the parties, without waiving any governmental immunity available to the County under Texas law and without waiving any defenses of the parties underTexas law.
