WITNESSETH: WHEREAS, Subdivider and County entered into a Subdivision and Off -Site Improvements Agreement recorded in the records of the Eagle County Clerk and Recorder at Reception No. 200608136 on December 6, 2005 as a condition of approval of the Final Plat of the Blue Ridge Planned Unit Development (hereinafter "Agreement"); and WHEREAS, Section 4.6 of the Agreement provides that "this Agreement may be amended or modified from time to time, provided that such amendment or modification be in writing and signed by all parties hereto"; and WHEREAS, in accordance with the understanding of the parties to the Agreement, Kevin and Tammy Tucker conveyed their interest in the property to Blue Ridge Investments, Ltd. by Quit Claim Deed recorded in the records of the Eagle County Clerk and Recorder at Reception No. 200608014. The County and Subdivider desire to remove Kevin and Tammy Tucker from the Subdivision Improvements and Off -Site Improvements Agreement; and WHEREAS, the County and Subdivider desire to amend the agreement to reflect a change in the engineer's total cost estimate and required collateral for the project from $2,868,025.15 to $3,395,783.41 (see Engineer's Cost Estimate attached as Exhibit "A" to this First Amendment); and WHEREAS, the County and Subdivider desire to amend the agreement to release the Plat Note recorded in the records of the Eagle County Clerk and Recorder at Reception No. 200608134 on the property to allow for a substitution of collateral required by the Agreement for the public improvements with a letter of credit; and WHEREAS, the Subdivider desires a first partial release of collateral, reducing the amount of collateral by $397,430.99, thereby reducing the amount of collateral held by the County from $3,395,783.41 to $2,998,352.42. AGREEMENT In accordance with Section 4.6 of the Agreement the County and Subdivider agree to amend the Agreement as follows: The County and Subdivider hereby agree to remove Kevin and Tammy Tucker from their obligations under the Subdivision and Off -Site Improvements Agreement. All references to Subdivider in the Agreement will be applicable solely to Blue Ridge Investments, Ltd. who agrees to assume all obligations of Subdivider thereunder. Section 1.7 of the Agreement is deleted in its entirety and replaced with the following effective upon execution of this First Amendment: 1.7 Estimated Costs of Subdivision Improvements. The estimated cost of the Subdivision Improvements is the sum of $3,395,783.41, as summarized in Exhibit "A" to the First Amendment. The County, upon the recommendation of the Eagle County Engineer (see memorandum attached as Exhibit `B" to this First Amendment) agrees to a first reduction in collateral required for the improvements by reducing the collateral by $397,430.99, thereby reducing the amount of collateral held by the County from $3,395,783.41 to $2,998,352.42. To secure and guarantee performance of its obligations as set forth in this Section 1, including the completion of the required off-site improvements, the Subdivider hereby agrees to provide security and collateral in the form and as set forth in Section 2, below." Section 2.1 of the Agreement is deleted in its entirety and replaced with the following effective upon execution of this First Amendment: "2.1 Collateral. Security and Collateral required in Section 1.7 herein, as security for the performance by Subdivider of its obligations under this Agreement, shall be in the total amount of $2,998,352.42. Such security and collateral shall be in the form of either 1) a letter of credit acceptable to the County or 2) a Plat Note in substantially the following from: Plat Note: No lots within the Blue Ridge Planned Unit Development shall be sold, transferred or otherwise conveyed - nor shall any building permit be issued by Eagle County for these lots - until all of the improvements required under the Subdivision Improvements Agreement recorded at Reception No. 200608134, are either (a) in place and approved by Eagle County, or (b) collateralized in the form as described in the Subdivision 2 and Off -Site Improvements Agreement and Land Use Regulations and acceptable to Eagle County to secure the performance of the obligations as described in the Agreement. This Plat Note shall only be released in accordance with the procedures set forth in Eagle County Resolution No. 95-35. Any documentation denoting the release of the Plat Note shall be recorded in the Eagle County Clerk and Recorder's Office. The Subdivider provides herewith Letter of Credit No.96006518 dated December 27, 2006 issued by Colorado Capital Bank in the amount of $2,998,352.42 (See letter of credit attached as Exhibit "C" to this First Amendment) which is an acceptable form of collateral pursuant to this Section 2.1." County and Subdivider agree that, except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Agreement shall remain in full force and effect, and hereby are ratified and confirmed in all respects as of the date hereof. If any conflict exists between the provisions of this First Amendment and the Agreement, the provisions of this Agreement shall control. This First Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. An inspection was conducted by me on December 13, 2006. Construction items were checked for completion as listed on the Collateral Reduction Request prepared by Sopris Engineering, LLC. The items requested for reduction were found to be constructed and completed in a satisfactory manner with one minor exception. I recommend a reduction of the collateral in the amount of $397,430.99 from the $3,395,783.41 as established in the Subdivision Improvements Agreement entered into December 6, 2005, and amended in December 2006. This will leave a balance of $2,998,352.42 collateral remaining for completion of items under the terms of the agreement. This reduction does not start the warranty period.
