Thi, agreement ("Agreement"), entered into a<; of April 25, 2006, between the Eagle County,
Colorado ("CoUllty") and Valley View Ho~pital Association, a private non-profit Colorado

Whereas, Hospital is the owner and operator of an acute-care ho~pital at Glenwood Spring~,
Colorado and the Eagle Valley Medical Center clinic in Eagle, Colorado ("[he CliniC); and
\Vherea~, Ho<;pital employs in the Clinic two phy~ician~, Drew Werner, M.D. and Angela
Ammon, M.D., hoth of whom are lkensed to practice medicine in the Sl<lte of Colorado and are
re,ide11l~ ofEagleCollnty; and
Whereas, County de~ires to apllOint Dr. Werner as F.agle County Publk Heath Officer and Dr.
Ammon as Eagle County Depmy Public Health Offker for the calendar year 2006; and
Now, theretore, in con<;ideration of the foregoing premi~es and the following promise<;, the
partie<; hereto agree a~ follow~:
1. Appointmeut
County herehy appoints Drew Werner, M.D. as F.agle County Public Health Officer to provide
service, required of Ho~pil<ll hereunder, and Angela Ammon, M.D. as Eagle County Deputy
Public Health Ofticer tor the calendar year 2006 to proviJe services required of Ho~pital
hereunder if Dr. Werner ~hal1 be unavailable. In the event that both Dr. Werner am! Dr.
Ammon are unavailahle to provide Public Health Officer services as reque~ted by County,
County may either (a) elect approve of another physician employed or rel<lined by Hospital to
renJersuch service, or (h) elect to contract fortheservice<;ofaphY~ician not employed or
retained by Hospital. In the (f,rmer event, such physician must be ~pecifically approved in
writing by County prior to the rendering of such ~ervices. The term "Phy~ician" a<; used herein
slnill mean any physician employed or othen.vise retained hy Ho~pital and approved by County to
fl1f11i~h service~ pur~uant to thi<; Agreement. County may retract it<; approval of a Physician at
any time tor cause hy written notice of such retraction to Hospital. The ~ervice, of a Pllysician
hereunder may be reque~ted and activated by the Board of County Commi<;sioners, County
Adnlinistrator, Director of Environmental Health, Direcwr of HHS, or the F-agle Coumy Public
Health Manager.

2. LicensllrealldStafTMembership
Hospital warrants that each Physician shall (0) at all times hold a currently valid and unlimited
ljccnscto practiccmcdicinc in the Slate lUld (b) apply fur, bea\vankd and maintain in good
5tanuing membership on the ~ooica] Slaff of Huspital with appropriate and unrestricted
privileges. or receive and maintain temporary privileges, all in acwrdance with Hospital's
policies.
3. Space, Equipment, Supplies, aud Personnel
County shall make available during the term of this Agreement such space and equipment as may

4. Hospital and Physician Rl'Spomibilitics

(c) Consultation with Environmental Health, including evaluation of sanitary stirndards
and abalement ofnlJisances, and approving cea,eand desist orders;
(d)HealthcollSlJltationforplJblieheallhernergcncy,ef\'ice>,bolhpreparedness and
response;
(e) COllSultation to the Board of County Commissioners, Emergell~y Ivfanagement,
Environmental He-Jlth, and HHS, including participatioll in Board of Health meeting,;
(f) Provisioll of wrilten reports and reC01l11llelldatioll~ regardingpublio:: he-dlth issues, upon
rcasonablcrcqucst;and
(g) Participation in training in ihe areas of emergen~y managemenl, plJblic hcalth services
and regulations, and ~hild ablJse and neglect reporting.

6.CompcnsatiollofHospital

ral<;;uf$400,00 per munth pIli, $50,00 per hour for <;;ach hour of professional service provided
by Physician hereunder, Hospilal shall submit monthly billings to the CUlllllY. Billings will he
paid through theCounty'su,ual biJl paying process. For any IllUnth orlllonths during which no
Physician i, providing ,~rvic<;;,her<;;llTIder becauseCoumy has elected option (b) under Section 1

7. Insurance
Hospital shal] maintain Physicians Profe,sional LiabiJiry In,urance coverage for Physicia[\ of at

9. Tenn
This Agrcernent >hall COIll1Ilence on January 1, 2006 and continue in cffeclumil
December 31, 2006. Either party lllilY terminate this Agreement m any time with or
