IHE1\IORANDUM 01<' UNDERST A-,'iDING
THIS MEMORANDUM OF UNDERSTANDING (the "MOlT') is dated a, of this--.Ll
day of ~ ' 2006, by and among CONFLUENCE METROPOLlT AN
DlSTRIC ("Confluence"), AVON ST A nON METROPOLITAN D1STRIC I
("ASMD")(collectively the "Di,trict,"), and the COUNTY OF EAGLE ("County"),
( The District, were organized in 1998 and contain property wholly within
the boundaries of the Town of Avon.
2. Tbe Districts were empowered to provide a variety of public
improvements to the territory within their boundarie"indudingt ran,portationrelated
facilitie8.
3. TheDi8trict,areplanningtheconstmctionofagondolaor8imilar
mechani,m (the "Gondola") to connect the development urea known generally as the
Confluence with the Beaver Creek ski area lift infra8trueture loeat edinthearea
commonly known as the Tames, in order to rednce vehicular traffic from within the
Town of Avon into the Beaver Creek and Baehelor Gulch developments.
4. The Town of Avon will approve the final configuration of the Gondola in
aceordance with applicable Town proeedures. The Gondola will not duplicate or impair
any transportation fnnctions being exercised by the County in or abou ttheTownof
Avon.
5. This Memorandum of Understanding will be deemed in satisfaction of the
provisionsofSectio1l32.1.JOO4(6),C.R.S,relatingtotheexerciseofthetransportation
power by the Di,tricts, to the extem required therein.
